How to File the NJ-REG New Jersey Business Registration Form

To file the NJ-REG, submit New Jersey’s Business Registration Application online at njportal.com/DOR/BusinessRegistration at least 15 business days before you start doing business in the state. The form registers your business with the Division of Revenue and Enterprise Services for the specific state taxes that apply to you: sales and use tax, employer withholding, and any industry-specific taxes.

When You Have to File and Who’s Covered

File at least 15 business days before your first day of business in New Jersey. The Division of Taxation applies this to any person or entity doing business in the state, including individuals selling at flea markets or craft shows and nonprofit organizations.1New Jersey Division of Taxation. You need to register if any of these describe you:

  • You sell taxable goods or services in New Jersey and must collect sales tax.
  • You have employees and must withhold payroll taxes.
  • You contract with New Jersey state agencies, counties, municipalities, local school boards, or state colleges and universities. Under N.J.S.A. 52:32-44, contractors and subcontractors must present a Business Registration Certificate before any contract, purchase order, or agreement is awarded.3State of New Jersey. A physical location isn’t required. Out-of-state sellers must register once they cross either threshold in the current or prior calendar year: more than $100,000 in gross revenue from New Jersey sales, or 200 or more separate transactions delivered into the state.4New Jersey Division of Taxation. Form Your Entity First If You’re an LLC or Corporation

If your business is a corporation, LLC, limited partnership, or limited liability partnership, you can’t file the NJ-REG until you’ve filed your formation documents. Domestic entities file a Certificate of Formation; out-of-state entities file a Certificate of Authority. The fee is $125 for for-profit entities and foreign nonprofit corporations, or $75 for domestic nonprofit corporations. Sole proprietorships and general partnerships skip formation entirely and go directly to the NJ-REG, using a federal EIN (or, for sole proprietors without employees, a Social Security Number) as the identifier.5State of New Jersey Online Tax/Employer Registration. What to Have Ready Before You Start

The online form can’t be saved mid-session, so pull everything together first.

Federal EIN. Corporations, LLCs, and limited partnerships need one. You can apply through the IRS online and receive it immediately.6Internal Revenue Service. NJ Business Code and NAICS code. The NJ Business Code is a state-specific classification from the Division of Revenue’s published list. The NAICS code is a six-digit federal classification searchable on the Census Bureau’s NAICS site. Tax type selections. During the form you’ll flag which taxes apply. The common ones:

  • Employer Withholding Tax, if you pay employees.
  • Specialty taxes tied to your industry, such as the Petroleum Products Gross Receipts Tax or the Litter Control Fee, which applies to manufacturers, wholesalers, distributors, and retailers of litter-generating products sold in New Jersey.10State of New Jersey. Litter Control Fee

S Corporation documents. If your business has elected federal S Corp or Qualified Subchapter S Subsidiary status, have the federal election letter and each shareholder’s SSN or EIN handy. File the Form Online

Go to njportal.com/DOR/BusinessRegistration. The portal validates entries as you go, which catches typos and mismatched ID numbers before they become processing delays. When you submit, you’ll receive a confirmation number. Save it. If You Have to File on Paper

A paper NJ-REG goes by mail to the Division of Revenue, Trenton, NJ 08625-0628. Paper processing takes several weeks rather than days, so use this route only if you can’t file electronically.

Get Your Business Registration Certificate

Once the NJ-REG is processed, print your Business Registration Certificate through the state’s online BRC lookup. You enter your Name Control (the first four characters of your business name) along with either your Taxpayer ID or Business Entity ID.12N.J. Department of Treasury – Division of Revenue. Format the Taxpayer ID as twelve digits: your nine-digit federal EIN followed by three zeros (or your three-digit suffix if you have one). Updating or Closing Your Registration

Once you’re registered, most changes go through Form REG-C-L. You can file it online to update your mailing address, add or end tax eligibilities, switch between year-round and seasonal cycles, adjust electronic fund transfer payment registrations, replace a temporary tax/employer ID with the official one, or update filing status for partnerships and sole proprietorships. Two situations require a paper REG-C-L: registering an additional location, and reporting a purchase or sale of the business with new owners.13New Jersey Treasury. REG-C-L doesn’t cover everything. If you change your legal structure — a sole proprietorship converting to an LLC, for example — the state treats the result as a new business, and you’ll need to file formation documents and a fresh NJ-REG. If you stop operating and no longer need to collect sales tax, file Form C-6205-ST with the Division of Taxation to request non-reporting status. To end individual tax eligibilities without fully closing, use REG-C-L online. Simply not filing returns will generate penalties and collection activity.13New Jersey Treasury. What Happens If You Don’t File

Failure to register results in penalties and fees on taxes owed to the state.7Business.NJ.gov.
