How to File Utah Articles of Incorporation

To form a corporation in Utah, you file articles of incorporation with the Division of Corporations and Commercial Code for a $59 filing fee, and the corporation legally exists the moment the Division files the document.1Utah Legislature. Utah Code 16-10a-203 – Incorporation2Utah Department of Commerce. Utah Division of Corporations and Commercial Code – Fiscal Year 2026 Fee Schedule The contents of that document, and the choices you make inside it, are governed by the Utah Revised Business Corporation Act in Title 16, Chapter 10a. Get the required pieces right the first time and the online system typically approves the filing in minutes.

What the Articles Must Contain

Utah law is specific about what belongs in the document. Five items are mandatory.3Utah Legislature. Utah Code 16-10a-202 – Articles of Incorporation

  • A statement of the purpose or purposes for which the corporation is organized. Most incorporators use a broad general-purpose statement allowing any lawful business activity, which avoids having to amend the articles later if the company changes direction.
  • The corporate name, which has to satisfy Utah’s naming rules.
  • The total number of shares the corporation is authorized to issue, along with the information required for each class under the share-structure statute.
  • The name and Utah street address of the registered agent.
  • The name and address of every incorporator.

Several things people often assume are required are actually optional. You may name initial directors, assign par value to shares, set a period of duration, include management provisions, or impose personal liability on shareholders for corporate debts under specified conditions. None of these are required. If you don’t specify a duration, the corporation exists perpetually by default.3Utah Legislature. Utah Code 16-10a-202 – Articles of Incorporation

Choosing a Corporate Name That Will Clear

The name must include one of the following: “Corporation,” “Incorporated,” “Company,” “Corp.,” “Inc.,” or “Co.”4Utah Legislature. Utah Code 16-10a-401 – Corporate Name This tells the public they’re dealing with a corporate entity rather than a sole proprietor or partnership.

The name also has to be distinguishable on the Division’s records from every other registered business name, trademark, and service mark in Utah. Distinguishable has a precise meaning: at least one different letter or numeral, or a different sequence of them. Some differences do not count. Adding or removing the word “Corporation,” changing punctuation, switching between singular and plural, or rearranging spaces between the same letters will not make an otherwise identical name distinguishable.5Utah Division of Corporations and Commercial Code. Policies and Procedures for Administering Business Entity Name Availability and Standards So “Books Inc.” and “Books” are treated as the same name.

If you’ve settled on a name but aren’t ready to file, you can reserve it with the Division for 120 days. The reservation is renewable in additional 120-day periods and is transferable. It holds the name only; it doesn’t let you operate under it until you file your articles or register a trade name.6Utah Legislature. Utah Code 16-10a-402 – Reserved Name

Naming a Registered Agent

Every Utah corporation must designate a registered agent to accept service of process and official legal notices on the corporation’s behalf. The agent can be an individual or a business entity. The filing must include a Utah street address, meaning an actual street address or rural route box number; a P.O. box alone will not satisfy the requirement.7Utah Legislature. Utah Code 16-17-202 – Addresses in Filings

Appointing the agent in the articles counts as an affirmation that the agent has agreed to serve.8Utah Legislature. Utah Code 16-17-203 – Appointment of Registered Agent The statute doesn’t require the agent’s signature on the articles themselves, but as a practical matter, don’t name anyone without their knowledge. If the corporation goes 30 days without a registered agent in Utah, the Division can begin administrative dissolution proceedings.9Utah Legislature. Utah Code 16-10a-1420 – Grounds for Administrative Dissolution

Setting Up the Share Structure

The articles have to state each class of shares and the number of shares in each class the corporation is authorized to issue. At minimum, the corporation needs at least one class of shares with unlimited voting rights and at least one class entitled to receive the company’s net assets if it dissolves. These can be the same class.10Utah Legislature. Utah Code 16-10a-601 – Authorized Shares

If you authorize more than one class, describe the preferences, limitations, and relative rights of each class in the articles before issuing any shares of that class. Preferred dividends, redemption rights, and conversion features belong here. Par value is optional under Utah law, listed among the provisions the articles “may set forth,” not “shall.”3Utah Legislature. Utah Code 16-10a-202 – Articles of Incorporation Many small corporations authorize a single class of common stock with no par value and a share count high enough to leave room to grow.

How To File and What It Costs

The primary filing method is Utah’s online Business Registration System at businessregistration.utah.gov. After logging in with a UtahID, select “Formations & Registrations,” choose your entity type, and work through the prompts.11Utah Department of Commerce. Online Registration Instructions The portal also offers a “Submit a Paper Filing” option for those who prefer to prepare a physical form, though the submission still goes through the online system.

The filing fee for a domestic for-profit corporation is $59.2Utah Department of Commerce. Utah Division of Corporations and Commercial Code – Fiscal Year 2026 Fee Schedule Most filings are processed and approved instantly online. Filings that require manual review take two to four business days according to the Division.12Division of Corporations and Commercial Code. Division of Corporations and Commercial Code Expedited service is available for an additional $75 and brings manually reviewed filings down to one to two business days.13Utah Department of Commerce. Ordering In-House Documents

Nothing about the Utah filing process requires professional help. Hiring an incorporation service or attorney typically adds $200 to $2,000 on top of the state fee depending on the scope of work, with the higher end covering bylaws, a shareholder agreement, and initial resolutions. The online form itself is manageable without that assistance.

What To Do After the Articles Are Filed

The filing creates the corporation, but the corporation isn’t ready to operate until you handle a few organizational steps. The statute calls for an organizational meeting after incorporation. If you named initial directors in the articles, they hold the meeting to appoint officers, adopt bylaws, and handle startup business. If you didn’t name directors, the incorporators hold the meeting to elect a board, which then finishes organizing the company.14Utah Legislature. Utah Code 16-10a-206 – Bylaws Utah allows the organizational action to be taken by written consent instead of a formal meeting, which simplifies things for single-founder corporations.

Get an EIN From the IRS

Almost every corporation needs an Employer Identification Number, and you have to form the legal entity with the state before applying. The fastest route is the IRS online application, which takes minutes and costs nothing. You can also fax Form SS-4 and get the EIN in about four business days, or mail the form and wait roughly four weeks.15Internal Revenue Service. Employer Identification Number

Decide on an S Corporation Election

If you want the corporation taxed as an S corporation so income passes through to shareholders and avoids double taxation, file IRS Form 2553 no later than two months and 15 days after the beginning of the tax year the election should take effect.16Internal Revenue Service. Instructions for Form 2553 For a brand-new corporation, that clock starts when the entity acquires assets, has shareholders, or begins doing business. Miss the window and you’ll either wait until the next tax year or ask the IRS for late-election relief. This is the deadline new corporations miss most often, and the cost is a full year of C corporation taxation that can’t be undone retroactively without IRS approval.

Annual Reports and Staying Active

Every registered Utah business entity must file an annual report, also called a renewal, to keep active status.17Utah Department of Commerce. Annual Report/Renewal Guide The report is due in the anniversary month of the corporation’s original formation. The fee for a domestic or foreign corporation is $18.2Utah Department of Commerce. Utah Division of Corporations and Commercial Code – Fiscal Year 2026 Fee Schedule

Skipping the filing is more serious than it sounds. If the corporation fails to deliver its annual report or pay required fees, the Division can begin administrative dissolution proceedings. The same applies if the corporation goes without a registered agent for more than 30 days, or fails to notify the Division of a registered agent change within 30 days.9Utah Legislature. Utah Code 16-10a-1420 – Grounds for Administrative Dissolution Administrative dissolution strips the corporation of its authority to do business in Utah. Reinstating a dissolved corporation is possible but involves additional paperwork and fees that are easy to avoid by filing on time.

Changing the Articles Later

When something in the articles needs to change, whether the corporate name, the share structure, or the purpose statement, the corporation delivers articles of amendment to the Division for filing. The amendment has to include the corporate name, the exact text of each change, the date each amendment was adopted, and information about how it was approved.18Utah Legislature. Utah Code 16-10a-1006 – Articles of Amendment Some minor amendments can be adopted by the board alone, such as swapping one of the required designators in the corporate name. Structural changes like increasing or decreasing the total authorized shares of a class generally need shareholder approval, with the affected class voting as a separate group.

If the Corporation Will Operate in Other States

A Utah filing creates a corporation recognized in Utah. If the business later establishes a physical location, hires employees, or otherwise conducts localized business activity in another state, that state will likely require the corporation to register as a foreign corporation. The process, called foreign qualification, involves separate paperwork, fees, annual reports, and registered agent requirements in each additional state. What counts as “doing business” varies, so it’s worth checking before you assume one Utah filing covers multi-state operations.
