How to Fill Out and File California Form FTB 3500: Nonprofit Exempt Status

California Form FTB 3500 is the paper application a nonprofit files with the Franchise Tax Board to obtain state tax-exempt status. Filing it correctly relieves your organization of the $800 annual minimum franchise tax and state income tax on activities tied to your exempt purpose. There is no electronic option, no filing fee, and processing takes several months, so the value of a clean, complete package is measured in weeks off your timeline.

Is Form 3500 Even the Right Form for You?

California has two application paths, and choosing the wrong one costs months.

Form 3500A is a streamlined, one-page submission for organizations that already hold an IRS determination letter under Section 501(c)(3), (c)(4), (c)(5), (c)(6), (c)(7), or (c)(19). You attach the federal letter, and California acknowledges your exemption with an effective date matching the federal one.

Use Form 3500, the full application, when any of these is true: you do not yet have a federal determination letter, your exemption type falls outside the categories that qualify for 3500A, or you are trying to reinstate a California exemption that was previously revoked. The FTB will not accept Form 3500A for a reinstatement even if your federal letter is current.

Gather Your Documents Before Touching the Form

The single biggest source of delay is an incomplete package. What the FTB needs depends on your entity type.

California Corporations

Articles of Incorporation and any amendments, bearing the California Secretary of State’s file stamp, plus your bylaws or other code of regulations.

Foreign Corporations

If your corporation was formed in another state and has qualified to do business in California, include the Statement and Designation by Foreign Corporation stamped by the California Secretary of State, your home-state articles, your bylaws, and your federal determination letter. A foreign corporation that has not qualified in California instead supplies a letter of good standing from its home state.

Unincorporated Associations

A copy of the constitution, articles of association, or other creating document with the required exempt-purpose language, signed by the board or governing body. Bylaws go in separately.

Trusts

Trusts face an extra hurdle: the FTB will not grant state exemption to a trust that does not yet have a federal determination letter. If you have applied to the IRS but do not yet have the letter, attach a statement to Form 3500 noting when the federal application was submitted. Include the trust instrument and any amendments.

LLCs

LLCs applying under Revenue and Taxation Code Sections 23701h or 23701x (title-holding organizations) include their Articles of Organization (LLC-1 for California LLCs, LLC-5 for foreign) and their operating agreement. LLCs applying under any other section must also submit an approved IRS Form 8832 showing an election to be taxed as a corporation.

Get the Purpose Clause Right

Most denials trace back to this. Your articles or creating document must contain specific language matching the exemption category you claim, and the FTB instructions provide sample language for each. For Section 23701d — the charitable, educational, religious, and similar category that most applicants use — your articles must include all four of the following:

  • A statement that the organization is not organized for private gain and is organized exclusively for its exempt purpose.
  • A private-benefit restriction stating that no part of net income or assets will benefit any director, officer, member, or private person.
  • A political-activity clause stating the organization will not carry on substantial legislative lobbying and will not participate in political campaigns for candidates.
  • A dissolution clause dedicating remaining assets, upon dissolution, to another organization holding 501(c)(3) status.

If any provision is missing, amend your articles with the Secretary of State before you submit. Trying to fix this after filing adds months.

Filling Out the Form

Every applicant completes Sides 1 through 5. Those pages cover seven general sections, and then you fill out the one schedule that matches the R&TC subsection you are claiming under.

Entity Information

Enter the organization’s exact legal name as it appears on Secretary of State filings. A minor mismatch prompts a clarification request. Include your California corporation or SOS file number and your nine-digit federal employer identification number. If you do not yet have an FEIN, get one from the IRS using Form SS-4 before mailing Form 3500; the FTB uses it to cross-reference federal records.

Narrative of Activities

This is the heart of the application. Describe in plain language what your organization has done, is doing, and plans to do. The examiner is looking for a clear line between your day-to-day operations and the R&TC subsection you chose. “We support the community” is not enough. Name the programs, identify who benefits, and explain how activities are funded. If the narrative does not line up with the purpose clause in your articles or the details in your bylaws, expect a delay or denial while the inconsistency gets resolved.

Financial Data

Operating organizations provide a detailed income and expense statement for the current year and the three preceding years, with revenue broken down by source (donations, grants, program service fees, investment income) and expenses itemized by category. Include a statement of assets and liabilities.

Organizations that are not yet active submit a proposed budget covering the next four years, with enough detail on projected revenue and expenses for the FTB to judge whether the exempt purpose is financially viable.

Officers, Directors, and Trustees

List every person in a governance role, along with titles and compensation. The FTB is looking for genuine board control and reasonable compensation.

Specific Activities and Fundraising

Answer the questions on fundraising methods, political activity, lobbying, relationships with other organizations, and any income-generating activities unrelated to the exempt purpose. Thin answers here bring follow-up correspondence and add weeks.

The Schedule for Your Exemption Category

After the general sections, complete only the schedule matching your R&TC section. The most commonly used are:

  • Section 23701d — charitable, religious, educational, scientific, and literary organizations (parallels federal 501(c)(3)).
  • Section 23701e — business leagues, chambers of commerce, real estate boards, and boards of trade (parallels federal 501(c)(6)).
  • Section 23701f — civic leagues and social welfare organizations (parallels federal 501(c)(4)).

More than two dozen subsections sit under R&TC 23701, covering categories from labor organizations to cemetery companies. The form instructions list each subsection with its corresponding schedule.

Where to Mail and What It Costs

Mail the completed form, with an original signature from an authorized officer, director, or trustee, along with every supporting document, to:

After You Submit

The FTB says it will respond within ten weeks of receiving your package, though it also warns that the full process may take several months.3Franchise Tax Board. If the examiner needs more information, they will contact the person named on the form. Respond quickly. When the application is approved, the FTB issues a determination letter granting exempt status. Keep it permanently. You will need it for grant applications, bank accounts, and future compliance. If the application is denied, the letter explains the legal basis, and you can protest through the FTB’s formal protest and appeals process.

Reinstating a Revoked Exemption

If the FTB has revoked your organization’s exemption for failure to meet state filing requirements, Form 3500A is not an option, even with a current federal letter. What Approval Does Not Cover

A Form 3500 approval clears you with the FTB, but it is not the last step for a charity. Every charitable corporation, unincorporated association, and charitable trust holding property for charitable purposes must also register with the California Attorney General’s Registry of Charities and Fundraisers by filing Form CT-1, within 30 days of first receiving charitable assets.5California Office of the Attorney General. Once exempt, you also file annual returns with California. Organizations with gross receipts of $50,000 or less file the electronic FTB 199N; those above that threshold file the full Form 199.6Franchise Tax Board.
