Filing the Nevada LLC Articles of Organization with the Secretary of State is what legally creates your company. The form itself covers six items, and most people file it online through the state’s SilverFlume portal in a single bundled transaction with the initial list of managers or members and the state business license. The combined cost is $425, and online filings are processed the same day.
What the Form Asks For
Nevada law, under NRS 86.161, requires six categories of information in your articles:1Nevada Legislature. Nevada Code 86.161 – Articles of Organization: Required and Optional Provisions
- The full legal name of the LLC, including a required designator.
- The name and Nevada street address of the registered agent.
- The name and address of each organizer signing the articles.
- Whether the LLC will be manager-managed or member-managed, with the name and address of each initial manager or member.
- A declaration if the company is authorized to create separate series of members.
- A declaration if the company will operate as a restricted limited-liability company.
Most filers only deal with the first four. The series and restricted LLC options are specialized structures that do not apply to a typical small business, and leaving those boxes unchecked is the right answer for almost everyone.
Choosing a Name That Will Be Accepted
Your LLC name must be distinguishable from every other entity already on file with the Secretary of State, and it must include one of the approved designators: “Limited-Liability Company,” “Limited Liability Company,” “Limited Company,” “Limited,” or an abbreviation like “LLC,” “L.L.C.,” “LC,” or “L.C.” You can shorten “Company” to “Co.”2Nevada Law. Nevada Code 86.171 – Name of Company: Distinguishable Name Required
Certain regulated words are blocked unless a licensing board clears them first. “Bank” or “trust” require approval from the Commissioner of Financial Institutions. “Engineer” needs certification from the State Board of Professional Engineers and Land Surveyors. “Architect” needs clearance from the State Board of Architecture, Interior Design and Residential Design. Accounting-related terms carry similar restrictions.2Nevada Law. Nevada Code 86.171 – Name of Company: Distinguishable Name Required Run your proposed name through the Secretary of State’s online entity search before you file to confirm availability.
Appointing a Registered Agent
Every Nevada LLC must have a registered agent with a physical street address in the state to receive service of process.3Nevada Legislature. Nevada Code 86.231 – Registered Agent Required The agent’s address becomes the LLC’s registered office. This is where lawsuits, government notices, and compliance documents will be delivered.
The agent can be a Nevada resident or a commercial registered agent company authorized to do business in the state. On the form, you check a box for the agent type, then fill in the name and Nevada street address. At the bottom of the form, the agent signs a Certificate of Acceptance confirming the role.4Nevada Legislature. Nevada Code Chapter 77 – Model Registered Agents Act A missing acceptance signature is one of the most common reasons paper filings get rejected, so confirm the signature is in place before you mail anything.
Manager-Managed or Member-Managed
The form requires one check mark: manager-managed or member-managed. This choice decides whose names appear on the public filing and who has authority to sign contracts and bind the LLC.1Nevada Legislature. Nevada Code 86.161 – Articles of Organization: Required and Optional Provisions
In a member-managed LLC, every owner shares management authority, and each initial member’s name and address goes on the form. In a manager-managed LLC, you appoint one or more managers who may or may not be members. The form has space for up to three managers or members; if you have more, attach a continuation page. Pick the structure that matches how the business will actually operate. A two-person company where both owners run day-to-day operations is usually member-managed. An LLC with passive investors and one or two people running things is typically manager-managed.

The Initial List and State Business License
Nevada requires every LLC to file an initial list of managers or members and obtain a state business license. If you file through SilverFlume, both are bundled with your articles and included in the $425 total.
If you file the articles separately, you have until the last day of the month following your formation date to submit the initial list and business license application. Articles filed on March 15, for example, trigger an April 30 deadline. Missing it adds a $100 late penalty.9Nevada Secretary of State. State Business License – FAQ The Secretary of State will not accept one without the other, so both must be filed together.
What to Do After Formation
Get a Federal EIN
Once the articles are approved, apply for a federal Employer Identification Number from the IRS. You need an EIN to open a business bank account, hire employees, and file taxes. Multi-member LLCs must have one. A single-member LLC can technically use the owner’s Social Security number for tax purposes, but getting a separate EIN keeps your SSN off business documents.10Internal Revenue Service. Limited Liability Company (LLC) The IRS online application is free and issues the EIN immediately.
Put an Operating Agreement in Writing
Nevada does not require an operating agreement, but skipping one is a mistake for any LLC with more than one member. Under NRS 86.286, the agreement can cover profit and loss allocation, voting rights, member withdrawal, management authority, and dissolution.11Nevada Legislature. Nevada Code Chapter 86 – Limited-Liability Companies – Section: NRS 86.286 Without one, your LLC falls back on the state’s statutory defaults, and those defaults rarely match what the members actually intended.
Confirm Your Federal Tax Treatment
The IRS does not treat an LLC as its own tax category. A single-member LLC is a disregarded entity by default, with all income flowing through to the owner’s personal return. A multi-member LLC defaults to partnership taxation, with income and losses divided among members.10Internal Revenue Service. Limited Liability Company (LLC) Either can elect corporate taxation by filing IRS Form 8832.12Internal Revenue Service. About Form 8832, Entity Classification Election The right choice depends on your income and how you plan to take money out, so talk to a tax advisor before changing the default.
Annual Renewals and Amendments
Formation is not a one-time event. Nevada requires an annual list of managers or members and a business license renewal every year, due by the last day of the anniversary month of your original filing. The business license portion of the renewal is $200, plus the annual list fee.9Nevada Secretary of State. State Business License – FAQ A missed due date adds a $100 penalty, and a full year without filing puts the LLC into revoked status.
If anything in the articles changes later, including the registered agent, management structure, or name, you file a certificate of amendment with the Secretary of State. The amendment must be signed by a manager, or by a member in a member-managed LLC, and takes effect on filing or up to 90 days later if you specify a future effective date.13Nevada Legislature.
