How to Fill Out and Submit Illinois Form LLC-1.36/1.37: Statement of Change

To handle an Illinois LLC change of registered agent, file a Statement of Change (Form LLC-1.36/1.37) with the Secretary of State, pay the $25 fee, and the update takes effect the moment the state files it. You can submit online if the LLC is in good standing, or mail two signed copies to the Springfield office. The same form covers a change of registered office address, or both changes at once.

When to File

Two statutes govern the filing, and which one applies depends on who is initiating the change. Section 1-36 of the Illinois Limited Liability Company Act covers changes the LLC itself makes: appointing a new registered agent, moving the registered office, or both. Members or managers authorize the filing and sign the form.¹

Section 1-37 covers a narrower case: the registered agent is changing their own business address. Because one agent often serves many LLCs, this provision lets the agent update the registered office address for each affected company in a single filing, without separate authorization from every client. The agent signs the form.²

One trigger catches people off guard. If your registered agent resigns, you have 60 days to appoint a replacement and file the Statement of Change. Miss that window and a $100 penalty is added to the $25 filing fee.³

Who Can Serve as Your New Agent

Confirm the replacement qualifies before you put a name on the form. Illinois requires every LLC to continuously maintain a registered agent and registered office in the state. The agent must be an Illinois resident or a business entity authorized to transact business in Illinois.⁴ The LLC cannot serve as its own registered agent.³

The registered office must be a physical Illinois street address; a P.O. Box alone is not accepted. The office address and the agent’s business address must be identical, and the form asks you to confirm that.⁵

Filling Out Form LLC-1.36/1.37

Download the current form from the Secretary of State’s website. It is one page with ten fields. Type it if you can; handwritten entries that are hard to read slow processing down.

LLC name. Enter the full legal name exactly as it appears on state records. A missing comma or “LLC” instead of “L.L.C.” can cause a rejection. Check the Business Entity Search at apps.ilsos.gov to be sure.
Current agent and office. List the agent and address as they currently appear on file, not what you think they should be. Search the database first if you’re unsure.
New agent and office. Enter the replacement agent’s name and the new office street address. If you’re only changing one item, fill the unchanged item into both the “before” and “after” fields.
Identical address confirmation. The form includes a statement that the registered office and the agent’s business address will match. This is a statutory requirement.
Authorization box. Check box (a) if members or managers authorized the change; this covers any change to the agent, the office, or both. Check box (b) if the registered agent is filing and is only changing the office address.³
Signature. The signer affirms under penalties of perjury that the information is true. Include printed name, title, and date. If you’re signing on behalf of an entity such as a registered agent service, write that entity’s name on the designated line.

The fastest route for LLCs in good standing is the electronic portal. Both domestic and foreign LLCs can file at apps.ilsos.gov/llcagentchange/.⁶ Pay the $25 fee by credit card during checkout. Online filings skip the mail queue and typically clear faster than paper.

To file by mail, print two copies of the completed form and send both to:

Enclose a check for $25 payable to “Secretary of State.” A bounced check automatically voids the filing, so don’t pay from a tight balance. The statute requires duplicate filing: you send two signed copies, and the state returns one stamped as your receipt.¹

Processing Time

Standard paper filings typically process within about 10 business days. The change takes legal effect the moment the Secretary of State files it, and the public database at apps.ilsos.gov updates shortly after internal review. Pull up your LLC’s record there to confirm the new agent and address show correctly.

What Happens If You Don’t Update

Stale registered agent information carries real consequences. The Secretary of State can administratively dissolve any LLC that fails to appoint and maintain a registered agent in Illinois.⁷ Dissolution strips the LLC of legal standing, which puts the liability protection you formed the company to get at risk.

The more immediate danger is missed lawsuits. If someone sues your LLC and serves process at an outdated address, you may never see the papers. Courts can enter a default judgment against a business that fails to respond, and arguing that your own records were wrong is not a winning defense.

If dissolution has already happened, Illinois allows reinstatement. You’ll file an application, submit all overdue annual reports (up to six years’ worth), pay every outstanding fee and penalty, and designate a current registered agent and office as part of the process.⁸ Once accepted, the LLC’s existence is treated as though it was never interrupted, and acts taken during the dissolution period are retroactively validated.⁷ The stacked fees and reports make reinstatement far more expensive than the $25 change form you’d have filed on time.
