To fill out the Articles of Organization in Michigan, you complete Form CSCL/CD-700 from the Department of Licensing and Regulatory Affairs (LARA), fill in your LLC’s name, resident agent, and registered office, decide whether to override the default purpose, duration, and member-managed structure, sign as the organizer, and submit it with a $50 filing fee.1Michigan Legislature. Michigan Compiled Laws 450.4203 Most of the form is short, and two sections come pre-filled with language you can leave alone.
Use the Right Form
The form is CSCL/CD-700, titled “Articles of Organization” for domestic limited liability companies. Download the PDF from LARA’s website or complete it through Michigan’s online filing portal at michigan.gov/corpfileonline.2State of Michigan Department of Licensing and Regulatory Affairs. Articles of Organization CSCL/CD-700 Do not grab Form CSCL/CD-500 by mistake; that one is the Articles of Incorporation for corporations and is a different filing entirely.
How to Complete Each Article
The form has five numbered articles. Work through them in order.
Article I: LLC Name
Type the exact name of your LLC, including “Limited Liability Company” or an approved abbreviation. Michigan recognizes “L.L.C.” and “L.C.” with or without periods, so “LLC” and “LC” both work.3Michigan Legislature. Michigan Compiled Laws 450.4204 The name has to be distinguishable from every other active business entity on file with the state, including corporations, nonprofits, and limited partnerships. Check availability through LARA’s business entity search before you file. Spelling and punctuation matter here, because whatever you write becomes the legal name on record.
If you reserved the name in advance, use the exact form of the name on your reservation. Reservations are made through an Application of Reservation of Name, with a fee of $10 or $25 depending on the entity type.4Department of Licensing and Regulatory Affairs. Name Reservations
Article II: Business Purpose
Leave the pre-printed language alone for most businesses. The form comes with boilerplate stating the LLC may engage in any lawful activity permitted under the Michigan Limited Liability Company Act, and the statute explicitly says that broad statement is sufficient.1Michigan Legislature. Michigan Compiled Laws 450.4203 You can add a specific purpose, but doing so could unintentionally narrow what the LLC is authorized to do later.
Article III: Duration
Leave this blank if you want the LLC to exist indefinitely. The default is perpetual. Only fill in a date or a term of years if you want the LLC to automatically dissolve at a set point.1Michigan Legislature. Michigan Compiled Laws 450.4203
Article IV: Resident Agent and Registered Office
Enter the name of your resident agent and the physical street address of the registered office. The resident agent is the person or entity authorized to accept legal documents on the LLC’s behalf, including lawsuits and government notices.5Michigan Legislature. Michigan Compiled Laws 450.4207 The agent can be an individual who lives in Michigan, a domestic corporation, or a foreign corporation authorized to do business in the state. The agent’s business or home address must match the registered office address on the form.
A P.O. box cannot serve as the registered office, because legal documents need to be physically served there. If your mailing address is different from the street address, you can list the mailing address separately on the form.2State of Michigan Department of Licensing and Regulatory Affairs. Articles of Organization CSCL/CD-700 Naming yourself as resident agent and using your home or office address is fine, as long as someone is reliably available there during business hours.
Article V: Additional Provisions
This is open-ended. You can add any optional provision allowed under the LLC Act, and you can also leave it blank. The decision most filers face here is management structure. Michigan defaults to member-managed, meaning all owners run the business. If you want the LLC to be manager-managed instead, you must include a statement to that effect in Article V. Silence here means member management.6Michigan Legislature. Michigan Limited Liability Company Act – Act 23 of 1993
Manager management matters most when the LLC has passive investors who won’t be involved in daily operations. It lets you designate specific people, who may or may not be members, to handle business decisions. Article V is also where you set a future effective date for the LLC if you want one, up to 90 days after filing.2State of Michigan Department of Licensing and Regulatory Affairs. Signing the Form
At least one organizer signs and dates the Articles of Organization before submission. The organizer does not need to be a future member of the LLC; anyone can serve as organizer for filing purposes. Make sure the typed or printed name matches the signature, because LARA will reject documents that are illegible or inconsistent.
How to File and What It Costs
You have two ways to submit. Online filing through Michigan’s Corporations Online Filing System at michigan.gov/corpfileonline is faster. For paper, mail the original signed form to the Corporations Division at P.O. Box 30054, Lansing, MI 48909, or deliver it in person to 2407 N. Grand River Ave., Lansing, MI 48906.2State of Michigan Department of Licensing and Regulatory Affairs. Articles of Organization CSCL/CD-700
Every filing requires a nonrefundable $50 fee.7Michigan Legislature. Michigan Compiled Laws 450.5101 Online filers pay by credit card. Mail submissions take a check or money order payable to the State of Michigan, with the LLC name written on it. In-person filers can pay by check, money order, or credit card (Visa, MasterCard, American Express, or Discover). Submitting without the correct fee amount will get your filing rejected outright, so double-check the total before sending anything.
For faster processing, Michigan offers expedited service on top of the $50 filing fee:
- 24-hour processing: $50
- Same-day processing: $100
- Two-hour processing: $500
- One-hour processing: $1,000
These expedited fees apply specifically to formation filings. Existing-entity filings have different expedited rates.8State of Michigan. Domestic Profit and Professional Corporations – Filing Fees
What Happens After You Submit
Without expedited service, online filings currently take roughly seven to ten business days to process. Mailed filings can take up to four weeks, including transit time. These timelines fluctuate with the Bureau’s workload, so plan accordingly if you have a hard launch date.
Once approved, LARA stamps the Articles of Organization as “filed” and returns the original to the address you listed on the form, or to your registered office if you left that field blank. The stamped copy is your proof that the LLC legally exists, and banks, vendors, and landlords routinely ask for it when you open accounts or sign leases. You can also verify status and look up your LLC’s state-assigned identification number through LARA’s online business entity search at any time after filing.
