How to Fill Out the West Virginia Business Dissolution Form (CD-6 or LLD9)

To fill out a West Virginia business dissolution form, use Form CD-6 (Articles of Dissolution) if you are a corporation or Form LLD9 (Articles of Termination) if you are an LLC, enter the entity’s exact legal name, the date the owners authorized dissolution, a mailing address for future service of process, and an authorized signature, then file it with the Secretary of State with a $25 fee. The state will not finish processing it until the Tax Commissioner and the Bureau of Employment Programs both confirm you owe nothing, so handle tax clearance before you sign anything.

Pick the Right Form

Corporations file Form CD-6, Articles of Dissolution of a Voluntary Dissolution of a West Virginia Corporation. LLCs file Form LLD9, Articles of Termination of a West Virginia Limited Liability Company. Both are posted on the Secretary of State’s website and both carry the same $25 filing fee.1West Virginia Secretary of State. Using the wrong form is the easiest way to have your filing rejected. Match the form to the entity type on your original formation documents, not to how you refer to the business in conversation.

Get Tax Clearance Before You Sign

West Virginia Code 31D-14-1403 blocks the Secretary of State from issuing a certificate of dissolution until the Tax Commissioner and the Bureau of Employment Programs both confirm the business has paid everything it owes. That covers withholding, business and occupation tax, consumer sales tax, corporate net income tax, and unemployment insurance.3West Virginia Legislature. Request a Letter of Good Standing from the West Virginia Tax Division. If the business is not current, the Tax Division sends back a denial listing every missing return, unpaid balance, and other non-compliant item. Clear those, then request the letter again.4West Virginia Tax Division. Request for Letter of Good Standing Confirm separately with WorkForce West Virginia that your unemployment insurance account is clear, or that the account never had payments owed if you had no employees. The two clearances are independent.

Starting here saves weeks. If you file the form first and clearance comes back short, your dissolution sits unfinished while you chase down returns.

Confirm the Internal Authorization

The form asks for the date dissolution was authorized, and the person signing has to be able to say truthfully that it was. Signing a form you know contains false information is a misdemeanor under West Virginia law, punishable by a fine up to $1,000, jail up to a year, or both.

For a corporation, that date is the day shareholders voted to approve dissolution after a board recommendation under West Virginia Code 31D-14-1402. Approval needs at least a majority of the votes entitled to be cast at a meeting with a quorum, unless the articles of incorporation set a higher bar.5West Virginia Legislature. For an LLC, it is the date the members consented as required by the operating agreement, or the date of another triggering event under West Virginia Code 31B-8-801.6West Virginia Legislature. Filling Out Form CD-6 (Corporations)

CD-6 is a single page, but each entry has to match the corporation’s records on file. Work through it in order.

  • Corporation name. Enter the exact legal name as registered with the Secretary of State. Not a trade name, not a DBA, not an abbreviation you use on invoices.
  • Date dissolution was authorized. The date shareholders approved the proposal. Not today’s date, and not the date the board first proposed it.
  • Mailing address for service of process. Where the Secretary of State should forward any legal process served against the corporation after it dissolves. Use an address that someone will actually monitor.
  • Shareholder approval checkbox. For profit corporations, check the statement confirming that shareholders approved the proposal as required by West Virginia Code Chapter 31D-14.
  • Contact person. A name and phone number the Secretary of State’s office can call if a question comes up during processing.
  • Signature block. An officer of the corporation or the chairman of the board signs, prints their name, lists their title, and dates the signature.

File one signed original. Submit two originals if you want a date-stamped copy returned to you.

Filling Out Form LLD9 (LLCs)

LLD9 follows the same pattern with LLC-specific wording. You will enter:

  • The LLC’s exact legal name as registered.
  • The date dissolution was authorized under the operating agreement or the triggering event in West Virginia Code 31B-8-801.
  • A mailing address for future service of process.
  • The signature of an authorized manager or member, with printed name, title, and date.

The form itself lists the events under 31B-8-801 that trigger dissolution, so you can confirm which one applies as you fill it in. One signed original is enough to file; send two if you want a stamped copy back.

Submit the Form and Pay

You can file either way.

Online. The West Virginia One Stop Business Portal handles dissolutions and terminations electronically. Log in to your account, open your business dashboard, and follow the prompts. Payment runs through the portal.7West Virginia Secretary of State. Dissolve/Terminate a WV Business This is the faster route.

By mail. Send the signed original form (two if you want a stamped copy returned) with a $25 check or money order to:

Secretary of State, One Stop Business Center, 13 Kanawha Boulevard West, Suite 201, Charleston, WV 25302.

Standard processing runs roughly five to ten business days. Expedited processing is not available for dissolution filings, so build that into your timing. If the fee is missing or the payment fails, the form will not be processed and the entity stays active, which keeps annual report and other obligations running.

What You Get Back

Once the form is in and both agencies confirm clearance, the Secretary of State issues a certificate of dissolution (corporations) or a filed copy of the articles of termination (LLCs).3West Virginia Legislature. West Virginia Code 31D-14-1403 – Articles of Dissolution Keep that document permanently. Banks, insurers, and the IRS may ask for it years later.

A note on what filing the form does and does not do. A dissolved corporation continues to exist for the limited purpose of winding up — collecting assets, paying debts, and distributing what remains. It cannot take on new business.8West Virginia Legislature. West Virginia Code 31D-14-1405 Filing CD-6 or LLD9 starts that wind-up period; it does not close your federal tax accounts, cut off creditor claims, or cancel your EIN. Those are separate tasks on their own timelines.
