Fees Online filing through the Kentucky FastTrack system processes in about one business day.2Kentucky Secretary of State. Business Filings and Records Online Services The filing itself is quick and inexpensive, but a working LLC also needs a registered agent, an EIN, an operating agreement, and registration for the state taxes that apply to your business.
Pick a Name That Clears the State’s Rules
Your LLC’s name has to be distinguishable from every other entity already on file with the Secretary of State, and it must end with “limited liability company,” “limited company,” or an abbreviation such as “LLC” or “LC” under KRS 14A.3-010.3Kentucky Legislative Research Commission. Kentucky Code 14A.3-010 – Entity Name “Limited” can be shortened to “Ltd.” and “company” to “Co.” Professional LLCs use endings like “PLLC” or “PLC.”

What Goes on the Articles of Organization
Kentucky’s formation document is Form KLC, and it asks for four things under KRS 275.025:4Kentucky Secretary of State. Business Forms Library
- The LLC’s name, meeting the rules above.
- The registered agent and the physical street address of the registered office in Kentucky.
- The principal office address, which is where the company keeps its records or primarily conducts business. This address does not have to be in Kentucky.
- A statement of whether the LLC will be member-managed or manager-managed.
The management choice matters more than it looks. In a member-managed LLC, every owner can make decisions and bind the company. In a manager-managed LLC, only the designated managers hold that authority, which fits situations with passive investors or a split between ownership and daily control. An authorized representative signs the document to certify its accuracy.
Appoint a Registered Agent
Every Kentucky LLC must continuously maintain a registered agent and registered office in the state.5Kentucky Legislative Research Commission. Kentucky Revised Statutes 14A.4-010 – Registered Office and Registered Agent Required The agent accepts service of process and official notices for the LLC and can be either a Kentucky resident or a business authorized to operate in the state.
The registered office has to be a physical street address. A post office box will not satisfy the requirement. If the agent does not sign the formation document directly, they must deliver a separate written statement to the Secretary of State accepting the role. You can serve as your own agent, or hire a commercial service, which typically runs $50 to $125 per year.
File With the Secretary of State
Submit the completed Form KLC with the $40 filing fee. The quickest route is the Kentucky FastTrack online system, which processes filings in about one business day and accepts electronic payment. Filing online also catches blank or incomplete fields before you submit, which cuts down on rejections.
To file on paper, mail the form with a check or money order payable to the Kentucky State Treasurer to the Secretary of State’s office in Frankfort. Paper takes several business days longer. Once the filing is accepted, the Secretary of State sends confirmation to the registered agent or the filer.
Write an Operating Agreement
Kentucky doesn’t require you to file an operating agreement with the state, but this is where the real governance of your LLC lives. It covers what the Articles of Organization don’t: how profits and losses are allocated, what happens when a member leaves, how disputes get resolved, and who has authority over which decisions.
KRS 275.175 sets default rules that apply whenever the operating agreement is silent. By default, members vote in proportion to their capital contributions, and a majority-in-interest is needed for major actions like admitting new members, dissolving the company, or amending the agreement.6Justia. Kentucky Revised Statutes 275.175 – Number of Votes Required to Do Business You can override most of those defaults in your own agreement, which is the point of drafting one carefully. Even single-member LLCs benefit, because an operating agreement helps show the LLC is separate from its owner and reinforces the liability shield.
Get an EIN From the IRS
Most Kentucky LLCs need a federal Employer Identification Number, including single-member LLCs the IRS classifies as disregarded entities.7Internal Revenue Service. Single Member Limited Liability Companies The EIN is a nine-digit federal tax ID and is required to hire employees, file business returns, and report payroll taxes.8Internal Revenue Service. Understanding Your EIN Banks also typically require one before opening a business account.
Apply free through the IRS website. For online applications, the number is usually assigned immediately. Keep it separate from your Social Security number; the IRS treats them as different identifiers for different purposes.
Register for Kentucky Taxes
Limited Liability Entity Tax
Kentucky imposes a Limited Liability Entity Tax on every LLC doing business in the state. The minimum is $175 per year for LLCs with gross receipts of $3 million or less.9Kentucky Legislative Research Commission. Kentucky Revised Statutes 141.0401 – Limited Liability Entity Tax Between $3 million and $6 million, the tax follows a sliding scale, and above $6 million it is the lesser of 9.5 cents per $100 of gross receipts or 75 cents per $100 of gross profits. The LLET is separate from the income tax members pay on their own returns, though it can be credited against Kentucky income tax.
Sales Tax and Employer Withholding
If your LLC sells taxable goods, digital property, or certain services, register for a sales tax permit with the Kentucky Department of Revenue. The state rate is 6%, and there are no local sales taxes layered on top.10Kentucky Department of Revenue. Sales and Use Tax
Once you hire employees, register for employer withholding through the Department of Revenue’s MyTaxes portal. Kentucky’s withholding rate for 2026 is 3.5%, and all employers must file and pay electronically.11Kentucky Department of Revenue. Employer Payroll Withholding You will also need workers’ compensation coverage for your employees.12Kentucky Education and Labor Cabinet. Security and Compliance
File Your Annual Report Every Year
Every Kentucky LLC must file an annual report with the Secretary of State between January 1 and June 30, with a $15 fee.13Justia. Kentucky Revised Statutes 14A.6-010 – Annual Report14Kentucky Secretary of State. Annual Reports The report confirms that your registered agent, registered office, and principal office address are current. Manager-managed LLCs also list each manager’s name and business address.
Your first report isn’t due until the year after the calendar year you formed. Organize an LLC any time in 2026, and your first report is due between January 1 and June 30 of 2027. The information must be accurate as of the date you sign it.
Miss the June 30 deadline and your LLC heads toward administrative dissolution. The Secretary of State issues a notice of delinquency, and if the report still isn’t filed, the state can dissolve the LLC. Dissolution strips the company of legal standing and can put your members’ personal liability protection at risk. Reinstating a dissolved LLC costs $100 on top of the back fees and delinquent reports you need to catch up on. Setting a reminder for late May each year avoids the whole chain.
If Your LLC Was Formed in Another State
These steps form a Kentucky domestic LLC. If your LLC already exists in another state and you want to do business in Kentucky, you don’t form a new one. You register the existing LLC for a certificate of authority by filing Form FBE with the Secretary of State, with a $90 filing fee. Foreign LLCs still have to keep a Kentucky registered agent and registered office and still file the same annual report by the same June 30 deadline.
