Before you file, three decisions need to be settled: the LLC’s name, its registered agent, and its management structure. Each of those choices goes on the Articles of Organization, so it’s worth handling them in order.
Pick a Name That Meets Nevada’s Rules
Your LLC’s name has to be distinguishable from every other business entity already on file with the Nevada Secretary of State, and it must include a designator such as “Limited-Liability Company,” “Limited Liability Company,” “Limited Company,” “Limited,” or one of the abbreviations “LLC,” “L.L.C.,” “LC,” or “Ltd.”2Nevada Legislature. Some words trigger extra approvals. “Bank” or “trust” require advance approval from the Commissioner of Financial Institutions. “Accountant,” “accounting,” or “auditing” require certification from the Nevada State Board of Accountancy. Engineering-related terms need sign-off from the State Board of Professional Engineers and Land Surveyors.2Nevada Legislature. Line Up a Registered Agent
Every Nevada LLC must designate a registered agent with a physical street address in Nevada. That address becomes the LLC’s official registered office for lawsuits and government notices.3Nevada Legislature. If no member or manager has a Nevada street address, you’ll need a commercial registered agent service. Those typically run between $50 and $300 per year. The agent must sign an acceptance either on the Articles of Organization itself or on a separate acceptance form, so this needs to be arranged before you file.
Decide Between Member-Managed and Manager-Managed
In a member-managed LLC, every owner has authority to act on behalf of the business. In a manager-managed LLC, one or more designated managers run daily operations while other members stay passive. The Articles of Organization ask for the names and addresses of either all managers or all managing members, depending on which structure you choose.
One useful detail: the management address fields accept either a street address or a P.O. box. The street-address requirement is specific to the registered agent. If you’d rather keep a home address off the public record for management purposes, a P.O. box is acceptable there.
File the Articles of Organization
The formation document is filed under NRS Chapter 86. It contains the LLC’s name, registered agent information, and management details, and it must be signed by both the registered agent and the organizer. The organizer doesn’t have to be a member; any person can sign in that role.

File the Initial List and State Business License
Two more filings are due at the same time as the Articles, and Nevada’s portal lets you submit all three together.

The state business license costs $200 per year for an LLC. A limited set of entities are exempt, including nonprofits that qualify as tax-exempt under Section 501(c) of the Internal Revenue Code, home-based businesses whose net earnings fall below roughly two-thirds of Nevada’s average annual wage, and entities organized under the state’s nonprofit corporation chapters.5Nevada Legislature. Get an EIN and Choose Your Tax Classification
Once the state has approved your formation, apply for a federal Employer Identification Number from the IRS. It’s free. Apply at irs.gov and the number is issued immediately. You’ll need the Social Security number or taxpayer ID of the person who controls the LLC (the “responsible party”), and your state formation must already be complete.6Internal Revenue Service. By default, the IRS treats a single-member LLC as a “disregarded entity,” so the owner reports the LLC’s income on their personal return. A multi-member LLC is treated as a partnership by default and files Form 1065, with each member receiving a Schedule K-1. Either type can elect to be taxed as an S-corporation or C-corporation by filing Form 8832.7Internal Revenue Service. At the state level, Nevada imposes no personal or corporate income tax. An LLC pays no state tax on earnings unless its Nevada gross revenue exceeds $4 million per year, at which point the commerce tax kicks in at rates that vary by industry.8Nevada Legislature. Plan for Annual Renewals
After year one, the annual list and business license both come due on the last day of the LLC’s anniversary month. The annual list fee stays at $150, and missing the deadline triggers an automatic $75 penalty.4Nevada Legislature. Miss both, and the Secretary of State moves your LLC into “default” status and eventually revokes its right to transact business. Reinstatement means filing all delinquent annual lists, paying the $150 fee plus a $75 penalty for each missed year, and paying a separate $300 reinstatement fee. Adopt an Operating Agreement
Nevada does not require an operating agreement, but any multi-member LLC that skips one is letting state default rules govern the business, and those defaults rarely match what the owners actually intended.10Nevada Legislature. Nevada Code 86.286 – Operating Agreement The agreement is internal — it doesn’t get filed with the state. Adopting it requires the unanimous vote or written consent of all members.
A typical operating agreement covers:
- Ownership percentages and how additional capital contributions are handled
- Profit and loss allocation, which doesn’t have to follow ownership percentages
- Voting rights, including which decisions need a majority, unanimity, or a manager’s unilateral action
- Transfer restrictions on whether a member can sell or assign their interest
- Dissolution triggers and how assets are distributed on wind-down
A single-member LLC benefits from one as well, because it reinforces the separation between owner and entity that supports liability protection in the first place.
Check Local Licensing Separately
The state business license does not replace local licenses.
