You can form a North Carolina LLC online in about 15 minutes by filing Articles of Organization through the Secretary of State’s business registration portal at sosnc.gov. The filing fee is $125, and standard processing runs about five to seven business days. Expedited service is available for an added fee. Before you open the portal, you need three things ready: a compliant business name, a registered agent with a North Carolina street address, and the information that goes into Form L-01.
Pick a Name That Meets North Carolina’s Rules
Under G.S. § 55D-20, your LLC’s name must include one of these designators: “Limited Liability Company,” “L.L.C.,” “LLC,” “Ltd. Liability Co.,” “Limited Liability Co.,” or “Ltd. Liability Company.”1North Carolina General Assembly. North Carolina Code 55D-20 – Name Requirements
The name also has to be distinguishable from every other business entity already on file with the Secretary of State. Search the state’s business registry before you fall in love with a name. If there’s a conflict, choose something different or a spelling distinct enough to avoid confusion. North Carolina also prohibits names implying the LLC exists for a purpose outside what Chapter 57D allows.
Line Up a Registered Agent
Every North Carolina LLC needs a registered agent who accepts legal documents for the company. Under G.S. § 55D-30, the agent must have a physical street address in North Carolina and be available at that address during normal business hours.2North Carolina General Assembly. North Carolina Code Chapter 55D Article 4 – Registered Offices and Registered Agents A P.O. box won’t satisfy the requirement.
You can serve as your own registered agent if you have a qualifying North Carolina address and are reliably there during business hours. Many owners hire a commercial registered agent service instead, especially if they work from home and want to keep their address off public records, or if they travel often. Commercial services generally run $100 to $300 per year for single-state coverage.
If an agent later resigns, they file Form BE-07 (Statement of Resignation) with the Secretary of State at no cost. The resignation takes effect 31 days after filing, so you have a window to appoint a replacement.
Complete the Articles of Organization (Form L-01)
The Articles of Organization is the document that creates your LLC. North Carolina uses Form L-01, which reflects the requirements in G.S. § 57D-2-20 and § 57D-2-21.3North Carolina Department of the Secretary of State. Limited Liability Company Articles of Organization Form L-01 You can download it as a fillable PDF or enter the information directly through the online filing system.
Form L-01 asks for:
- The LLC’s full name, including an approved designator.
- The name and address of each organizer signing the articles, and whether each signs as a member, an organizer, or both.
- The registered agent’s full name and the street address (with county) of the registered office in North Carolina.
- The principal office’s street address and county, if the LLC has one. If it doesn’t, you say so on the form.
- The effective date. Filings take effect on the filing date unless you specify a future date up to 90 days out.
One point that catches people off guard: Form L-01 has no dedicated field for whether the LLC is member-managed or manager-managed. That belongs in your operating agreement. The form does include an optional Item 7 where you can attach additional provisions, but the state does not need any management-structure language to approve the filing.
File Online and Pay the $125 Fee
Create an account on the Secretary of State’s online business registration system at sosnc.gov. From the dashboard, start a new business entity. You can upload a completed Form L-01 or type the information directly into the system’s prompts. The interface checks that required fields are filled before you can move on.
After an authorized organizer applies an electronic signature, the system collects the $125 fee by credit card or electronic check. A small convenience fee applies. You’ll get a confirmation receipt, and the filing enters the review queue.
Standard processing takes roughly five to seven business days. If you need faster approval, North Carolina offers two expedited tiers: $100 for 24-hour turnaround and $200 for same-day service, with same-day requests due before noon. Track your filing under “My Filings” on your dashboard.
Get an EIN and Register for State Taxes
Once the state approves your articles, apply for an Employer Identification Number through the IRS. The EIN is the federal tax ID your LLC needs to open bank accounts, file returns, and hire employees. The IRS recommends forming the entity with the state first, because applying for the EIN before formation can cause delays.4Internal Revenue Service. Get an Employer Identification Number The online application is free and issues the number immediately.
Federal tax treatment depends on how many members your LLC has. A single-member LLC is a “disregarded entity” by default, with income flowing to your personal return, typically on Schedule C. A multi-member LLC is treated as a partnership and files Form 1065.5Internal Revenue Service. Single Member Limited Liability Companies You can elect corporate taxation instead by filing Form 8832 if that fits your situation.
At the state level, register separately with the North Carolina Department of Revenue if your LLC will have employees, collect sales tax, or owe withholding. Registration goes through the Department of Revenue’s online system.6North Carolina Department of Revenue. Business Registration North Carolina’s individual income tax rate drops to 3.99% for 2026, which is the rate that applies to pass-through LLC income on your personal return.
Write an Operating Agreement
North Carolina does not file operating agreements with the Secretary of State, and G.S. § 57D-2-30 describes what an operating agreement covers rather than expressly requiring one.7North Carolina General Assembly. North Carolina Code 57D-2-30 – Scope, Function, and Limitations of Operating Agreements Skipping one is still a common mistake. Without an agreement, Chapter 57D’s default rules govern profit-sharing, member exits, and everything in between, and those defaults may not match what the owners actually agreed to.
At a minimum, your agreement should cover ownership percentages, how profits and losses are divided, whether the LLC is member-managed or manager-managed, what happens when a member wants to leave, and how the company can be dissolved. Single-member LLCs benefit too. An agreement documents that the LLC is a separate entity from you personally, which reinforces the liability protection you formed the LLC to get.
Mark April 15 for the Annual Report
Every North Carolina LLC must file an annual report by April 15. Online filing costs $203; paper filing costs $200. You file through the Secretary of State’s website.
The state doesn’t charge late fees, but it doesn’t ignore missed deadlines either. Miss the date and you’ll get a notice warning of administrative dissolution. You then have 60 days to file the overdue report. If you still don’t file, the state can dissolve your LLC, which ends your liability protection and your right to use the business name. Reinstatement means additional paperwork and fees, so a calendar reminder is worth setting the day your LLC is approved.
Licenses and a Business Bank Account
North Carolina has no single statewide business license. Some businesses face several state requirements; others face none.8nc.gov. Start My Business The state’s Business and Occupational License Database (NCBOLD) lets you search by business type to see which licenses or permits apply. Many cities and counties also require their own local business privilege licenses, with fees that vary by jurisdiction.
To open a business bank account, most banks want your EIN, a certified copy of your Articles of Organization (downloadable from the Secretary of State’s portal after approval), your operating agreement, and any required business licenses.9U.S. Small Business Administration. Open a Business Bank Account Keep business funds separate from personal accounts. Mixing them is one of the fastest ways to invite a court to pierce the veil and hold you personally responsible for company debts.
What About FinCEN Beneficial Ownership Reporting?
If you’ve seen warnings about federal Beneficial Ownership Information reports, they no longer apply to a North Carolina LLC formed in the United States. In March 2025, FinCEN published an interim final rule exempting all domestic entities from the Corporate Transparency Act’s BOI reporting requirements.10FinCEN.gov. Beneficial Ownership Information Reporting As of 2026, you do not need to file a BOI report with FinCEN when you form your LLC.
