How to Form a Religious Corporation in Tennessee

To form a religious corporation in Tennessee, file a nonprofit corporation charter with the Secretary of State for a $100 fee, obtain an Employer Identification Number from the IRS, appoint a board of at least three directors, adopt bylaws, and then pursue federal and state tax exemptions. The charter is the legal act that creates the entity; everything else builds on it.

File the Charter With the Secretary of State

Tennessee treats religious corporations as a category of nonprofit, so the charter follows the requirements in T.C.A. ยง 48-52-102.1Justia. Tennessee Code 48-52-102 – Charter The Secretary of State provides a fill-in form. You will need to include:

  • A corporate name that is distinguishable from every other entity already on file.
  • A statement that the corporation is a religious corporation. A separate statement of purpose is optional but useful for grant applications and lender due diligence.
  • A designation as a public benefit or mutual benefit corporation. Most religious corporations choose public benefit.
  • The name and Tennessee street address of a registered agent who can accept legal documents.
  • Whether the corporation will have formal members.
  • The name and address of each incorporator. Whoever signs the charter must be listed as an incorporator.
  • The physical address of the principal office.
  • Dissolution provisions describing how assets will be distributed if the corporation ever winds down.

The filing fee is $100, payable by mail, online, or in person.2Tennessee Secretary of State. Instructions for Charter Nonprofit Corporation

Tennessee law requires that dissolution assets go somewhere lawful. If a religious corporation dissolves, its assets cannot be divided among individual members; remaining assets must go to one or more 501(c)(3) organizations, another public benefit corporation, or a state or local government entity.3Justia. Tennessee Code 48-64-106 – Effect of Dissolution Spell that path out in the charter now rather than leaving it ambiguous.

Get an Employer Identification Number

Once the Secretary of State approves the charter, apply for an EIN from the IRS. You need one before opening a bank account, hiring employees, or filing any tax document. The application is free at irs.gov.

Appoint a Board and Adopt Bylaws

Tennessee requires every nonprofit corporation to have a board of directors.4Justia. Tennessee Code 48-58-101 – Requirement for and Duties of Board of Directors Religious corporations often use titles like elders, deacons, or trustees, but the board must have at least three members. The charter or bylaws set the exact number, but it can never drop below three.5Justia. Tennessee Code 48-58-103 – Number of Directors

Directors owe the corporation a duty of care (making informed decisions, reviewing financials before approving them) and a duty of loyalty (putting the corporation’s interests ahead of personal gain). Those duties attach to every decision, from approving a budget to authorizing a property purchase.

Bylaws are the internal rulebook. They spell out how directors are appointed and removed, how votes are conducted, what officers the corporation will have, and how meetings are called. Tennessee does not mandate a specific meeting schedule, but holding at least one annual meeting for financial review is standard practice. Keep written minutes of every board meeting. Sloppy record-keeping is the fastest way to undermine the liability protections that incorporation is supposed to provide.

Adopt a written conflict of interest policy at the same time. The IRS strongly encourages one for every 501(c)(3), and Form 1023 asks whether your organization has adopted it.6Internal Revenue Service. Form 1023: Purpose of Conflict of Interest Policy The policy should require any director or officer with a financial interest in a transaction to disclose it and step out of the vote.

Secure Federal Tax-Exempt Status

Section 501(c)(3) of the Internal Revenue Code covers organizations operated exclusively for religious, charitable, or educational purposes.7Office of the Law Revision Counsel. 26 U.S. Code 501 – Exemption From Tax on Corporations, Certain Trusts, Etc. What you have to do depends on whether your organization is a church.

Churches, synagogues, mosques, and similar houses of worship are automatically considered tax-exempt under federal law without filing an application.8Internal Revenue Service. Churches, Integrated Auxiliaries and Conventions or Associations of Churches Many still apply for a formal determination letter because donors, banks, and grant-makers often want to see one.

Religious corporations that are not churches, such as faith-based schools, mission organizations, or parachurch ministries, must apply by filing IRS Form 1023. A shorter version, Form 1023-EZ, is available if annual gross receipts have not exceeded $50,000 in any of the past three years and you do not project exceeding that amount in the next three years.9Internal Revenue Service. Instructions for Form 1023-EZ

Once exempt, know the boundaries. Every 501(c)(3) is absolutely prohibited from participating in any political campaign for or against a candidate for public office; violations can trigger revocation and excise tax penalties.10Internal Revenue Service. Restriction of Political Campaign Intervention by Section 501(c)(3) Tax-Exempt Organizations Limited lobbying on legislation is permitted, but it cannot be a substantial part of the organization’s activities. Churches and certain church-affiliated organizations are exempt from filing the annual Form 990; non-church religious corporations must file Form 990 or 990-EZ each year.11Internal Revenue Service. Claim Tennessee Tax Exemptions

State tax relief is not automatic. Each exemption has its own paperwork.

Franchise and Excise Tax

Nonprofit organizations are generally exempt from Tennessee’s franchise and excise taxes. A religious corporation that sticks to its exempt purposes does not need to register with the Department of Revenue for these taxes. The exemption disappears if the corporation earns unrelated business income, in which case it must register and file returns on that income.12Tennessee Department of Revenue. Sales and Use Tax

Religious corporations can purchase goods and services tax-free for their exempt purposes, but only after obtaining a certificate of exemption. Submit an application to the Department of Revenue with documentation of your federal tax-exempt status.13Tennessee Department of Revenue. Application for Exempt Organizations or Institutions Sales and Use Tax Exemption Present the certificate to vendors at the time of purchase. Supplies for a church potluck qualify; inventory for a for-profit bookstore does not.

Property Tax

Tennessee exempts real and personal property owned by a religious institution from property tax, but only the portion used purely and exclusively for the organization’s religious purposes. If part of a building is leased to a commercial tenant, that portion gets taxed even if the rental income funds the ministry.14Justia. Tennessee Code 67-5-212 – Religious, Charitable, Scientific, Educational Institutions – Assessment Act No organization is automatically exempt. You must apply to the Tennessee State Board of Equalization for each parcel of property.15Tennessee State Board of Equalization. Property Tax Exemptions

Handle Employment Obligations Before Hiring

Once you have staff, several tax and insurance rules kick in. Most religious corporations must withhold and pay the employer’s share of Social Security and Medicare taxes (FICA) on employee wages. Churches and qualified church-controlled organizations that are religiously opposed to paying those taxes can elect exemption from the employer’s share by filing IRS Form 8274. The election must be filed after hiring employees but before the first employment tax return is due.16Internal Revenue Service. Certification by Churches and Qualified Church-Controlled Organizations Electing Exemption From Employer Social Security and Medicare Taxes Organizations that sell goods or services to the public beyond an incidental level, or that get more than 25 percent of their support from government sources and commercial receipts, do not qualify for this election.

All 501(c)(3) organizations are exempt from federal unemployment tax (FUTA).17Internal Revenue Service. Section 501(c)(3) Organizations – FUTA Exemption Tennessee requires workers’ compensation insurance for any employer with five or more employees; construction businesses must carry coverage regardless of headcount.18Tennessee Department of Labor and Workforce Development. Who Must Carry Insurance Part-time employees count toward the threshold.

If you compensate a minister, the board can designate part of the minister’s salary as a housing allowance, which the minister then excludes from gross income for income tax purposes. The designation must happen in advance of payment, not retroactively. The excludable amount is the smallest of three figures: the amount the board officially designated, the amount the minister actually spent on housing, or the fair market rental value of the home including utilities and furnishings.19Internal Revenue Service. Ministers’ Compensation and Housing Allowance The allowance remains subject to self-employment tax.

Keep the Corporation in Good Standing

Every Tennessee nonprofit corporation must file an annual report with the Secretary of State. The fee is $20, plus another $20 if you change your registered agent or office at the same time.20Tennessee Secretary of State. Frequently Asked Questions for Businesses The Secretary of State can begin administrative dissolution proceedings if the report is not filed within two months of its due date.21Justia. Tennessee Code 48-64-201 – Grounds for Administrative Dissolution A dissolved corporation can apply for reinstatement by showing the grounds have been corrected, and if approved, the reinstatement relates back to the date of dissolution.22Justia. Tennessee Code 48-64-203 – Reinstatement Contracts signed during the gap can still be challenged, so avoiding the lapse is far better than fixing it.

Bona fide religious institutions, including churches, established places of worship, and integral parts of religious organizations that are exempt from filing IRS Form 990, are exempt from registering with the Tennessee Division of Charitable Solicitations and Gaming.23Justia. Tennessee Code 48-101-502 – Exemptions If your organization conducts substantial fundraising outside its own congregation and does not clearly fit the exemption, registering voluntarily is the safer path.

If your corporation operates under a name different from the legal name in its charter, file an assumed name registration with the Secretary of State. This is common when a church’s legal name is formal but it goes by a shorter name in the community.
