How to Form a Wyoming Holding Company: Filing and Annual Steps

Pick and Check the Name

File the Formation Documents

Articles of Organization (LLC)

Wyoming asks for very little in an LLC formation. Articles of Incorporation (Corporation)

Get an EIN

Apply for an Employer Identification Number from the IRS, even if the holding company has no employees. Banks require an EIN to open a business account, and you’ll need one for federal filings. Draft an Operating Agreement or Bylaws

Wyoming doesn’t require an LLC to have a written operating agreement, but without one, the default rules in the Wyoming LLC Act govern management, ownership transfers, and distributions.11Justia Law. Open a Dedicated Bank Account

Open a bank account in the company’s name. Mixing personal and company funds is the fastest way to undermine the liability protection the entity provides. Banks typically ask for the EIN, a copy of the filed articles, and the operating agreement or bylaws. Some also want a certificate of good standing from the Secretary of State.

Keep the Records

Wyoming corporations must maintain certain records at the principal office, including current articles and bylaws, board resolutions, shareholder meeting minutes for the past three years, and a list of current directors and officers.12Justia Law. File the Annual Report on Time

The fee doubles as a license tax on assets located in Wyoming. If Wyoming-based assets total $300,000 or less, the fee is $60. Miss the deadline and the company becomes delinquent the next day. If the report isn’t filed within 60 days, Wyoming administratively dissolves the entity. Know the Limits of the Wyoming Filing

Forming in Wyoming doesn’t give you the right to operate everywhere. If the holding company actively conducts business in another state — signing contracts, keeping an office, employing workers — that state will usually require you to register as a foreign entity and get a certificate of authority. Passively holding ownership interests in subsidiaries generally doesn’t trigger registration. Penalties for operating without registering vary by state and can include fines, loss of access to that state’s courts to enforce contracts, and in some cases personal liability for officers or members. If subsidiaries or real estate span multiple states, budget for those registrations and fees from the start.

On beneficial ownership reporting, FinCEN issued an interim final rule in March 2025 that removed the Corporate Transparency Act’s BOI reporting requirement for entities created in the United States. Only companies formed under foreign law and registered to do business in a U.S. state currently have to file.15FinCEN.
