How to Form an LLC in Nebraska: Filing, EIN, and Biennial Reports

To form an LLC in Nebraska, file a Certificate of Organization with the Secretary of State (currently $100 online or $110 on paper), then publish a notice of the LLC’s formation in a local legal newspaper once a week for three consecutive weeks and file the newspaper’s proof of publication with the state. From filing to finished paperwork, plan on roughly two to four weeks.

Pick a Name That Meets Nebraska’s Rules

Your LLC’s name has to include “Limited Liability Company,” “Limited Company,” or an abbreviation such as LLC, L.L.C., L.C., or LC. “Limited” can be shortened to “Ltd.” and “Company” to “Co.”1Nebraska Legislature. Nebraska Revised Statutes Chapter 21 Corporations and Other Companies 21-108 Name It can’t be the same as, or deceptively similar to, any other entity already on file. Run your candidate through the Secretary of State’s business entity search before you get attached to it.

If you’re not ready to file, you can hold a name for 120 days with a name reservation application and a $30 fee.2Nebraska Legislature. Line Up a Registered Agent

Every Nebraska LLC needs a registered agent with a physical street address in the state who is available during business hours to accept legal papers and government notices. You can serve as your own agent if you have a qualifying Nebraska address, or hire a commercial service, which typically runs $50 to $300 per year.

Keep this information current after formation. If the Secretary of State can’t reach the LLC through its registered agent, the state can administratively dissolve the company, and reinstating it means more paperwork and more fees.4Nebraska Secretary of State. Annual/Biennial Reporting

File the Certificate of Organization

The Certificate of Organization is what actually creates the LLC. Nebraska’s version is short. You provide:

Nebraska doesn’t ask you to name members or state a purpose on this form. Publish the Notice of Organization

This is the step that trips up out-of-state filers. Once the Certificate of Organization is approved, Nebraska law requires you to publish a notice of the LLC’s formation in a legal newspaper of general circulation near the LLC’s designated office. The notice runs once a week for three consecutive weeks and repeats the core information from the Certificate: the LLC’s name, the designated office address, and related formation details.7Nebraska Legislature. Nebraska Revised Statutes 21-193 Notice Publication Required Filing

After the third week, the newspaper issues a proof of publication (sometimes called an affidavit of publication). File that proof with the Secretary of State.7Nebraska Legislature. Nebraska Revised Statutes 21-193 Notice Publication Required Filing Don’t let this slide. Under the statute, if the required notice isn’t given, acts of the LLC before publication may be treated as invalid until publication is completed and proof is filed. In practical terms, that’s a potential gap in your liability shield. Publication costs vary by paper and county, generally between $40 and $150.

Get an EIN from the IRS

An Employer Identification Number is the nine-digit federal tax ID your LLC uses to open a bank account, hire employees, and file certain returns. Apply directly on the IRS website. It’s free, and most applicants receive the number immediately.8Internal Revenue Service. Get an Employer Identification Number You’ll need the LLC’s legal name and the Social Security number or taxpayer ID of the responsible party.

Order matters. The IRS recommends forming the entity with the state before applying, since applying too early can delay processing.8Internal Revenue Service. Get an Employer Identification Number Ignore any third-party site charging a fee for EINs. You never need to pay for one.

Register with the Nebraska Department of Revenue

If your LLC will have employees, collect sales tax, or engage in any other activity subject to Nebraska taxes, register with the Department of Revenue using Form 20, the Nebraska Tax Application.9Nebraska Department of Revenue. Starting a Business in Nebraska You can file online or on paper; paper takes about two weeks.

A couple of common triggers:

  • Selling goods or taxable services means you’ll get a Sales Tax Permit, which has to be displayed at each retail location, and each physical location needs its own application.
  • Hiring employees means registering for Nebraska income tax withholding, with your filing frequency set by how much you withhold.

You’ll need your federal EIN to complete the state registration, so finish the IRS step first.9Nebraska Department of Revenue. Starting a Business in Nebraska

Write an Operating Agreement

Nebraska doesn’t require you to file an operating agreement with the state, and there’s no penalty for not having one. That doesn’t make it optional in any practical sense. The operating agreement is the contract among the members: ownership percentages, how profits are split, voting rules, what happens when someone wants out. Without a written agreement, Nebraska’s default rules under the Uniform Limited Liability Company Act fill every gap, and those defaults may not match what you and your partners actually decided.10Nebraska Legislature. Nebraska Revised Statutes 21-110 Operating Agreement Scope Function and Limitations

Single-member LLCs benefit too. A written agreement reinforces the separation between owner and entity that limited liability depends on, and banks routinely ask to see one when you open a business account.11U.S. Small Business Administration. Open a Business Bank Account

Commingling personal and business money is one of the fastest ways to weaken your liability protection. Open a dedicated business checking account once you have the EIN and formation documents in hand. Banks commonly ask for the EIN, the Certificate of Organization, your operating agreement, and a government-issued ID for each owner.11U.S. Small Business Administration. Stay Current with Biennial Reports

Nebraska LLCs file a biennial report in odd-numbered years. It’s due by April 1, and any LLC that hasn’t filed becomes delinquent on June 16 of that same year.4Nebraska Secretary of State. Annual/Biennial Reporting The report reconfirms basic details: LLC name, registered agent, designated office. A filing fee applies.

Miss it and the Secretary of State can administratively dissolve the LLC.4Nebraska Secretary of State. Annual/Biennial Reporting Dissolution can affect your ability to enforce contracts, protect your name, and rely on the liability shield. Treat April 1 in odd-numbered years like a tax deadline.

If You Provide a Licensed Professional Service

If the LLC will provide a licensed professional service such as law, medicine, or accounting, Nebraska may require a Professional Limited Liability Company instead of a standard LLC. Before offering those services, the PLLC must deliver a certificate of registration from the relevant licensing board to the Secretary of State, listing every member, manager, and professional employee who holds a license and confirming that everyone required to be licensed is.12Nebraska Legislature. Contact your licensing authority early.

Federal Beneficial Ownership Reporting

You’ve probably seen warnings about reporting beneficial owners to FinCEN under the Corporate Transparency Act. Under an interim final rule published in March 2025, all entities formed in the United States are exempt from that requirement, and FinCEN has stated it will not enforce beneficial ownership reporting penalties against domestic companies or their owners.13FinCEN.gov. Beneficial Ownership Information Reporting The rule now applies only to entities formed under foreign law that register to do business in a U.S. state. A standard Nebraska LLC doesn’t file a BOI report.
