To form an LLC in Nevada, you file articles of organization with the Secretary of State along with an initial list of members or managers and an application for a state business license. The three filings go in together and cost $425 total: $75 for the articles, $150 for the initial list, and $200 for the business license. Pick a Name That Will Clear the Filing
Your LLC name has to include one of Nevada’s approved designators: “Limited-Liability Company,” “Limited Liability Company,” “Limited Company,” “Limited,” or the abbreviations “Ltd.,” “L.L.C.,” “L.C.,” “LLC,” or “LC.” You can also shorten “Company” to “Co.”1Nevada Legislature. Search the Secretary of State’s business database before you commit. The name must be distinguishable from every entity already on file, and articles get rejected if it’s too close to an existing one. Written consent from the other entity is technically an out, but picking a different name is easier.1Nevada Legislature. Nevada Code 86.171 – Name of Company: Distinguishable Name Required
A few word categories cause trouble. Names that mimic government agencies are off-limits, and banking or insurance terms need approval from the relevant state regulator. Professional LLCs in fields like law, medicine, or accounting have to show proof of licensing.
Line Up a Registered Agent
Every Nevada LLC needs a registered agent with a physical Nevada street address. A P.O. box does not qualify. That address becomes your registered office, and it’s where lawsuits and official notices get delivered.2Nevada Legislature. You can act as your own agent if you have a Nevada address and are reliably available during business hours. Otherwise, commercial registered agent services run $35 to $350 per year. Hiring one makes particular sense if you live outside Nevada or would rather keep your home address off public filings.
File the Articles of Organization

Under NRS 86.161, the articles must include:
- The LLC’s full name with an approved designator.
- The name and Nevada street address of your registered agent.
- The name and address of each organizer signing the articles.

If you want the LLC to start on a specific future date, list an effective date in the articles. Otherwise it takes effect the moment the filing is accepted.
Member-Managed or Manager-Managed
You have to pick one before you file, because the choice goes into the articles. In a member-managed LLC, every owner participates in running the business and has equal say in decisions unless the operating agreement says otherwise. This is Nevada’s default and fits small businesses where every owner is hands-on.
In a manager-managed LLC, designated managers handle daily operations, sign contracts, and hire employees without needing sign-off from every owner. Members still vote on major structural decisions like mergers or dissolution. This structure suits LLCs with passive investors or those that want to bring in outside management.
File the Initial List and State Business License
This is the part new filers often miss. Along with the articles, you have to submit an initial list of members or managers, which gives the name, title, and address of every manager (or every managing member, if member-managed). At the same time, you apply for the Nevada state business license through the Secretary of State. So the true day-one cost is $425: $75 for the articles, $150 for the initial list, and $200 for the business license. Budget for all three.
Get an EIN From the IRS
An Employer Identification Number is a nine-digit federal tax ID. You need one if your LLC has more than one member, plans to hire employees, or will elect corporate tax treatment. Single-member LLCs often get one anyway to keep the owner’s Social Security number off business paperwork.10Internal Revenue Service. Employer Identification Number
Applying is free. The online application on the IRS website takes about ten minutes and gives you the EIN immediately.10Internal Revenue Service. Employer Identification Number If you don’t have a Social Security Number or ITIN, the online form won’t work, and you’ll need to file Form SS-4 by mail or fax. There’s no U.S. citizenship or residency requirement to get an EIN.
Choose How Your LLC Will Be Taxed
The IRS has no separate LLC tax category. By default, a single-member LLC is treated as a disregarded entity and taxed like a sole proprietorship. A multi-member LLC is taxed as a partnership. Either way, profits pass through to the owners’ personal returns.
You can override the default with an election. Form 8832 lets you elect to be taxed as a corporation, partnership, or disregarded entity.11Internal Revenue Service. S-corp treatment can cut self-employment taxes for owners who pay themselves a reasonable salary and take remaining profits as distributions. It doesn’t work for every LLC. Talk to a tax professional before you file, because opting in is easier than reversing course.
Put an Operating Agreement in Writing
Nevada doesn’t require an operating agreement, but going without one is a mistake for any LLC with more than one member.13Nevada Legislature. NRS Chapter 86 – Limited-Liability Companies – Section: NRS 86.286 Without one, disagreements over money, management, and ownership get resolved by default state law rules that probably don’t match what you and your co-owners actually agreed to. Single-member LLCs benefit too, because the agreement reinforces the separation between owner and business.
The agreement must be adopted by unanimous consent of the members and can be put in place before, at the time of, or after filing. At minimum, it should cover:
- Capital contributions from each member and whether more can be required later.
- How profits and losses are split and when distributions happen.
- Who can sign contracts, hire employees, and make routine decisions, and what threshold (majority or unanimous) applies to major moves like selling assets or taking on significant debt.
- Restrictions on transferring ownership to outsiders, often including a right of first refusal.
- Buyout terms for a member who dies, becomes disabled, retires, or wants out, including how the interest gets valued.
- How the LLC winds down if the members decide to close it.
Nevada’s charging order protection is one of the strongest in the country, meaning a creditor with a judgment against an individual member cannot seize the LLC’s assets. That protection holds up better when the operating agreement explicitly states that creditors have no voting or management rights and that a charging order is just a lien on distributions, not a transfer of ownership.
Add Any Local Licenses and Permits
The state business license covers your general obligation to Nevada, but it isn’t the whole picture. Depending on what you do and where, you may need county or city permits: health department permits for food businesses, home occupation permits for a home-based LLC, or zoning approvals confirming your location can be used for commercial activity. Keep Up With Annual Filings
Formation isn’t the end of your compliance work. Every year you have to file two things to keep the LLC in good standing.
An annual list of members or managers is due by the last day of the month your LLC was originally formed. If you filed articles in March, the annual list is due every March 31. That’s $350 per year in state fees to maintain the LLC, before any registered agent costs or local license renewals. Miss the deadline and Nevada tacks a $75 late penalty onto the annual list fee. Stay in default long enough and the Secretary of State can revoke the LLC, which strips your liability protection until you reinstate.14Nevada Legislature. One item you can cross off: the federal Beneficial Ownership Information report under the Corporate Transparency Act.
