There is no single business license in Iowa, so getting a business license in Iowa really means assembling the right set of registrations and permits for your situation. Almost every business forms a legal entity with the Secretary of State and registers for a free sales and use tax permit with the Department of Revenue. From there, what you need depends on your industry, whether you hire employees, whether you serve alcohol, and what city or county you operate in. Most of the state filings can be done online, and many businesses spend under $100 in state fees to get started.
Form Your Business Entity First
Before you can register for tax permits or apply for industry licenses, you need a legal entity on file with the Iowa Secretary of State. LLCs and corporations are the common choices, and both cost $50 to form.1Iowa Secretary of State. Business Entity Forms and Fees If your business was formed in another state and wants authority to operate in Iowa, the Foreign Registration Statement is $100.
The Fast Track Filing system is the quickest route. It processes formations in minutes and handles name reservations, incorporations, LLC filings, and biennial reports.2Iowa Secretary of State. What Filings Can I Complete on Fast Track Filing Paper filings are available but take substantially longer.
Once the entity exists, get a Federal Employer Identification Number (EIN) from the IRS. It is free, takes a few minutes online, and is required before you can register for Iowa taxes.3Internal Revenue Service. Get an Employer Identification Number A sole proprietor with no employees can sometimes use a Social Security number, but partnerships, corporations, and anyone hiring workers must have an EIN.
Register for the Iowa Business Tax Permit
Any business that sells tangible goods, digital products, or taxable services in Iowa must hold a sales and use tax permit from the Department of Revenue.4Iowa Legislature. Iowa Code 423.36 – Permits Required to Collect Sales or Use Tax This is the closest thing Iowa has to a universal “business license.” The permit lets you collect the 6% state sales tax plus the 1% local option sales tax where it applies.5Department of Revenue. Iowa Tax/Fee Descriptions and Rates There is no fee to register.6Department of Revenue. Business Permit Registration
Register online through the GovConnectIowa portal. Have these items ready before you start:
- Your federal EIN.
- The legal business name and address exactly as filed with the Secretary of State.
- Your NAICS code, which classifies your business activity.
- The full legal name, Social Security number or ITIN, and ownership percentage for every owner, partner, or officer.
All of this feeds into the Iowa Business Tax Permit Registration (Form 78-005), online or on paper.7Iowa Department of Revenue. Iowa Business Tax Permit Registration, 78-005 Online filings produce a confirmation number right away. Paper filings go to the Department of Revenue’s Registration Services office in Des Moines, and the permit letter can take up to six weeks.6Department of Revenue. The same registration also covers withholding tax, hotel and motel tax, automobile rental tax, and several other tax types at no extra cost.6Department of Revenue. Business Permit Registration
File a Trade Name if You Need One
If you plan to operate under a name other than your own legal name or your entity’s formal name, Iowa law requires a verified statement filed with the county recorder where you do business.8Iowa Legislature. Iowa Code 547.1 – Use of Trade Name, Verified Statement Required The statement lists every person with an ownership interest and the business address. If ownership changes or the business dissolves, update the filing.
This requirement is mainly for sole proprietors and general partnerships. LLCs, corporations, limited partnerships, and nonprofits registered with the Secretary of State are exempt.8Iowa Legislature. Iowa Code 547.1 – Use of Trade Name, Verified Statement Required A registered entity that wants to use an additional name can file a Fictitious Name with the Secretary of State for $5.1Iowa Secretary of State. Business Entity Forms and Fees County recorder fees vary.
Check Whether You Need an Industry License From DIAL
Many industries cannot open with just a tax permit. The Iowa Department of Inspections, Appeals, and Licensing (DIAL) handles professional and occupational licenses across a wide range of fields.9Department of Inspections, Appeals, & Licensing. Licenses, Permits, and Registrations If your business is in one of these areas, you need a DIAL license before you open:
- Building and trades: electrical, plumbing, HVAC, and mechanical.
- Barbering and cosmetology, including estheticians, nail technologists, electrologists, and blow-dry stylists. Individual practitioners and the establishment itself are licensed separately.
- Food and lodging: hotels, restaurants, and food service operations.
- Health professions, including nursing and medical fields.
- Other regulated activities such as amusement rides, fireworks and explosives, gambling devices, swimming pools, tanning, and tattooing.
You can browse the full list and apply through the DIAL website.10Department of Inspections, Appeals, & Licensing. Other Professional Licensure Processing times vary. Some licenses require background checks, exams, or continuing education before the state will issue credentials.
Clear Local Permits, Zoning, and Alcohol Rules
State registrations do not replace what your city or county requires. Many Iowa municipalities issue their own business permits, and the categories differ by city. Des Moines, for instance, has separate permits for peddlers, mobile food vendors, transient merchants, pawn shops, and coin-operated machines. The city clerk’s office is usually the right starting point.
Zoning is a separate local layer. Before you sign a lease or convert a residential space into a workspace, confirm with your city or county planning department that your intended use is allowed in that zoning district. A home-based business may need a special-use permit or a variance.
If you sell alcohol, you need a license through the Alcoholic Beverages Division, which is housed within the Department of Revenue. License classes depend on whether you sell for on-premises consumption, off-premises sales, or operate as a manufacturer or wholesaler.11Department of Revenue. License Classifications Alcohol applications typically start locally, because the city council or county board of supervisors must approve the application before the state issues the license.
What Hiring Employees Adds
Taking on your first employee triggers a few more registrations.
Withholding Tax
Every Iowa employer required to withhold federal income tax must also withhold Iowa income tax. Registration is free through GovConnectIowa and can be done as part of the business tax permit application. Each new hire must complete an Iowa W-4 (Form 44-019) within 15 days; if they do not, you must withhold at zero allowances. You also report each new hire to the Iowa Department of Health and Human Services through the Centralized Employee Registry within 15 days.12Department of Revenue. Iowa Withholding Tax Information
Unemployment Insurance
Iowa Workforce Development administers unemployment insurance tax. You do not register for UI until you have actually paid wages in at least one calendar quarter.13Iowa Workforce Development. New Business Fact Sheet Once you cross that threshold, register at myIowaUI.org with your FEIN, the SSNs and ownership percentages of all principals, the date employment began, and wage details. The legal name must match the Secretary of State record exactly.
Workers’ Compensation Insurance
Iowa employers must carry workers’ compensation insurance for employees who are injured on the job.14Justia Law. Iowa Code 87.1 – Insurance of Liability Required Independent contractors, LLC members, sole proprietors, and partners are not treated as employees for workers’ comp, though they can buy their own coverage.15Department of Inspections, Appeals, & Licensing. Eligibility Coverage comes from a private insurer or, for qualifying employers, self-insurance.
What It Costs to Operate Without the Right Permits
Skipping the sales tax permit is not a paperwork oversight. Knowingly selling taxable goods or services without one is a serious misdemeanor under Iowa law.16Iowa Legislature. Iowa Code 423.40 – Penalties, Offenses, Limitation A serious misdemeanor carries up to one year in jail and a fine between $430 and $2,560. The Department of Revenue can also deny a permit to any applicant who is substantially delinquent on taxes, penalties, or interest owed to the state, which effectively keeps you from operating legally until the debt is cleared.4Iowa Legislature. Iowa Code 423.36 – Permits Required to Collect Sales or Use Tax
Operating without a required DIAL license can bring civil fines or cease-and-desist orders. Penalties vary by profession. The broader risk is that unlicensed work can void your contracts, expose you to personal liability, and make it harder to get properly licensed later.
Keeping Everything Current
Your sales tax permit does not expire on a fixed schedule, but it comes with filing obligations tied to how much tax you collect. Collect less than $1,200 in sales and use tax per year and you file annually by January 31. Collect $1,200 or more and you file and pay monthly, electronically.17Department of Revenue. Sales and Use Tax Permit, Return Filing, and Payment Changes Missing these deadlines is the fastest way to accumulate penalties and put the permit at risk.
LLCs and corporations also file a biennial report with the Secretary of State. The fee is $30 electronically or $45 on paper.18Legal Information Institute. Iowa Admin Code 721-40.7 – Biennial Reports Skipping it can lead to administrative dissolution of the entity, which creates tax and liability problems far more expensive to fix than the report.
If ownership changes or you convert to a different entity type, cancel your existing tax permit and apply for a new one under the new entity’s FEIN.19Legal Information Institute. Iowa Admin Code 701-201.7 – Change of Ownership or Business Organization This step is routinely forgotten during conversions and can leave mismatched records between the Secretary of State and the Department of Revenue that take months to untangle.
DIAL licenses follow their own renewal cycles that vary by profession. Nursing licenses, for example, renew every three years and expire on the 15th of the licensee’s birth month.20Department of Inspections, Appeals, & Licensing. License Renewals Check your specific license on the DIAL site for exact renewal deadlines and any continuing education requirements.
