How to Order and What It Costs

Use the exact legal name on file with the Secretary of State. A small discrepancy between the name you type and the name in the state’s records can hold up the request. If you’re not sure of your exact registered name, look it up first in the Secretary of State’s online business database.
The certificate reflects your status on the day it’s issued. Most banks, agencies, and other states won’t accept one older than 60 to 90 days, so order it close to when you’ll actually use it rather than months ahead.
What You Have to Be Current On Before You Order
Three things determine whether the Secretary of State will issue the certificate: your annual filings, your taxes, and your registered agent. Any one of them can block you.
Annual Certificate Filings

If your registered agent resigns, you have 30 days after the resignation certificate is filed to appoint a replacement. Why Requests Get Denied
The Secretary of State denies certificate requests when a business has unresolved compliance issues. The usual causes are unfiled annual certificates, outstanding tax liabilities, failure to maintain a registered agent, or an administrative suspension or dissolution already on the books.
A denial isn’t final, but you can’t get the certificate until every deficiency is cleared. If you’re up against a loan closing, a contract bid, or a foreign registration deadline, that timing gap is the real cost. Check your status before you actually need the certificate.
Businesses that have been administratively dissolved or had their charter suspended cannot legally operate in Oklahoma.
