What You Need Before You Start
Two pieces of information are enough to pull up the certificate:
- Your entity’s exact legal name as it appears in Secretary of State records, not a trade name or DBA.

What If the Download Option Doesn’t Appear
If the certificate button is missing from your entity’s summary page, your business is not in good standing. Two obligations keep an entity in good standing in Colorado: filing periodic reports on time and maintaining a registered agent with a valid Colorado address.5Colorado Secretary of State. Business FAQs – Reports If either lapses, the Secretary of State changes your status and the certificate becomes unavailable until you fix the underlying problem.
The periodic report is filed online for $25, and each entity has a reporting window based on its anniversary month, usually the month the entity was originally formed or registered. Curing Delinquency

Reinstating After Dissolution
If delinquency went unresolved long enough for the state to administratively dissolve the entity, you’ll need to file Articles of Reinstatement to restore it.9Colorado Secretary of State. Trade names your entity held before dissolution do not automatically carry over and may need to be re-registered.
How Long the Certificate Stays Useful
The certificate has no formal expiration date, but it reflects your entity’s status only at the moment you generated it. Banks, lenders, and state agencies that request one generally want a copy issued within the last 30 to 90 days. If you pulled one months ago for a different transaction, download a fresh PDF for the new request. Since the certificate is free and takes seconds to produce, there is no reason to reuse an old copy.
Using the Certificate Outside the United States
For a transaction abroad, the receiving country may require an apostille or authentication attached to the certificate.
