How to Get a Copy of Your LLC Certificate in NJ: Fees and Steps

To get a copy of your LLC certificate in NJ, order it from the Division of Revenue and Enterprise Services (DRES) through the Business Records Service portal, by mail, or in person in Trenton. The online route is fastest and delivers a certified PDF immediately after payment.1Division of Revenue and Enterprise Services. Business Records Service Before you place the order, decide which certificate you actually need, because DRES sells two different documents and picking the wrong one is the most common reason people pay twice.

Which Certificate Do You Need

DRES offers two documents that people often confuse.

A certified copy of your Certificate of Formation (sometimes called Articles of Organization) is an official reproduction of the founding document your LLC filed when it was created.2Division of Revenue and Enterprise Services. Division of Revenue and Enterprise Services Online Help Order this when a bank, lender, or counterparty wants to see the document that legally created your company. It does not say anything about whether your LLC is currently active.

A Certificate of Standing (also called Certificate of Status or Certificate of Good Standing) is a current snapshot confirming your LLC is authorized to do business in New Jersey. Banks typically want this when you open a commercial account, and other states require it when you register as a foreign LLC. DRES issues three versions:3NJ Treasury. State of NJ – NJ Treasury – DORES Guide Request

  • Short Form Standing, showing general business status and registered agent. Most banks and lenders accept this version.
  • Long Form Standing with Officers, adding listed managers or members and the date of your last annual report.
  • Long Form Standing with Charter Documents, combining current standing with copies of charter filings.

If you’re not sure which to buy, ask whoever requested it. Ordering a long form when the short form would do means paying more for information no one asked for. One other point worth clearing up: DRES cannot provide your operating agreement. That’s an internal document, never filed with the state.

Find Your 10-Digit Business Entity ID First

Every request requires your Business Entity ID, the 10-digit number DRES assigned when your LLC was formed. It’s printed on your original Certificate of Formation, directly under the business name.2Division of Revenue and Enterprise Services. Division of Revenue and Enterprise Services Online Help If you can’t find the document, use the free Business Entity Name Search on the DRES website to look it up by business name or keyword.

This is not your federal EIN. The EIN comes from the IRS for tax purposes; the Entity ID is a state-level identifier used only by DRES. Banks and agencies sometimes ask for both.

Ordering Online

Go to the Business Records Service at njportal.com and search for your LLC by name or Entity ID.1Division of Revenue and Enterprise Services. DRES accepts e-checks (with a $1 portal admin fee per transaction) and credit cards (with a $2 fee).2Division of Revenue and Enterprise Services. Two details catch people off guard. Online orders are delivered electronically only; DRES will not mail anything. And the download link stays active for 30 days, so save the PDF to your own files right away.

Check Your Standing Before You Order

If your LLC’s status is anything other than active, a Certificate of Standing will say so. Banks and partners who see “revoked” or “suspended” will walk away from the transaction. The most common cause of revocation in New Jersey is a missed annual report.

Every New Jersey LLC must file an annual report with a $75 fee, due on the last day of the month the LLC was formed.5Business.NJ.gov. Taxes and Annual Report An LLC formed in March owes its report every March 31. The state doesn’t always send reminders. Missing two consecutive filings can get your charter revoked.

If your LLC has already been revoked, reinstate it first through the online reinstatement service on the DRES website. You’ll enter your Entity ID and original formation date, and the system will tell you whether you also need a tax clearance from the Division of Taxation. Any outstanding tax liability must be paid in full before DRES will restore active status.6NJ Treasury. Reinstate a Revoked or Voided Business Don’t order a standing certificate until reinstatement is complete, or you’ll pay for a document that confirms the problem rather than solving it.

If You Need the Certificate for Use Abroad

A standard certified copy is not enough for international use. For countries in the 1961 Hague Convention, you need an apostille; for countries outside it, you need federal authentication from the U.S. Department of State.7Travel.State.Gov. Preparing your Document for an Apostille Certificate

DRES handles apostilles on New Jersey business documents directly. Order through its online Apostille/Certification Service, pay by credit card or e-check, and then mail or drop off the original certified document (with original signature and seal) to DRES at P.O.
