How to Get a Montana Tax Clearance Certificate

A Montana tax clearance certificate is a free document from the Montana Department of Revenue confirming that a business has filed every required return and paid every tax, penalty, and interest amount owed to the state. You request it through the department’s TransAction Portal at tap.dor.mt.gov using Form CR-T, and the department aims to process requests within 30 days.1Montana Department of Revenue. When You Actually Need One

Not every business exit requires this document. The Department of Revenue says a straightforward voluntary dissolution or withdrawal filed with the Secretary of State generally does not need a tax clearance certificate.1Montana Department of Revenue. Tax Certificates The certificate becomes mandatory when the state needs proof that a departing or delinquent entity has settled its tax obligations before regaining or giving up legal status.

The common triggers:

When in doubt, request the certificate anyway. There is no cost, and having it in hand avoids delays if the Secretary of State asks for it.

Tax Certificate vs. Tax Clearance Certificate

Montana actually issues two related documents through the same process, and the difference catches people out.

A standard tax certificate (sometimes called a dissolution or withdrawal certificate) confirms that the entity has filed all applicable returns and paid all taxes owed through the date of the request. It is the version used when a voluntary dissolution or withdrawal is still in progress.9Montana State Legislature. Montana Code 15-31-552 – Corporation Dissolution or Withdrawal Certificates and Tax Clearance Certificates Furnished

A tax clearance certificate is the final version. It confirms that all returns have been filed and all taxes have been paid through the entity’s last year of existence in Montana.9Montana State Legislature. Montana Code 15-31-552 – Corporation Dissolution or Withdrawal Certificates and Tax Clearance Certificates Furnished To get this version, you must file a final return marked “Final Return” covering the short period from your last filed return through the date of dissolution or cessation of business.10Legal Information Institute. Montana Administrative Rules 42.23.313 – Filing Requirements Upon Dissolution, Withdrawal, or Cessation of Business Receiving the standard certificate during a voluntary dissolution does not excuse you from filing that final return.2Montana Department of Revenue. Form CR-T Instructions

One more wrinkle. If your entity is a subsidiary in a combined group, the Department of Revenue cannot issue a tax clearance certificate until a final return is filed for the whole combined group.1Montana Department of Revenue. Tax Certificates That trips up people trying to wind down a single entity inside a larger corporate structure.

How to Request It: Form CR-T

You file Form CR-T through the TransAction Portal at tap.dor.mt.gov. You do not need to create a TAP account to submit the form.2Montana Department of Revenue. Form CR-T Instructions If you would rather use paper, you can request the form by mail or by calling the Department of Revenue at (406) 444-6900.

Your request will not be processed unless it includes the entity’s name, mailing address, and Federal Employer Identification Number. A single-member LLC without employees and without a FEIN uses the owner’s Social Security number instead.11Cornell Law Institute. Montana Administrative Rules 42.2.402 – Tax Certificates – Requirements You will also need your Secretary of State filing number exactly as it appears in your registration.1Montana Department of Revenue. Before filing, submit any missing returns and pay every outstanding balance. The department will deny requests with unfiled returns or unpaid tax.2Montana Department of Revenue. Form CR-T Instructions For reinstatement in particular, the department issues the certificate only after all Title 15 taxes, interest, and penalties are paid in full.11Cornell Law Institute. Single-Member LLCs

If your business is a single-member LLC that has not elected corporate tax treatment, the department treats the LLC and the owner as the same employer for withholding purposes. No certificate will be issued unless withholding taxes have been paid by both the LLC and the owner.11Cornell Law Institute. Montana Administrative Rules 42.2.402 – Tax Certificates – Requirements Unpaid withholding on your personal account will block the LLC’s certificate.

Using an Accountant or Attorney

The Department of Revenue will not discuss your tax information with a representative unless you have authorized it. File Form POA (Power of Attorney and Declaration of Representative) with the department, or submit Federal Form 2848 as long as it specifically lists Montana, the tax type, the form number, and the applicable years. You can also grant access through TAP directly.12Montana Department of Revenue. Power of Attorney and Declaration of Representative (Form POA)

Processing Time, Cost, and Expiration

There is no fee, and the department’s stated goal is to issue the certificate within 30 days.1Montana Department of Revenue. Tax Certificates There is no expedited option, so build the wait into your timeline.

The certificate expires six months after it is issued.2Montana Department of Revenue. Form CR-T Instructions If you miss that window with the Secretary of State, you have to request a new one and wait through processing again. With a 30-day processing target and six-month shelf life, the practical window is tighter than it looks once you factor in coordinating other filings.

Filing It With the Secretary of State

When the Secretary of State requires the certificate for your filing, you upload it electronically through the state’s business portal at biz.sosmt.gov.2Montana Department of Revenue. Form CR-T Instructions The Secretary of State directs businesses that need a certificate to request it through TAP before proceeding with the dissolution, withdrawal, or termination filing.13Montana Secretary of State. Cancel, Withdraw, or Terminate a Business Registration

For a foreign corporation, the certificate is a statutory condition of withdrawal and must be attached to the withdrawal statement itself.5Montana Code Annotated. Montana Code 35-14-1507 – Withdrawal of Registration of Registered Foreign Corporation For LLCs and corporations reinstating after administrative dissolution, it is submitted with the reinstatement application and any outstanding annual reports.3Montana State Legislature. Montana Code 35-8-912 – Reinstatement Following Administrative Dissolution

Mergers and C Corporation Conversions

A C corporation merging with or consolidating into another entity has an extra requirement. Along with the Form CR-T request, the Department of Revenue requires an Assumption of Montana Tax Liability (Form ATL), which identifies the entity taking on the surviving tax obligations.1Montana Department of Revenue. Tax Certificates Without Form ATL, the department will not process the certificate. This applies whether the surviving entity is a Montana company or a foreign corporation absorbing a Montana entity.

If You Are Buying a Business, Not Winding One Down

The certificate is also a due diligence tool. Under Montana’s sales and use tax provisions, when a business owner sells or otherwise disposes of the business or its stock of goods, all taxes owed become due immediately and the seller must file a return and pay within 10 days. As buyer, you are liable for the full amount of any unpaid tax unless you withhold enough from the purchase price to cover it, or the seller gives you a receipt from the department showing full payment.14Montana Code Annotated. Montana Code 15-68-808 – Taxpayer Quitting Business – Liability of Successor

There is one escape valve. If you give the department written notice of the acquisition and it does not issue an assessment against the former owner within six months, you are no longer on the hook for the seller’s tax debt. Requesting a tax clearance certificate from the Department of Revenue as part of your due diligence is one of the simplest ways to confirm the seller’s tax status before closing.
