Get Your Federal EIN First

The New York application asks for your Federal Employer Identification Number upfront, so the IRS is the first stop.

The IRS online EIN application is the fastest route. You’ll receive your number immediately. To qualify, your principal place of business must be in the United States, and you need the Social Security number or ITIN of the person who controls the entity. Information You’ll Need for the Application

  • Business legal name, exactly as registered with the New York Department of State
  • Federal EIN
  • Business physical address

After approval, the Tax Department mails the Certificate of Authority to the business address you provided. The department doesn’t publish a guaranteed processing timeline. Here is where new business owners get tripped up: you cannot legally make any taxable sales until the physical certificate arrives. Not when you submit. Not when the confirmation page prints. Once it arrives, display it prominently at your place of business where the public can see it. Failing to display carries a $50 penalty.2Department of Taxation and Finance. Out-of-State Sellers

You don’t have to be physically located in New York to need a certificate. Out-of-state sellers must register once they cross both of these thresholds over the four most recent sales tax quarters: $500,000 in gross receipts from sales of tangible personal property delivered in New York, and more than 100 such sales. New York also presumes a seller is a vendor if it has affiliate marketing agreements under which New York residents earn commissions for referring customers and those referred sales exceed $10,000 over the prior four sales tax quarters.7Department of Taxation and Finance. Penalties for Operating Without One

Making sales without a valid Certificate of Authority can bring a civil penalty of up to $500 for the first day you operate, plus up to $200 for each additional day, capped at $10,000.8New York Codes, Rules and Regulations. New York Code 20 NYCRR 533.1 – Registration Requirement

Willfully selling taxable goods or services without a certificate is a misdemeanor under New York Tax Law § 1817. If you had a certificate revoked and continue operating without one within five years of that revocation, you face a misdemeanor conviction with a minimum fine of $500 on top of any other penalties.9New York State Senate. There’s also a quiet economic cost. Without registration, you cannot legally collect sales tax from customers, but you’re still liable for the tax on those transactions. You end up paying it out of your own revenue.

What Your Certificate Lets You Do

Once you’re registered, you can buy inventory without paying sales tax on it. Give your supplier a completed Form ST-120, New York’s Resale Certificate, instead of paying tax at the point of purchase. The tax is collected later from your end customer.

Form ST-120 can cover a single transaction or serve as a blanket certificate for ongoing purchases of the same general type from that supplier. Temporary vendors cannot issue blanket certificates. One rule to keep straight: if you buy something tax-free using a resale certificate and then use it yourself, you owe the tax directly to New York. Your New Filing Obligation

Registration creates an ongoing duty to file returns, even in periods when you have no taxable sales. Your filing frequency depends on how much you collect:

  • Annual filing if your total sales and use tax due is $3,000 or less during the annual filing period, and the Tax Department assigns you to annual filing
  • Quarterly filing as the default, as long as taxable receipts stay below $300,000 in a quarter
  • Monthly (part-quarterly) filing once your taxable receipts hit $300,000 or more in any quarter, starting with the next sales tax quarter

If your business later changes its name, address, ownership structure, or responsible persons, don’t file a new DTF-17. Letting it sit inactive doesn’t end your filing obligations, and missed filings generate penalties even when you owe zero tax.
