How to Get a Resale Certificate in Missouri: Form 149

To get a Missouri resale certificate, register your business with the Missouri Department of Revenue to obtain a Missouri Tax I.D. Register With the Department of Revenue First

Form 149 only works if you already hold a Missouri sales tax license. Approval gets you a Missouri Tax I.D. Number, and that number goes on every Form 149 you sign. Security Bond for New Applicants

New retail sales tax license applicants must post a security bond set at three times the estimated average monthly tax liability. Remote Sellers

Filling Out Form 149

Form 149 is a one-page document you complete as the buyer.1Missouri Department of Revenue. 149 – Sales and Use Tax Exemption Certificate Each section asks for:

  • Purchaser information: full legal business name, physical address, and either your Social Security Number or FEIN.
  • Missouri Tax I.D. Number from your retail license, which links the certificate back to your registered business.
  • Reason for exemption. Buyers stocking inventory to resell check the resale box. The form also lists manufacturing, ingredient or component parts, research and development, and other categories.
  • Description of the property you are buying.
  • Signature and date from an authorized representative. The signature line carries a perjury declaration, so you are certifying under penalty of law that the information is true.

Give It to Your Vendor, Not the State

Under Missouri law, the seller generally bears the burden of proving a sale was not taxable, which is why they need your signed certificate on file. But if the exemption you claimed turns out to be improper, the Director of Revenue can collect the unpaid tax, interest, and penalties directly from you.7Missouri Revisor of Statutes. Using One Form 149 as a Blanket Certificate

You do not need a fresh Form 149 for every order from the same vendor. Sellers are expected to update the resale exemption certificates in their files every five years.8Missouri Department of Revenue. Continuing to use an outdated or inaccurate one exposes both sides to back taxes and penalties.

Out-of-State Buyers Purchasing From Missouri Vendors

If your business is registered in another state but you are buying goods from a Missouri vendor for resale, you can still claim the exemption. If You Take Resale Inventory for Personal Use

If you buy something tax-free with Form 149 and then pull it from inventory for personal use or business consumption instead of reselling it, you owe sales tax on that item. The tax is based on your original cost, not the retail price you would have charged a customer. Take a furniture store owner who moves a showroom chair into their own office. They owe state and local sales tax on what the store paid for the chair, and the local rate is the one for the county where the chair was originally purchased, not where it ends up in use. Missed self-reporting of inventory withdrawals is a common audit trigger.

Penalties for Misusing the Certificate

Using Form 149 to buy items for personal use, or stretching the exemption beyond what your registration supports, carries real consequences. Missouri’s penalties escalate based on whether the misuse was a mistake or deliberate.

The perjury declaration on Form 149 means signing the form with false information is itself a basis for prosecution. Treat every certificate you sign as a sworn statement that could be pulled and reviewed in an audit years later.
