Do You Actually Need to Register
Tennessee requires every person or business operating as a “dealer” to register with the Department of Revenue and get a certificate of registration for each business location.1Justia. One boundary worth knowing before you start: sales you make through a marketplace facilitator like Amazon or Etsy are the platform’s responsibility once that platform crosses the $100,000 threshold. The facilitator collects and remits on those transactions.4TN.gov. What to Gather Before You Open TNTAP
The application moves quickly when you have every field’s answer in front of you. Get these together first:
- Federal Employer Identification Number (FEIN) from the IRS. Sole proprietors without employees can use a Social Security Number.
- Legal business name exactly as filed with the Tennessee Secretary of State, plus any “Doing Business As” name.
- Entity type: corporation, LLC, partnership, or sole proprietorship.
- NAICS code describing your primary business activity. The U.S. Census Bureau’s site has a lookup tool.
- Names, home addresses, and identification numbers for all owners, partners, or corporate officers.
- Business start date in Tennessee.
- Physical and mailing addresses. The physical location determines which local tax rates apply to your sales.
- Estimated monthly sales, which the state uses to set your initial filing frequency.
- Accounting period, usually the calendar year.
Walking Through the TNTAP Application
Go to the TNTAP website. If you have never registered a business in Tennessee, choose “Register a New Business” under the Registration heading on the homepage.6Tennessee Department of Revenue. The form walks you through each section: business start date, estimated monthly sales, entity information, and addresses. Take care with the business activity description, because the state cross-checks it against the NAICS code you entered. When you reach the summary page, read it line by line. A typo in your FEIN or legal name can trigger a manual review or a rejection, and repairing errors after submission is slower than catching them here.
You then sign the application electronically. That signature is your formal declaration that everything is accurate. Submit, and TNTAP shows a confirmation screen with a unique confirmation number. Save or print it. That page is your temporary proof of registration while the Department of Revenue processes the file.
After You Submit
Processing takes up to 10 business days.7TN.gov. TNTAP notifies you when the account is approved. You can then download and print your official Sales and Use Tax Certificate from your dashboard.
Tennessee law requires you to display the certificate conspicuously at the place of business it was issued for.8FindLaw. Moving or opening a second location means registering that site separately.
Using the Number to Buy Inventory Tax-Free
Once your account is active, log in to TNTAP and print your Tennessee Sales and Use Tax Certificate of Resale.9TN.gov. Resale Certificate Give a copy to each supplier when you’re buying goods you intend to resell, and the supplier won’t charge you sales tax on those items.
The resale certificate covers only goods you genuinely plan to sell to customers. Using it on office furniture, personal purchases, or supplies you’ll consume in the business is a fast route to audit attention and penalties. Update the certificate if your business location changes, and stop using it if you close the business or stop selling taxable items.
What Happens If You Skip Registration
Operating a business that makes taxable sales without a valid certificate is a Class C misdemeanor.10FindLaw. The bigger exposure is personal. Sales tax is trust fund money, belonging to the state from the moment your customer hands it to you. Tennessee law makes each person responsible for collecting and remitting that tax personally liable for it. For LLCs, the statute spells this out: members and employees whose duty it was to collect and pay over sales tax are on the hook individually, the same way corporate officers are under ยง 67-1-1443.12Justia. Closing the Account When You’re Done
When you stop doing business in Tennessee, close the sales tax account yourself. The state doesn’t do it automatically, and an open account keeps generating filing obligations even when your sales are zero. In TNTAP, log in, open the “Summary” tab, click “Additional Actions” next to your account, and select “Close Account.” Enter the closure date, the reason, and answer the follow-up questions.14Tennessee Department of Revenue.
