Do You Actually Need a TPT License
A.R.S. § 42-5005 requires every person receiving gross proceeds or gross income subject to the privilege tax to obtain a license before conducting business.2Arizona Legislature. Arizona Code 42-5005 – Transaction Privilege Tax and Municipal Privilege Tax Licenses Fees Renewal Revocation Violation Classification The taxable activities are broad: retail sales, restaurants, hotels, short-term rentals, commercial and residential leasing, prime contracting, amusements, mining, utilities, and more. If what you do falls under any classification in Article 1 of Title 42, you need a license before you open.
Two situations trip people up:
You’re an out-of-state seller. Remote sellers and marketplace facilitators must register once gross sales into Arizona exceed $100,000 in a calendar year.3Arizona Department of Revenue. Economic Threshold
You only sell through a marketplace. If your sales run exclusively through a platform like Amazon or Etsy, you likely don’t need your own TPT license. Arizona law puts the collection and remittance duty on the marketplace facilitator, and ADOR has confirmed that sellers operating solely through such platforms are not required to obtain a separate license.4Arizona Department of Revenue. Each separate business location or business name is a distinct registration. You can’t run a second storefront under an existing license without amending it and paying the additional city fee.
What It Costs
The state TPT license fee is $12 per location.2Arizona Legislature. Arizona Code 42-5005 – Transaction Privilege Tax and Municipal Privilege Tax Licenses Fees Renewal Revocation Violation Classification On top of that, every city or town where you do business charges its own municipal license fee, up to $50 per jurisdiction. Amounts are set by local ordinance. Phoenix, Scottsdale, Tempe, and Peoria charge $50; Mesa, Tucson, and Flagstaff charge $20; smaller cities such as Apache Junction and Chandler charge as little as $2.5Arizona Department of Revenue. One exception worth knowing: marketplace facilitators and remote sellers who only need a state TPT license under A.R.S. § 42-5043 are exempt from city license fees.2Arizona Legislature. What to Gather Before You Apply
The application is Form JT-1, the Arizona Joint Tax Application, downloadable from the ADOR website or available at a taxpayer assistance office.6Arizona Department of Revenue. Applying for a TPT License Have the following ready before you sit down with it:
- Federal Employer Identification Number (EIN) if you’re a corporation, partnership, multi-member LLC, or single-member LLC. Sole proprietors with no employees may use a Social Security Number, but single-member LLCs cannot; they must get an EIN from the IRS first.6Arizona Department of Revenue. Applying for a TPT License
- A physical address for each business location, plus a mailing address for tax correspondence.
- Your entity type: sole proprietorship, LLC, corporation, partnership, or other.
- Your NAICS code, which determines the TPT classification that applies to you.
- Contact information for the person responsible for filing returns.
- The start date of taxable activity in each city.
The form has a section for each city where you operate, so your state and municipal licenses go through on a single application.
How to Submit the Application
You have three options, and the turnaround varies a lot:
- Online at AZTaxes.gov. The fastest route. You get your TPT license number the same day, and the physical certificate arrives by mail in 7 to 10 business days. - In person. Bring the completed JT-1 to an ADOR office in Phoenix (1600 W. Monroe), Mesa (55 N. Center), or Tucson (400 W. Congress). You leave with your license the same day.6Arizona Department of Revenue. Applying for a TPT License
- By mail. Send the completed JT-1 to Arizona Department of Revenue, PO Box 29032, Phoenix, AZ 85038-9032. Expect about two weeks.
However you apply, you’ll receive a unique eight-digit TPT license number that goes on every return you file. Keep the license itself at your place of business.
After You’re Licensed: Keeping It Active
A TPT license doesn’t stay valid on its own. Every license expires on December 31 and must be renewed for the following year. The renewal deadline is January 1, though ADOR treats renewals as delinquent only when payment isn’t received by the last business day of January.2Arizona Legislature. Renewing the state portion is free. What you pay each January are the municipal renewal fees for each city where you operate, again up to $50 per jurisdiction. Miss the January deadline and a civil penalty of up to $25 per jurisdiction is added to your renewal.8Arizona Legislature. Two other housekeeping items to know from day one. First, notify ADOR when your business structure, ownership, or physical address changes; TPT licenses are not transferable, and a complete change of ownership or location means a new application.2Arizona Legislature. Arizona Code 42-5005 – Transaction Privilege Tax and Municipal Privilege Tax Licenses Fees Renewal Revocation Violation Classification Second, if you stop doing business or drop below the economic nexus threshold, cancel your license formally. ADOR expects a return for every filing period the license is active, even a zero-dollar return, and each missing return draws a $25 minimum late-filing penalty.
Buying an Existing Business Instead of Starting One
If you’re getting a TPT license because you’re buying someone else’s Arizona business, read A.R.S. § 42-1110 before you close. Unpaid TPT owed by the previous owner becomes a lien on the business property, and the statute requires you as the buyer to withhold enough from the purchase price to cover any outstanding tax, interest, and penalties until the seller produces a receipt showing the taxes are paid or a clearance certificate from ADOR.10Arizona Legislature. Skip that step and you become personally liable for the seller’s entire unpaid balance. A clause in the sale agreement saying the seller keeps all tax liabilities does not override the statute. Request the clearance certificate before closing; ADOR must respond within 15 days.10Arizona Legislature.
