How to Get a Utah Business License: Registration, Taxes, and Renewals

To get a Utah business license, you register your entity with the Utah Division of Corporations and Commercial Code, open federal and state tax accounts, and then apply for a business license from the city or county where you’ll operate. Utah does not issue a single statewide business license. The document most people mean when they say “business license” comes from your local municipality, and you generally need the state registration in place first.

Pick a Business Structure

Your structure decides what you file and how you’re taxed.

Whatever structure you pick, search the Division of Corporations database first to confirm your business name isn’t already taken. Filing a name that conflicts with an existing one gets your application rejected.

Register With the Utah Division of Corporations

LLCs, corporations, and limited partnerships must file formation documents with the Utah Division of Corporations and Commercial Code. Sole proprietors and general partnerships aren’t required to file, but should register a DBA if they use a trade name.4Utah Department of Commerce. Utah Business License Guide The state recommends every business operating in Utah register with the Department of Commerce regardless of structure.

The fastest way to file is the online Business Registration System at businessregistration.utah.gov.5Utah Department of Commerce. CORP Online Registration Instructions You create a UtahID account, select your entity type, and follow the prompts. The system takes credit cards and electronic checks. Paper filings go to P.O. Box 146705, Salt Lake City, Utah 84114-6705, but processing is slower.6Utah Department of Commerce. CORP Contact

Every registered entity must designate a registered agent with a physical Utah street address. That person or company accepts service of lawsuits and government notices for the business.7Utah Legislature. Utah Code Title 16 Chapter 17 – Model Registered Agents Act You can serve as your own agent with a Utah address, or hire a commercial service.

Filing Fees

Both domestic and foreign LLCs and corporations pay $59 to register. Limited partnerships and limited liability partnerships pay $70.8Utah Department of Commerce. Updated Fee Schedule July 1, 2024 All filing fees are nonrefundable.

Get a Federal EIN

Most businesses need a federal Employer Identification Number from the IRS. You’ll need one if you plan to hire employees, operate as a corporation or partnership, or pay excise taxes.9Internal Revenue Service. Get an Employer Identification Number Most banks also require an EIN to open a business account. Applying online at the IRS site is free and returns the number immediately.

Sole proprietors with no employees can use their Social Security number for tax purposes, but getting a separate EIN keeps your personal number off vendor forms and invoices.

Register for Utah Taxes

If your business sells physical products, digital goods, or certain services in Utah, you need a sales tax license from the Utah State Tax Commission. Register through the Tax Commission’s online system using Form TC-69.10Utah State Tax Commission. Create and Manage a Tax Account

Utah requires you to collect sales tax if you have a physical presence in the state or exceed an economic nexus threshold of $100,000 in gross revenue from Utah sales in the current or previous calendar year.11Utah State Tax Commission. Business Activity and Nexus in Utah Physical presence includes an office, warehouse, or stock of goods in Utah, or regular product deliveries by means other than common carrier or U.S. mail.

Apply for a Local Business License

This is where new owners get stuck. State registration alone does not authorize you to open your doors. Utah law gives municipalities the power to license and regulate businesses within their boundaries, and virtually every city and county requires a separate local business license.12Utah Legislature. Utah Code 10-1-203 – License Fees and Taxes That local license is the document most people picture when they hear “business license.”

The application varies by city but usually asks for your state registration number, federal EIN, a description of your business activities, and the physical address where you’ll operate. Many cities also run a zoning compliance check to confirm your location is approved for the type of commerce you plan. Depending on the business, the city may also require a fire inspection, health department permit, or building code review before issuing the license.

Fees range widely. A home office might pay under $50; a restaurant or retail store in a larger city could pay several hundred. Fee schedules change and vary a lot by municipality, so call your city’s business licensing office for the current numbers.

Check Whether Your Profession Needs a DOPL License

Some professions require a license from the Utah Division of Professional Licensing (DOPL) before you can legally practice or open a business. This covers contractors, electricians, plumbers, cosmetologists, pharmacists, physicians, mental health counselors, real estate agents, and many more.13Utah Department of Commerce. Licenses You’ll want the DOPL license in hand before applying for the local business license, because many municipalities won’t issue one without it.

Requirements vary by profession and usually combine education credentials, exam scores, supervised practice hours, and background checks. Processing times vary too, so apply well ahead of your planned opening. Check requirements and license status at commerce.utah.gov/dopl.

Running a Business From Home

Operating from your residence usually means you’ll also need a home occupation permit from your city or county in addition to the standard business license. These permits keep home businesses from disrupting residential neighborhoods with traffic, noise, signage, or outdoor storage of commercial equipment.

Common Utah restrictions include limits on how much of your home you can use for business (often 25% of livable space), no exterior business signage, caps on non-resident employees, and rules against storing commercial vehicles or materials outside. Some cities prohibit customer foot traffic at home businesses entirely; others allow it within limits.

The specific rules live in your municipality’s zoning code, so check with your local planning department before assuming a home-based business is allowed. Getting caught without a home occupation permit can bring fines and a shutdown order.

If Your Business Was Formed in Another State

If your business is formed outside Utah but you want to operate here, you register as a foreign entity and obtain authority to transact business in the state. Use the same online Business Registration System, select “Foreign (Out of State) Registrations,” choose your entity type, and follow the prompts.14Utah Department of Commerce. Foreign Limited Liability Company

Foreign LLCs and corporations pay $59, the same as domestic. Foreign limited partnerships and LLPs pay $70.8Utah Department of Commerce. Updated Fee Schedule July 1, 2024 You still need a registered agent with a Utah address and you’re subject to the same local licensing rules as any Utah-formed business.

If You’ll Hire Employees

Employees trigger obligations you need to handle before the first hire’s first day.

Workers’ Compensation Insurance

Utah requires nearly every employer to carry workers’ compensation insurance for all employees, with very few exceptions. There’s no employee-count threshold; the obligation kicks in with your first employee.15Utah Labor Commission. Employers Guide to Workers Compensation

Federal Unemployment Tax

If you pay $1,500 or more in wages in any calendar quarter, or have at least one employee for any part of a day in 20 or more different weeks in the year, you owe federal unemployment tax (FUTA). The base rate is 6.0% on the first $7,000 of each employee’s wages. Employers who pay into their state unemployment fund on time typically get a credit that drops the effective rate to 0.6%.16Internal Revenue Service. Topic No. 759, Form 940 – Employers Annual Federal Unemployment (FUTA) Tax Return

Employees vs. Independent Contractors

Misclassifying workers is one of the most common and expensive mistakes new owners make. The IRS looks at three categories to decide whether someone is an employee or an independent contractor: behavioral control (do you direct how the work is done?), financial control (do you control the business aspects of the worker’s job?), and the type of relationship (written contract, benefits, ongoing arrangement).17Internal Revenue Service. Independent Contractor (Self-Employed) or Employee? No single factor decides it. Getting it wrong means back taxes, penalties, and liability for unpaid benefits.

Keeping Your License Active

Registration isn’t one-and-done. Utah requires ongoing filings to keep your business legally active.

State Annual Reports

Every domestic corporation and every foreign corporation authorized to do business in Utah must file an annual report with the Division of Corporations. The report updates basic information: business name, registered agent, principal office address, and principal officers. The division mails you the form, and you have until the end of the second calendar month after it’s mailed to file.18Utah Legislature. Utah Code Title 16 Chapter 10A Section 1607 – Annual Report for Division LLCs have a similar renewal. If nothing has changed, filing online is quick.

Local License Renewals

Municipal licenses also renew annually, sometimes with updated inspections or proof of current insurance. Miss the deadline and you can pick up late fees or let the license lapse, which technically means you’re operating illegally until you fix it. Put the dates on your calendar.

Falling Behind

Skip an annual report or leave fees unpaid, and the state can administratively dissolve your business. You lose your legal standing, your business name protection, and the ability to enforce contracts or file lawsuits under the company’s name.

Utah does allow reinstatement. You file an application with the Division of Corporations showing the grounds for dissolution have been eliminated, confirm your registered agent and office address, and show you’ve paid all outstanding taxes and fees owed to the State Tax Commission or are current on a payment plan.19Utah Legislature. Utah Code 16-10a-1422 – Reinstatement Following Dissolution Once approved, the reinstatement relates back to the date of dissolution, so legally the gap disappears. In practice, though, the gap can cause problems with banks, landlords, and customers who check your status, so staying current is easier than catching up.
