How to Get a Wholesale Dealer License in Texas: Bond, Office, Filing

To get a wholesale dealer license in Texas, you apply to the Texas Department of Motor Vehicles for a Wholesale General Distinguishing Number (GDN). The license runs two years, costs $700, and requires a $50,000 surety bond, a qualifying office, clean background checks for every owner and officer, and a registered Texas business entity. Applications are filed online through the TxDMV’s eLICENSING portal.

Before you spend anything, understand the core restriction. A wholesale GDN limits you to selling vehicles only to other licensed dealers, whether those dealers are in Texas or in another state or foreign jurisdiction.1State of Texas. Texas Transportation Code Chapter 503 – Dealer’s and Manufacturer’s Vehicle License Plates You cannot sell to the public. Not one car, not even to a walk-in buyer waving cash. If your plan involves any retail sales, you need a different license.

Background Check and Eligibility

Every person listed as an owner, officer, or partner on the application must submit fingerprints through IdentoGO, the state-authorized vendor. Results are sent directly to the Texas Department of Public Safety and the FBI.2Texas Department of Motor Vehicles. Fingerprinting Requirements The TxDMV emails you when fingerprints are needed and recommends completing this step quickly, because slow prints slow the whole application.

The department will deny an application if it finds that any information in it is untrue or that an applicant has engaged in conduct that would justify cancellation of a GDN.1State of Texas. Texas Transportation Code Chapter 503 – Dealer’s and Manufacturer’s Vehicle License Plates Convictions for fraud, forgery of title or tax documents, or other offenses tied to the motor vehicle business can disqualify you. If your record has anything you’re unsure about, call the TxDMV Motor Vehicle Division before paying application fees.

The $50,000 Surety Bond

Texas Transportation Code ยง 503.033 requires every wholesale dealer to post a $50,000 surety bond before the TxDMV will issue or renew a GDN.1State of Texas. Texas Transportation Code Chapter 503 – Dealer’s and Manufacturer’s Vehicle License Plates The bond protects other dealers and the state if you cause financial harm through your business activities, and it must stay active every day of your two-year license term.3Texas Department of Motor Vehicles. Motor Vehicle Dealer’s Surety Bond

You don’t pay $50,000 yourself. You buy the bond from a surety company and pay an annual premium tied largely to your personal credit. Good credit means a small percentage of the face value; weaker credit costs more. If the bond ever lapses, the TxDMV can cancel your GDN.

Your Office and Premises

Every wholesale dealer must operate from a physical office that meets TxDMV structural and equipment standards. An inspector will verify compliance before your license is approved, and you have to keep the office in compliance for the whole term.4Cornell Law Institute. 43 Texas Admin Code 215.140 – Established and Permanent Place of Business Premises Requirements

Building Rules

The office must be inside a building with a permanent roof and connecting exterior walls on all sides. It cannot sit in a residence, apartment, hotel, motel, or any room not open to the public.4Cornell Law Institute. 43 Texas Admin Code 215.140 – Established and Permanent Place of Business Premises Requirements A modest commercial office suite is fine. You must post your business hours at the main entrance where the public can see them, and the office has to be open for TxDMV staff visits during those posted hours.

Required Equipment

At minimum, the office needs a desk and two chairs, internet access, and a working telephone number listed under the business or assumed name you operate under. It also needs locked, secured storage large enough to hold all dealer and buyer license plates in your possession: either a locked room or closet, or a securely bolted safe or steel cabinet.5Texas Department of Motor Vehicles. Chapter 215 Motor Vehicle Distribution – Adopted Rules A regular filing cabinet won’t satisfy that last point. The department wants a heavy safe or cabinet physically bolted down, or a room that locks.

No Display Lot Required

Wholesale dealers, unlike retail dealers, are not required to have any display space for vehicles at the business premises.4Cornell Law Institute. 43 Texas Admin Code 215.140 – Established and Permanent Place of Business Premises Requirements This is one of the practical advantages of the wholesale GDN. A small office is enough. You don’t need to lease a lot with acreage.

Documents to Have Ready

Gather these before opening the eLICENSING portal. Missing paperwork triggers a deficiency notice and can push your approval back by weeks.

  • Business formation documents. An LLC needs a Certificate of Formation filed with the Texas Secretary of State, with a $300 filing fee. Corporations file their own certificate of formation. If you operate under a name different from the legal entity name, you also need a DBA certificate from the appropriate county clerk.6Texas Secretary of State. Form 205 – Certificate of Formation – Limited Liability Company
  • A properly executed $50,000 surety bond from a surety company authorized to do business in Texas.
  • Photographs of the building’s exterior, any signage, and the interior office layout showing the required furniture and equipment.
  • Social Security numbers and Texas driver’s license numbers for every owner, officer, and partner.

Filing Through eLICENSING

All new GDN applications go through the TxDMV’s eLICENSING portal, the online self-service system for motor vehicle licensees.7Texas Department of Motor Vehicles. eLICENSING Resources You create an account, upload your surety bond, business formation documents, site photographs, and the rest of the required paperwork, and handle all communication with the TxDMV through the same portal.

Fees are paid inside the portal. A two-year wholesale GDN costs $700. Credit and debit card payments carry a convenience processing fee on top of that; electronic check payments have a separate, usually lower surcharge. Metal dealer plates, if you want them, cost $90 per plate and are added during the payment step.8TxDMV.gov. eLICENSING User Guide for Independent GDN Licenses All fees are non-refundable, so don’t submit until you’re sure the application is complete.

After You Submit

Payment is processed first, by the Texas Comptroller for checks and money orders or by the TxDMV directly for credit cards. A processed payment does not mean approval.9Texas Department of Motor Vehicles. Dealer License Application Process Your application is scanned into the licensing system, assigned a work item number, and that number is emailed to you.

A licensing specialist reviews the file and either approves it or writes up deficiencies. The TxDMV usually tries to reach you by phone or email before mailing a formal deficiency list. Once the review clears, your license is printed and mailed to the Texas address on the application, along with any dealer plates you ordered.9Texas Department of Motor Vehicles. Dealer License Application Process Plan on several weeks for the full process. Incomplete applications or slow fingerprinting can stretch that out further.

What You’ll Have to Keep Up Once Licensed

Getting the license is only the start. A few obligations kick in immediately and you should know about them before you apply.

Vehicle Records for 48 Months

Every wholesale dealer must keep a complete record of all vehicle purchases and sales for a minimum of 48 months and make those records available for inspection and copying by the TxDMV during business hours. The 48 months runs from each transaction, not from the license date. For each vehicle you must retain copies of the title (front and back for both purchase and sale, unless handled electronically), the bill of sale, the title application, the manufacturer’s certificate or statement of origin for new vehicles, and the Texas Comptroller sales tax exemption form for out-of-state transfers. You must also properly take assignment in the dealer’s name of any title, manufacturer’s certificate of origin, or other evidence of ownership for every vehicle you acquire or offer for sale.10Cornell Law Institute. 43 Texas Admin Code 215.144 – Vehicle Records

Sales Tax Permit and Franchise Tax

The GDN doesn’t cover tax registration. Any business selling tangible personal property in Texas needs a sales tax permit from the Texas Comptroller of Public Accounts. You can apply online or by mailing Form AP-201. There’s no fee for the permit itself, though a security bond may be required depending on your situation.11Texas Comptroller of Public Accounts. Texas Sales and Use Tax Frequently Asked Questions The permit is tied to the owner and the address, so an ownership or location change means a new permit.

Texas also imposes a franchise tax on most business entities. For 2026, wholesale businesses pay 0.375% of taxable margin, with annual reports due by May 15. If total revenue falls below the $2,650,000 no-tax-due threshold, you owe nothing, but you still have to file the report.12Texas Comptroller. Franchise Tax The filing obligation starts from day one.

Metal Dealer Plate Log

If you order metal dealer plates, Texas law requires a log tracking every plate. Each entry has to record the plate number, the year and make of the vehicle displaying the plate, the VIN, and the name of the person in control of the vehicle.13Texas Department of Motor Vehicles. Dealer License Plates Dealer plates cannot go on service or work vehicles, and they cannot be used on a commercial vehicle carrying a load. They are for vehicles of the type you sell, operated on public roads for business purposes such as transport between auctions and dealer locations. Misuse is a common source of enforcement action.
