How to Get a Wholesale License in North Carolina

To get a wholesale license in North Carolina, you apply for a Sales and Use Tax Certificate of Registration from the North Carolina Department of Revenue, and it costs nothing.1NCDOR. Sales and Use Tax Registration That certificate is what lets you buy inventory from suppliers without paying sales tax up front, because you’ll collect the tax later when you sell to the end customer. Before the state will issue it, you need a formed business entity and a federal Employer Identification Number. Online applicants with their paperwork in order usually get an account ID the same day and the paper certificate within ten business days.

Form Your Business Entity and Get an EIN

North Carolina requires a certificate of registration before you can operate as a wholesale merchant or retailer.2North Carolina General Assembly. North Carolina Code 105-164.29 – Application for Certificate of Registration by Wholesale Merchants, Retailers, and Facilitators The Department of Revenue won’t process your application until you have a legal entity in place. Most wholesale businesses file as a corporation or an LLC through the Secretary of State’s office. The filing fee for either is $125. That filing creates a separate legal entity capable of holding licenses, opening bank accounts, and carrying tax obligations apart from you personally.

You also need a federal Employer Identification Number from the IRS. The IRS issues EINs online at no cost, and the process takes a few minutes.3Internal Revenue Service. Get an Employer Identification Number You’ll use the EIN on your federal returns and on your North Carolina registration. Skip the third-party sites that charge fees for this; the IRS does it free.

Gather What Form NC-BR Asks For

The application is Form NC-BR, the Business Registration Application, and you can complete it through the NCDOR online portal or on paper.4NCDOR. Form NC-BR Business Registration Application Pull these together before you start:

  • Social Security Numbers or ITINs for every owner and corporate officer.
  • The Secretary of State ID number assigned when you filed your articles of incorporation or organization.
  • A six-digit NAICS code for your business activity. Wholesale trade falls under sector 42, with more specific codes based on what you sell; the Census Bureau’s NAICS tool will narrow it down.
  • A physical business street address. A PO Box will not work.
  • Your ownership type (sole proprietorship, partnership, LLC, or corporation), matching what you filed with the Secretary of State.
  • A reasonable estimate of your monthly tax liability. The Department uses this to assign your filing frequency.

In the account type section, select Sales and Use Tax. That is the selection that produces your wholesale credentials, and leaving it off is one of the common reasons applications get delayed.

Submit the Application

The fastest route is the NCDOR’s Online Business Registration portal. Most electronic applicants get an account ID number immediately, and the formal Certificate of Registration arrives in the mail within ten business days.5NCDOR. Once your certificate arrives, state law requires you to display a copy at each place of business.2North Carolina General Assembly. North Carolina Code 105-164.29 – Application for Certificate of Registration by Wholesale Merchants, Retailers, and Facilitators The certificate attaches to your legal entity and cannot be transferred. If you sell the business or restructure it, the new entity has to register on its own.

Using the Certificate to Buy Inventory Tax-Free

Your registration number lets you buy inventory without sales tax, but you have to document each exempt purchase. The document is Form E-595E, the Streamlined Sales and Use Tax Certificate of Exemption.6North Carolina Department of Revenue. Form E-595E Streamlined Sales and Use Tax Certificate of Exemption Fill it out with your Sales and Use Tax ID number and give it to the supplier. That tells them the purchase is for resale and no sales tax applies.

Suppliers who accept the form are protected from liability as long as they collect and keep your name, address, registration number, reason for exemption, and type of business.7North Carolina General Assembly. North Carolina Code 105-164.28 – Certificate of Exemption Without a valid certificate on file, the vendor has to charge you the full North Carolina sales tax: 4.75 percent state plus the local rate for the county.8NCDOR. Filing Sales Tax Returns After You Register

Registration starts your ongoing filing obligation. The Department assigns a frequency based on the monthly liability you estimated:9NCDOR. Filing Frequency and Due Dates

  • Monthly, if your liability is at least $100 but less than $20,000 per month. Returns and payment are due by the 20th of the following month.
  • Quarterly, if your liability runs under $100 per month. Returns are due by the last day of January, April, July, and October.
  • Monthly with prepayment, if liability hits $20,000 or more per month. These returns must be filed electronically and include a prepayment of the next month’s estimated liability.

Most new wholesale businesses start on monthly filing. Even in a month with zero sales, you still have to file a return showing no tax due. The Department will adjust your frequency as your actual sales volume becomes clear.

When You Need an Additional License

The Sales and Use Tax Certificate covers most wholesale goods, but a few product categories carry their own licensing. Wholesaling tobacco requires a Cigarette Distributor’s License or a Tobacco Products License depending on what you handle.10NCDOR. Tobacco Products Tax Registration and Other Forms Alcohol has its own registration under the state’s Alcoholic Beverages Tax, and products like aviation fuel and dry-cleaning solvents each have dedicated NCDOR forms.

North Carolina repealed its state-level privilege license tax effective July 1, 2024, so there is no longer a separate annual state privilege license to buy.11NCDOR. Privilege Tax License Repeal Notice Local requirements are a different matter. Some cities and counties still have their own business license or zoning rules, so check with the clerk’s office where you’ll operate.

Penalties Worth Knowing Before You Slip Up

Using a resale certificate for personal purchases carries a $250 civil penalty per incident, and a tax deficiency the state ties to fraud brings a penalty of 50 percent of the amount owed.12NC General Assembly. North Carolina Code 105-236 – Penalties, Situs of Violations, Penalty Disposition Willful attempts to evade sales tax, or helping someone else do so, are a Class H felony. Late returns draw a failure-to-file penalty of 5 percent per month, capped at 25 percent of the tax owed. Two habits avoid most of this: never hand a vendor your E-595E for something you plan to keep, and file every return on time, even the ones that show zero tax due.
