How to Get an LLC in Kansas: Filing, EIN, and Biennial Report

To get an LLC in Kansas, file Articles of Organization with the Kansas Secretary of State. The online filing fee is $85 and processing takes minutes; paper filings cost $90 and come back by mail.1Kansas Secretary of State. Instructions for Filing Articles of Organization Domestic Limited Liability Company Before you file, pick a compliant name and line up a Kansas resident agent. After you file, get a federal EIN, register for any Kansas taxes that apply to your business, and put the biennial report on your calendar.

Pick a Name That Meets Kansas Rules

Your LLC’s name must include one of these formation indicators: “Limited Liability Company,” “Limited Company,” “LLC,” “LC,” “L.L.C.,” or “L.C.”2Justia. Kansas Code 17-7920 – Name Requirements for Limited Liability Companies It also has to be distinguishable on the Secretary of State’s records from any other registered entity, from reserved names, and from names that belonged to entities canceled within the past year.3Kansas Legislature. Run your preferred name through the Secretary of State’s online name availability search before you file.1Kansas Secretary of State. Appoint a Resident Agent

Every Kansas LLC needs a resident agent in the state. Kansas uses “resident agent” rather than the more common “registered agent,” but the job is the same: accept service of process and official mail on the LLC’s behalf.4Justia. Kansas Code 17-7925 – Resident Agent; Requirement to Maintain

The agent must have a physical Kansas street address (no P.O. boxes) and be available there to receive documents.5Kansas Secretary of State. Instructions for Filing Articles of Organization Domestic Limited Liability Company You can serve as your own agent, name another individual, or hire a commercial service. A paid service makes sense if you don’t have a consistent office presence or you’d rather not put your home address on the public record.

File the Articles of Organization

The Articles of Organization are what actually create the LLC. Required information is short:6Justia. Kansas Code 17-7673 – Articles of Organization

  • The LLC name, with its formation indicator.
  • The name and physical Kansas street address of the resident agent.
  • If the LLC will practice a licensed profession, each profession.
  • If the LLC will create series, a statement to that effect.

You can add other provisions, but most filers keep the formation document short and put governance details in the operating agreement.

Online Filing

Online filing through the Secretary of State’s website costs $85, processes within minutes, and lets you print a certified copy right away.1Kansas Secretary of State. Instructions for Filing Articles of Organization Domestic Limited Liability Company Credit and debit cards are accepted.

Paper Filing

By mail, the fee is $90. Send the completed form and payment (check or card) to the Kansas Secretary of State in Topeka, and a certified copy comes back once processing is finished.1Kansas Secretary of State. Write an Operating Agreement

Kansas doesn’t collect operating agreements, but the statute treats one as something that should be “entered into or otherwise existing” around the time of formation.6Justia. Kansas Code 17-7673 – Articles of Organization Kansas also gives “maximum effect” to freedom of contract in operating agreements, so courts generally enforce whatever the members agreed to.7Kansas Office of Revisor of Statutes. Kansas Code 17-76,134 – Operating Agreement

For a single-member LLC, the agreement can be short: it documents ownership, how you’ll run things, and what happens if you bring in a partner or wind down. For a multi-member LLC, skipping this document is where most trouble starts. Without one, Kansas’s default statutory rules control everything from profit splits to what happens when a member wants out.

At a minimum, a multi-member agreement should cover management structure (member-managed or manager-managed, plus voting thresholds), capital contributions and profit sharing, transfer restrictions such as a right of first refusal, what happens on a member’s death or withdrawal, and how disputes will be handled.

Get a Federal EIN

Once the LLC exists, apply for a federal Employer Identification Number from the IRS. You’ll need it to file taxes, open a business bank account, and hire employees.8Internal Revenue Service. Instructions for Form SS-4 – Application for Employer Identification Number The online application on the IRS website is free and issues the number immediately; Form SS-4 by fax or mail works too, but it’s slower by days or weeks.9Internal Revenue Service. About Form SS-4, Application for Employer Identification Number

When you open the business bank account, bring the EIN, your certified Articles of Organization, a photo ID, and your Social Security number. Some banks will also ask to see the operating agreement.

Register for Kansas Taxes

Depending on what your LLC does, you may owe Kansas taxes such as sales tax, withholding, or compensating use tax. Register through the Kansas Department of Revenue’s Customer Service Center; the online questionnaire identifies which taxes apply to your business.10Kansas Department of Revenue. Business Registration

If you plan to hire employees, register separately with the Kansas Department of Labor for unemployment insurance.

Know How Your LLC Will Be Taxed

An LLC has no tax category of its own by default. The IRS classifies it by member count:

  • Single-member LLCs are treated as disregarded entities. Income and expenses flow to your personal return on Schedule C.
  • Multi-member LLCs are treated as partnerships. The LLC files Form 1065, and each member gets a Schedule K-1.

You can change the default. Form 8832 elects C corporation taxation; Form 2553 elects S corporation status, which can reduce self-employment tax for owners who pay themselves a reasonable salary. The S corp election adds payroll obligations and a more complex return, so it’s worth talking through with a tax professional once profit is consistent.

File the Biennial Report

Kansas requires every LLC to file a biennial business entity information report with the Secretary of State. The year you file in is tied to your formation year: LLCs formed in an even-numbered year report in even years, and odd-year LLCs report in odd years.11Justia. Kansas Code 17-76,139 – Limited Liability Company Business Entity Information Report

For-profit LLCs must file by April 15 of the reporting year.12Kansas Secretary of State. Information Reports The statutory fee is $80, and the Secretary of State may add processing fees on top of that.13Kansas Office of Revisor of Statutes. Kansas Code 17-76,139 – Limited Liability Company Business Entity Information Report Check the Secretary of State’s site for the current total when your report comes due.

Miss the deadline by three months and your LLC forfeits its authority to do business in Kansas. Restoring it means paying back reports plus a penalty. Because this only comes around every two years, it slips by more often than annual filings do. Put it on the calendar the day you form.

If Your Situation Is Different

Some LLCs follow a different formation track. If any of these apply to you, the basic process above isn’t the whole picture.

Licensed Professionals

If you’re forming an LLC to provide a state-regulated professional service, Kansas may require a professional LLC. K.S.A. 17-2707 lists which services qualify. Before the Secretary of State will accept the Articles, you have to submit an original certificate from your Kansas regulatory board confirming each member or manager is licensed and that the board approved the LLC’s name. The name has to match the board’s approval exactly, and you cannot use “PLLC” as the indicator; you use the same designators available to any Kansas LLC.14Kansas Secretary of State. Series LLCs

Kansas lets an LLC create one or more series under a single parent entity, each holding its own assets and liabilities, if the operating agreement authorizes it and you file a Certificate of Designation for each series.6Justia. Kansas Code 17-7673 – Articles of Organization The paper filing fee for a Certificate of Designation is $35, and the series name must contain the complete, uninterrupted name of the parent LLC.15Kansas Secretary of State. Instructions for Filing Certificate of Designation

Out-of-State LLCs

If your LLC was formed in another state and you want to do business in Kansas, you don’t form a new one. File an Application for Registration as a foreign business entity (Form FA) with the Secretary of State; the fee is $115. You’ll appoint a Kansas resident agent, confirm the LLC’s name is available in Kansas (or file a consent form if it isn’t), and provide home-state formation details. If biennial reports would have come due during the period since formation, you may owe those back reports and fees with your application, plus a one-time $85 penalty if any report is past its forfeiture date.16Kansas Secretary of State.
