An Order for Final Distribution in California is the probate court’s signed judgment authorizing the executor or administrator to hand estate assets to the beneficiaries and close the case. To get it, the personal representative files a petition for final distribution under Probate Code 11640 once debts and taxes are handled, gives statutory notice, attends a hearing, and, for any real property, records a certified copy of the signed judgment in the county where the property sits.1California Legislative Information. California Probate Code 11640 The petition itself has a deadline: one year from the date letters were issued, or 18 months if the estate must file a federal estate tax return.2California Legislative Information. When the Petition Has to Be Filed
Probate Code 12200 starts the clock the day letters of administration are first issued. One year to petition for final distribution, or 18 months if a federal estate tax return is required.2California Legislative Information. California Probate Code 12200 If the estate genuinely cannot be closed in that window, the representative has to file a status report explaining why. Doing neither is grounds for the court to revoke the representative’s letters or cut their compensation. Beneficiaries who believe the executor is stalling can petition under Probate Code 8500 for removal; the court has discretion to act when a representative has “wrongfully neglected the estate” or “long neglected to perform any act.”3Justia Law. California Probate Code 8500-8505 – Removal From Office
Finish Debts and Taxes First
The court will not approve a distribution while liabilities remain open. Valid creditor claims have to be paid before anything goes to beneficiaries, and if the estate is short on cash the representative may have to sell property after publishing notice of sale.4California Legislative Information. Taxes come in layers. The executor files the decedent’s final personal income tax returns, Form 1040 for federal and Form 540 for California.5Internal Revenue Service. One warning worth taking seriously: if you distribute assets before confirming every tax obligation is satisfied and the estate then can’t pay, the IRS can pursue the executor personally for the resulting penalties and interest. Hold back a reserve until returns are filed and audit windows have closed.
What Goes in the Petition
The petition tells the court the estate is ready to close. It includes a full accounting of every financial transaction during administration: income received, expenses paid, and the proposed distributions to each beneficiary. The accounting can be waived, but only if the court or all beneficiaries agree in writing.
Estates administered under the Independent Administration of Estates Act have an extra requirement. The petition must specifically identify every transaction the representative handled without prior court approval; omitting IAEA transactions is one of the most common reasons petitions get flagged.9Superior Court of California County of Santa Clara. Closing And Distributing The Probate Estate The petition also has to confirm that all creditor claims have been resolved.
Submit the proposed Judgment of Final Distribution with the petition, or at least 10 days before the hearing. The judgment names each beneficiary and states the exact share or specific property they receive. Real estate needs full legal descriptions and assessor’s parcel numbers; a reference to “the property described in the will” will not do.9Superior Court of California County of Santa Clara. Closing And Distributing The Probate Estate Pull those descriptions from the preliminary change of ownership report or the original recorded deed.
Notifying Heirs, Beneficiaries, and Creditors
Probate Code 11000 requires notice to every known heir and devisee whose interest would be affected by the accounting, plus any creditor with an unpaid approved claim if the estate is insolvent.10California Legislative Information. California Probate Code 11000 If any part of the estate would escheat to the state, the Attorney General’s office in Sacramento must also be notified.
Notice goes out at least 15 days before the hearing under the procedures in Probate Code 1220.11California Legislative Information. California Probate Code 1220 Mailed notice is usually enough. If a beneficiary can’t be found after reasonable effort, the court may require publication in a newspaper of general circulation. Bad notice is one of the fastest ways to get a hearing continued.
Executor and Attorney Fees Get Approved at the Same Hearing
California uses a statutory fee schedule under Probate Code 10810, applied to the total estate value shown in the accounting.12California Legislative Information. California Probate Code 10810 – Compensation of Attorney
- 4% on the first $100,000
- 3% on the next $100,000
- 2% on the next $800,000
- 1% on the next $9,000,000
- 0.5% on the next $15,000,000
Both the executor and the estate’s attorney receive fees at these rates, so the schedule effectively runs twice. On a $500,000 estate that is $13,000 each, $26,000 combined. Where the representative handled unusual work such as litigation, tax disputes, or an ongoing business, they can request “extraordinary” compensation with documentation. Because the petition for final distribution is where fees are approved, a beneficiary who thinks the charges are too high should object before the hearing rather than after.
The Hearing
The judge reviews the accounting, the proposed distributions, and the supporting documents to confirm the executor met their fiduciary obligations. Under IAEA administration, expect close scrutiny of transactions handled without prior court approval. The filing fee for most probate petitions is $435 in 2026.13Judicial Council of California. Statewide Civil Fee Schedule Effective January 1, 2026
Interested parties can object. Common disputes involve asset valuations, how funds were managed, or alleged breaches of fiduciary duty. The court may call for additional documentation, expert testimony, or a separate evidentiary hearing. In serious cases the judge can impose sanctions, order restitution, or remove the executor under Probate Code 8500.3Justia Law. California Probate Code 8500-8505 – Removal From Office If nothing derails the petition, the judge signs the Judgment of Final Distribution and the executor can start transferring assets immediately.14California Legislative Information. Making the Distributions and Collecting Receipts
Specific gifts named in the will go out first: a piece of jewelry, a set dollar amount, a named account. Whatever is left after specific gifts, debts, and administration costs is the residue, which passes to the residuary beneficiaries. Assets that cannot be easily divided, such as a house or a closely held business interest, are typically sold and the proceeds split, or the beneficiaries agree on a buyout before the hearing so the court has a clean proposal to approve. If entitlement itself is disputed, any beneficiary or claimant can petition under Probate Code 11700 for the court to determine who gets what.15California Legislative Information. California Probate Code 11700 – Petition for Final Distribution
Once each distribution is made, the executor must get a signed receipt from the beneficiary. Those receipts go into the court record and protect the executor from later claims.
Recording the Judgment for Real Property
Real estate needs an extra step. After the judge signs the Judgment of Final Distribution, the personal representative records a certified copy in the county where the property is located.9Superior Court of California County of Santa Clara. Closing And Distributing The Probate Estate Recording is what actually transfers title to the beneficiary, and it also serves as the receipt for that distribution. Without recording, the beneficiary will run into problems selling, refinancing, or insuring the property because the chain of title will not show their ownership.
Closing the Estate
With assets distributed and receipts collected, the representative submits a final report confirming that taxes are filed and paid, creditor claims are resolved, and every distribution matches the court’s order. Satisfied with that, the court issues an order closing the estate and discharging the personal representative.
Then wind everything down: close estate bank and brokerage accounts, end any business interests, and file a final fiduciary return for the estate’s last tax year. If assets turn up later, an overlooked account, unclaimed property, a late insurance payout, probate can be reopened under Probate Code 12250 to administer them under court supervision.16Justia Law. California Probate Code 12250-12252 – Discharge of Personal Representative
If the Estate Cannot Close On Time
Beneficiaries do not always have to wait for the final order to receive anything. Under Probate Code 11600, the personal representative or any interested person can petition for a preliminary distribution before the estate is fully wound down.17California Legislative Information. California Probate Code 11600 The court will approve it only if enough assets will remain to cover debts, taxes, and administration costs, and beneficiaries who receive early distributions may have to agree to return funds if the estate turns out short. For an heir stuck waiting on an estate that has stalled behind a tax audit, ongoing litigation, or a hard-to-sell asset, this is often the most practical move available.
