What the Certificate Confirms
Under Oregon law, the Certificate of Existence is conclusive evidence that a business is in good standing. The certificate carries no printed expiration date, but most banks, lenders, and state agencies will only accept one issued in the last 30 to 90 days. If You’re Not in Good Standing
If your business was administratively dissolved for failing to file an annual report, you can apply for reinstatement as long as the dissolution happened less than five years ago.10Oregon Secretary of State. Reinstatement requires:
- Your original business name still being available. If someone else has claimed it, you’ll file a name change as part of the reinstatement.
