If you’re working against a closing, loan, or filing deadline, going to the office in person with the expedited fee is the safest route. Mailed documents are returned to the address you provide on the form.

When the Free Online Report Is Enough

The Illinois Secretary of State’s free business entity search returns a File Detail Report showing the LLC’s official name, formation date, jurisdiction, registered agent, registered office address, status, and managers.2Illinois Secretary of State. Business Search / Certificate of Good Standing That’s often enough for a quick internal check. It is not a certified copy. The report does not carry the state’s seal or signature, and banks, courts, and agencies asking for an official document will not accept it in place of one.

Certified Copy vs. Certificate of Good Standing

These two documents get mixed up constantly, and ordering the wrong one costs you time and $25. A certified copy of the Articles of Organization is a reproduction of the original formation document your LLC filed. It proves the LLC was formed and shows what was on file at that time. A Certificate of Good Standing, sometimes called a Certificate of Existence, is a different document that confirms the LLC currently exists, is authorized to do business in Illinois, and is current on required filings such as annual reports. You can buy a Certificate of Good Standing online for $25 through the business entity search portal and print it right away.2Illinois Secretary of State. When a lender or bank asks for “proof of your LLC,” ask which one they mean. Some want the formation document. Others want the good-standing certificate. A few want both.

Update the Record First If Details Have Changed

The copy the state sends you will reflect what’s currently on file, not what should be on file. If your LLC has changed its name, switched between member-managed and manager-managed, changed its registered agent, or updated other information that appears in the original Articles of Organization, file Articles of Amendment (Form LLC 5.25) before ordering the certified copy. The amendment filing fee is $50, with an additional $100 for expedited processing.4Illinois Secretary of State. Limited Liability Company Publications and Forms Changes that live only in the operating agreement, such as adjustments to profit-sharing among members, don’t require an amendment.

Check Active Status Before You Order

Illinois LLCs must file an annual report with a $75 fee.4Illinois Secretary of State. Limited Liability Company Publications and Forms Missed reports can lead the Secretary of State to administratively dissolve the LLC, and reinstatement costs $200 plus the missed report fees. Before you request a certified copy for a bank or business partner, run the free online search and confirm the LLC shows as active. Catching a lapsed status yourself gives you time to fix it before it derails a transaction.
