To get an LLC in Mississippi, you file a Certificate of Formation online through the Secretary of State’s Business Services portal and pay a $50 fee.1Mississippi Secretary of State. Business Documents Filing Fees The state usually turns filings around within 24 hours.2Mississippi Secretary of State. FAQs Before and after that filing, there are a handful of steps that keep the LLC legally sound and in good standing with both the state and the IRS.
Pick a Name That Clears the State’s Rules
Your name has to include “Limited Liability Company” or an abbreviation like “L.L.C.” or “LLC,” and it must be distinguishable from every other business entity already on file with the Secretary of State.3Justia. Mississippi Code 79-29-109 – Name The Business Services portal lets you check availability for free.
If you’re not ready to file but want to hold the name, Mississippi reserves names for 180 days. The reservation costs $25, and you can renew it once for another 180 days. Useful if you’re still working out the operating agreement or lining up financing.
Appoint a Registered Agent
Every Mississippi LLC needs a registered agent to receive legal documents on the company’s behalf. The agent has to be either a Mississippi resident or a business authorized to operate in the state, and the agent must have a physical street address in Mississippi where they’re available during normal business hours. A P.O. box alone won’t do.4Mississippi Secretary of State. Mississippi Limited Liability Company Act
You can serve as your own agent if you meet those requirements, but your address becomes part of the public record and you need to be reachable during business hours. Commercial registered agent services generally cost $100 to $300 a year and give you some privacy plus reliable handling of service of process. A missed service can lead to a default judgment against the LLC, so dependability matters more than price.
File the Certificate of Formation
The Certificate of Formation is the document that legally creates your LLC. Under Mississippi law, the required contents are lean: the LLC’s name, the registered agent and office information, and, optionally, a dissolution date if you want the LLC to end on a fixed day.5Justia. Mississippi Code 79-29-201 – Certificate of Formation Members can add other provisions, but nothing beyond that short list is required.
The LLC exists the moment the Secretary of State files the certificate, unless you specify a later effective date up to 90 days out. That delayed start is handy when you want the legal birth of the LLC to line up with a lease, a contract, or the start of a tax year.5Justia. Mississippi Code 79-29-201 – Certificate of Formation
How the Online Filing Works
Filings go through the Secretary of State’s Business Services portal. You’ll set up an account, choose the option to form a domestic LLC, and work through a guided form. The portal asks for a business email, the names and addresses of initial members or managers, and whether the LLC will be member-managed or manager-managed. Gather all of that before you start, because incomplete submissions get kicked back.
Fee and Turnaround
The filing fee is $50, paid by credit card or electronic check in the portal.1Mississippi Secretary of State. Business Documents Filing Fees After payment, staff review the submission and either file it or flag issues, typically within 24 hours.2Mississippi Secretary of State. FAQs Once approved, you’ll receive an electronic stamped Certificate of Formation. Download it and save it; you’ll need it to open a bank account, apply for an EIN, and get local permits.
Get a Federal EIN from the IRS
With the LLC on file, your next step is a federal Employer Identification Number from the IRS. You need one to open a business bank account, hire employees, and file taxes. The IRS issues EINs for free through its online application and returns the number immediately if you apply during business hours.6Internal Revenue Service. Get an Employer Identification Number
To use the online tool, your principal place of business must be in the United States, and you’ll need the Social Security number or ITIN of the person who controls the LLC. The application has to be finished in one sitting; it can’t be saved and times out after 15 minutes of inactivity. You’re limited to one EIN application per responsible party per day. Write an Operating Agreement
Mississippi doesn’t require you to file an operating agreement with the state, but putting one in writing is the single most important thing you can do after formation. Without one, state default rules govern how the LLC runs internally, and those defaults are generic enough that they rarely match what the members actually intended.7Justia. Mississippi Code 79-29-123 – General Standards
At a minimum, cover:
- Ownership percentages and what each member contributed.
- How profits and losses are divided, which doesn’t have to track ownership percentages.
- Who makes day-to-day decisions and who handles major moves like taking on debt or selling assets.
- What decisions require a vote and what threshold passes them (majority, supermajority, unanimous).
- What happens when a member wants to sell their interest or leave.
- How the LLC winds down if the members close it or a triggering event occurs.
Even single-member LLCs benefit. Courts sometimes consider whether an LLC was operated with proper formalities when deciding whether to hold a member personally liable, and a written agreement showing you treated the LLC as a separate entity strengthens that protection.
Sort Out Federal and Mississippi Taxes
By default, a single-member LLC is taxed as a sole proprietorship and a multi-member LLC is taxed as a partnership. Both are pass-through: profits flow onto your personal return and you pay self-employment tax of 15.3% on most of that income. For many small LLCs, this works fine with no extra paperwork.
If profits grow enough that self-employment tax is painful, you can elect S-corporation treatment by filing IRS Form 2553. You then pay yourself a reasonable salary subject to payroll taxes, and any remaining profit taken as a distribution avoids the 15.3% self-employment tax. The election has to be made no more than two months and 15 days after the start of the tax year it’s meant to apply to, or at any point in the prior tax year.8Internal Revenue Service. Instructions for Form 2553 For most LLCs earning under roughly $40,000 to $50,000 in net profit, the extra payroll and recordkeeping aren’t worth the savings.
Mississippi classifies your LLC for state tax purposes the same way the IRS does. A pass-through LLC owes no entity-level state income tax; income flows to the members’ Mississippi returns. If the LLC elects corporate taxation, Mississippi corporate income tax applies on a graduated scale (0% on the first $5,000 of taxable income, 4% on the next $5,000, and 5% above $10,000), plus an annual franchise tax.9Mississippi Department of Revenue. Business Tax Frequently Asked Questions Regardless of federal classification, if you sell goods or taxable services in Mississippi you collect the 7% general sales tax, and if you hire employees you withhold Mississippi income tax from their wages.
File the Annual Report Every Year
Every Mississippi LLC has to file an annual report with the Secretary of State between January 1 and April 15 each year.10Justia. Mississippi Code 79-29-215 – Annual Report for Secretary of State It updates the state on your registered agent, business address, and management information, and you file it through the same Business Services portal.
Mississippi doesn’t charge domestic LLCs a fee for the annual report.11Justia. Mississippi Code 79-29-1203 – Fees The report takes a few minutes. Set a calendar reminder for early January, because what happens if you skip it is far worse than the effort to file it.
What a Missed Report Costs You
If you miss the annual report, the Secretary of State can administratively dissolve the LLC. Dissolution strips the company of its legal authority to do business in Mississippi and can put at risk the personal liability protection you formed the LLC to get.11Justia. Mississippi Code 79-29-1203 – Fees
Reinstatement is possible. You’ll need to get a tax clearance letter from the Mississippi Department of Revenue, file for reinstatement through the Secretary of State’s portal, and pay a $50 reinstatement fee.2Mississippi Secretary of State. Business Documents Filing Fees Any overdue annual reports may also need to be filed before the state restores good standing, and the tax clearance step means any back state taxes have to be resolved first. For a free annual filing that takes minutes, losing the liability shield is one of the most avoidable mistakes in business compliance.
