To run a Colorado LLC lookup, go to the Secretary of State’s free business database at sos.state.co.us and search by the company’s legal name or its state-assigned entity ID number. The results show whether the LLC is active, who its registered agent is, and every document it has filed since formation. The tool is open to the public and works whether you’re vetting a company before signing a contract, confirming a name is available, or tracking down an agent to serve legal papers.
Running the Search
From the Business Organizations page on the Secretary of State’s site, choose the option to search the business database.1Colorado Secretary of State. Business FAQs – Finding a Business The fastest match comes from the entity ID number, a unique identifier assigned when the LLC is first formed or registered in the state. If you only have the name, that works too, though a common one may return a long list. Trade names (DBAs) are searchable as well, if the LLC registered one.
Colorado’s system ignores periods, commas, underscores, apostrophes, and capitalization when comparing names, so “A.B.C., Inc.” and “abc inc” are treated as the same entry.2Colorado Secretary of State. Name Distinguishability That’s why a search may surface results that look slightly different from what you typed.
If a basic search returns too many hits, the advanced search lets you narrow by filing date range, which helps when you know roughly when the LLC was formed but not the exact spelling.3Colorado Secretary of State. Advanced Search Click an entity’s ID number in the results to open its full record.
What the Record Shows
The record page is organized into tabs. The Summary tab carries what most people are looking for: current status, principal office address, formation date, and the registered agent’s name and address.1Colorado Secretary of State. Business FAQs – Finding a Business
Entity Status
Status tells you whether the LLC is current with the state or has fallen behind:
- Good Standing means the LLC is current on its periodic reports and has a valid registered agent on file.
- Delinquent means the LLC has missed a required filing, such as a periodic report, or no longer has a registered agent on record.4Colorado Secretary of State. Business FAQs – Delinquency
- Dissolved or Withdrawn means the business is no longer active as a Colorado entity, either voluntarily closed or administratively dissolved.
A delinquent status is a warning sign if you’re thinking about doing business with the LLC, since it shows the company hasn’t kept up with basic state obligations.
Registered Agent
The registered agent is the person or company authorized to accept legal documents and official state notices for the LLC. Colorado requires a physical street address in the state where the agent can be reached during business hours; P.O. boxes and commercial mailbox addresses don’t qualify.5Colorado Secretary of State. Business FAQs – Registered Agent That street address in the database is where you’d send a lawsuit or formal notice.
Filing History
The History and Documents tab lists every filing since formation: articles of organization, periodic reports, address changes, management changes, and amendments.1Colorado Secretary of State. Periodic Reports and What Delinquency Costs
Every Colorado LLC files a periodic report each year. The due date isn’t universal; it’s tied to the entity’s assigned periodic report month, shown on the Summary tab. The report can be filed as early as two months before that month or as late as two months after, with no penalty inside that window.6Colorado Secretary of State. Business FAQs – Reports
Missing the window flips the entity to Delinquent, and that status sits in the public database for anyone to see. If the LLC stays delinquent for three or more years, any manager can cause it to dissolve.7Justia Law. Colorado Code 7-90-908 – Dissolution of Delinquent Entity
Reinstating a Delinquent LLC
If your own LLC is showing as Delinquent, the fix depends on how long it has been that way. For delinquencies under five years, file a statement curing the delinquency through the Secretary of State’s online portal. The statement requires the principal office address and the registered agent’s name and address, and it’s signed under penalty of perjury.
Delinquencies of five years or more take more. In addition to the statement curing delinquency, you’ll submit an affidavit confirming your authority to act on behalf of the entity, along with a copy of your government-issued photo ID.
Either way, the online reinstatement filing fee is $100, on top of any overdue periodic reports you’ll need to file to bring the LLC current.8Colorado Secretary of State. Business Organizations Fee Schedule
Official Documents and Certificates of Good Standing
You can view and download PDFs of any filed document, including the original Articles of Organization and every periodic report, straight from the entity’s record page at no cost. Certified copies and Certificates of Good Standing (sometimes called Certificates of Fact) are also free when pulled online through the Secretary of State’s portal.8Colorado Secretary of State. A Certificate of Good Standing confirms the LLC exists and is current with its state filings. Banks, lenders, and courts in other states commonly ask for one during loan applications, contract signings, or when the LLC registers to do business elsewhere. Since Colorado issues them online at no charge, pull a fresh one whenever a transaction calls for it.
