How to Look Up an LLC in Maine and Check Its Status

To run a Maine LLC lookup, go to the Secretary of State’s Interactive Corporate Services portal at apps3.web.maine.gov/nei-sos-icrs/ICRS and search by the company’s legal name or its charter number.1State of Maine. Interactive Corporate Services The search is free, no account is required, and the record returned shows the LLC’s current status, registered agent, formation details, and full filing history.

Running the Search

A charter number is the fastest way in. Maine assigns one at formation: eight digits followed by “DC” for a domestic LLC or “FC” for a foreign one.3State of Maine. Change of Address – Charter Number Information Enter it and you land directly on the entity’s record.

Without a charter number, use the legal name. The search accepts partial names and returns a list of matches, so exact spelling helps but is not required. If nothing turns up, try variations. LLCs often register under a legal name that differs from the brand or storefront you know them by.

If the online search doesn’t produce what you need, the Division of Corporations takes calls at (207) 624-7752 and email at cec.corporations@maine.gov.4Department of the Secretary of State. Search Corporate Names

Reading the Record

Clicking into an LLC pulls up its filing record. The status field is the first thing to check if you’re vetting a company before doing business with it:

  • Good standing means the LLC has filed its required reports and paid its fees. It can legally operate, contract, and sue.
  • Not in good standing means the LLC has fallen behind on reports or fees but hasn’t been dissolved. Worth asking about before you sign anything.
  • Administratively dissolved means the Secretary of State terminated the LLC’s authority, usually for missed annual reports or losing a registered agent. A dissolved LLC can’t legally conduct business beyond winding up, and anyone acting on its behalf risks personal liability for debts incurred during that period.5Maine State Legislature. The record also lists the state or country where the LLC was formed and the date of its last annual report.5Maine State Legislature. Maine Revised Statutes Title 31 – Section 1592

The registered agent’s name and address appear in the public record. Every Maine LLC must keep one with a physical Maine street address to accept legal papers and official notices on the company’s behalf.6Maine State Legislature. The filing history includes the original formation documents and any amendments. You can view images of these filings in your browser,4Department of the Secretary of State. Why Status Matters Before You Do Business

If you’re a contractor, vendor, or lender, an “administratively dissolved” status means the entity you’d be contracting with has no legal authority to do business. A court could treat the contract as voidable, and banks may refuse to open or maintain accounts for a dissolved entity. A five-minute lookup can save months of trouble later.

What the Lookup Won’t Tell You

Maine’s business search doesn’t give you a tidy ownership summary on the main record page. Member and manager names are required in each LLC’s annual report, and those reports are public, so you can usually find the names by opening the filed annual reports in the entity’s filing history.7State of Maine Attorney General. Maintaining the Public Record for Entity Filings Just don’t expect a convenient summary field.

Federal beneficial ownership information filed under the Corporate Transparency Act is confidential. FinCEN restricts it to law enforcement and authorized financial institutions, so it won’t appear in any public search.

An LLC’s federal Employer Identification Number also isn’t in the state database. The IRS releases EIN details only to authorized individuals; if you need one, ask the business directly or call the IRS at (800) 829-4933.

When You Need Certified Proof

The free lookup covers most due diligence. Some situations require official paperwork bearing the Secretary of State’s seal, such as opening a business bank account, closing a real estate transaction, or filing in court.

Certificate of Existence

A Certificate of Existence is the state’s official confirmation that the LLC is properly formed and in compliance. The certificate verifies that all fees and penalties owed to the state have been paid, that the most recent annual report is on file, and that no cancellation has been recorded. Once issued, it’s conclusive evidence that the LLC exists and is authorized to do business in Maine.8Maine State Legislature.
