How to Look Up an LLC in Nebraska: Filters, Records, and Status

What to Have Before You Search

The search runs best with one solid identifier. The most precise is the Secretary of State Account Number assigned when the LLC was formed; if you have it, you’ll land directly on the record. Most people don’t, so the LLC’s legal name is the usual entry point.

You can also search by the name of a person who serves as a registered agent.1Nebraska Secretary of State. Corporate and Business That is useful when you know who runs a business but not its exact legal name, or when you want to see every entity a particular agent represents. The name field is spelling-sensitive, so a small typo can return nothing even when the entity is there.

Choosing the Right Filter

The portal asks how it should match your text. The options include “Starts With,” “Exact Match,” and “Contains.” If you’re confident about the first few words of the name, “Starts With” is fastest. If you only remember a distinctive word buried in the middle, “Contains” catches it wherever it sits.

“Exact Match” is strict and only really works when you know the full legal name down to the punctuation. Most people should start with “Starts With” or “Contains” and narrow from there. Results come back organized by legal name and account number, and you can adjust the filter and search again without leaving the page.

Reading the Record

Clicking an entity’s name opens a summary page, and the field to look at first is status. “Active” means the LLC is registered and in good standing. “Dissolved” means the company has been formally dissolved, either voluntarily by its members or administratively by the Secretary of State for missed filings.2Nebraska Secretary of State. New Business Information An administratively dissolved LLC can no longer carry on business except to wind up its affairs.

The summary also shows the registered agent’s name and street address. When the Status Says Dissolved

A dissolved status doesn’t necessarily mean the company is gone. Nebraska allows administratively dissolved LLCs to apply for reinstatement within five years of the dissolution date.3Nebraska Legislature. After five years, reinstatement is still possible but harder. A late application requires an additional fee and has to explain why the reinstatement is legitimate and not a fraud on the public. When reinstatement does go through, it relates back to the original dissolution date, so the LLC is treated as though the dissolution never happened.3Nebraska Legislature. Ordering a Certificate of Good Standing

Sometimes a screenshot of the search result isn’t enough. Lenders, courts, and business partners often want an official document confirming the LLC is in good standing. Nebraska offers two versions.4Nebraska.gov. FAQ

  • Letter of Good Standing, $6.50: an online verification you can view and print immediately. Good for informal purposes and quick checks.
  • Certificate of Good Standing, $10.00: a formal document prepared by the Secretary of State’s staff, bearing the state seal and signature, mailed within two to three business days. This is the version most lenders and courts expect.

Checking Biennial Report Compliance

One of the most practical uses of the search is confirming an LLC has stayed current on its biennial reports. Nebraska requires every domestic and foreign LLC to file a biennial report during each odd-numbered year, delivered to the Secretary of State between January 1 and April 1.6Nebraska Legislature. Missing the filing entirely puts the entity on the path to administrative dissolution.

Testing a Proposed LLC Name

People also use the search to see if a proposed LLC name is available before filing formation documents. Nebraska law requires that an LLC’s name not be the same as or deceptively similar to any other entity already on file with the Secretary of State.7Nebraska Legislature. If a close match already exists, most people simply choose a more distinctive name rather than trying to work around the rule.

What the Search Won’t Tell You

The database is a strong starting point, but its limits are real. It does not include financial information, tax filings, or details about members or managers beyond the registered agent. You won’t find revenue figures, lawsuit history, or whether the company is current on its tax obligations. Court records and direct requests to the company fill in those gaps.

The search also won’t show a federal Employer Identification Number. The IRS does not run a general public EIN lookup, so confirming an EIN usually means asking the company or checking a document like a W-9 it has provided. Tax-exempt organizations are searchable through the IRS Tax Exempt Organization Search tool, but that exception doesn’t apply to standard LLCs.
