How to Look Up an LLC in Virginia: Search Steps and Certificates

To run a Virginia LLC search, go to the State Corporation Commission’s Clerk’s Information System at cis.scc.virginia.gov/EntitySearch/Index and search by the company’s name or its seven-digit SCC ID number. The database covers every business entity filed with the SCC: domestic LLCs, foreign LLCs registered to do business in Virginia, corporations, limited partnerships, and business trusts. You can also reach the search page from scc.virginia.gov through the business entities section.

What You Need Before You Search

Two things get you a result: the entity name or the SCC ID number. The ID number is a seven-digit identifier assigned when the LLC was formed or registered, and it pulls up exactly one record. If all you have is the name, get the spelling as close to the legal name as you can. Under Va. Code ยง 13.1-1012, an LLC’s name must be distinguishable from other entities on file,3Virginia Code Commission. Many companies operate under trade names or abbreviations that differ from the version filed with the SCC.

Running the Search

The search page has a text field and a dropdown that controls how the system matches what you type. You have three filter choices:

  • Starts With returns entities whose legal name begins with your text. Good when you know the first word.
  • Contains returns entities where your term appears anywhere in the name. Widest net, and useful if you don’t know whether the name leads with a person, a place, or something else.
  • Exact Match requires the name down to the comma. Rarely the right choice.

Pick a filter, enter your term, and run the search. Results come back as a list showing each entity’s name, SCC ID, entity type, and status. What the Detail Page Shows

The entity’s page is where the real information lives. You’ll see:

  • Status: active, inactive, cancelled, or purged.
  • Formation or registration date: when the SCC issued the certificate of organization (domestic LLCs) or certificate of registration (foreign LLCs).
  • Principal office address: the physical location where the LLC conducts business, which does not have to be in Virginia.
  • Registered agent name and address: the person or company authorized to accept legal documents on the LLC’s behalf.
  • SCC ID number: the seven-digit identifier.

Status is usually what people came for. “Active” means the LLC is currently authorized to do business in Virginia. “Cancelled” means the LLC either dissolved voluntarily or was terminated by the SCC, most often for failing to pay its $50 annual registration fee.4Virginia Code Commission. Virginia Code 13.1-1062 – Assessment of Annual Registration Fees A cancelled LLC generally cannot legally transact business in Virginia until it resolves the delinquency, so if you’re deciding whether to sign a contract or extend credit, cancelled status is worth pausing on. “Purged” means the entity has been removed from the active database after a long period of cancellation.

The registered agent line sometimes throws people. Every Virginia LLC must continuously maintain a registered agent in the Commonwealth,5Virginia Code Commission. Many LLCs hire commercial registered agent services, so an unfamiliar company name in that slot is normal and doesn’t mean anything is wrong.

When You Need an Official Certificate

A screenshot of the search results is enough for most personal due diligence, but banks, courts, and contracting agencies often want an official document bearing the SCC clerk’s seal. Two options cover most needs:

  • Certificate of Good Standing confirms the LLC exists and is current on its filing obligations.
  • Certificate of Fact confirms specific record facts, such as the formation date or current status.

Both cost $6 when downloaded through the Clerk’s Information System, and certified copies of filed documents like articles of organization run $6 per request online. If you order by mail, the certification is still $6 per document, but copy charges are added by page count: no charge up to 25 pages, $10 for 26 to 50, and $20 for 51 or more.6Virginia State Corporation Commission. When the Search Comes Up Empty

No results doesn’t automatically mean fraud. A few ordinary explanations:

  • The company operates under a trade name or DBA that isn’t its legal SCC name. Try the “Contains” filter with a shorter keyword.
  • The business is based in another state and never registered as a foreign LLC in Virginia. Search the business entity database in the state where it was actually formed.
  • The filing is very recent and hasn’t posted to the public search tool yet.
  • The LLC was cancelled long enough ago that its record has been purged.

That said, if you have reason to believe a company should be registered in Virginia and it isn’t, that absence is itself useful. Any foreign LLC that transacts business in the Commonwealth is required to register with the SCC, and an unregistered company may lack the legal authority to enforce its contracts in Virginia courts.

What This Search Won’t Tell You

The SCC’s database confirms an LLC’s state-level standing and nothing about its federal tax picture.
