To register a DBA in Utah, you file a Business Name Registration with the Division of Corporations and Commercial Code, pay a $22 fee, and do it within 30 days of starting to operate under the assumed name.1Utah Legislature. Utah Code Section 42-2-52Utah Department of Commerce. Fiscal Year 2026 Fee Schedule Most online filings are approved instantly. The registration lasts one year, and if you miss the renewal, you lose the name.
Who Has to Register
Utah law requires anyone doing business under a name other than their own legal name to file a certificate with the Division within 30 days of starting operations.1Utah Legislature. Utah Code Section 42-2-5 That generally pulls in three groups: sole proprietors operating under a commercial name, general partnerships using something other than the partners’ combined names, and LLCs or corporations running a side brand under a different name.3State of Utah. CORP DBA
If your name is Jane Smith and you operate as “Jane Smith Consulting,” you don’t need a DBA. The moment you call yourself “Apex Consulting Group,” you do.
Pick a Name That Will Clear Review
Your proposed name has to be distinguishable from every other registered name and trademark already on file.4Utah Legislature. Utah Code Section 42-2-6.6 Distinguishable is a lower standard than unique, but swapping “the” in or out, or changing only punctuation, usually won’t be enough. The Division’s online business search tool lets you check availability before you file.
Two naming traps catch sole proprietors. You cannot use “incorporated,” “inc.,” or any variation unless the DBA is owned by an actual corporation, and you cannot use “LLC” or “limited liability company” unless a formally organized LLC owns it.4Utah Legislature. Utah Code Section 42-2-6.65State of Utah. CORP Policies and Procedures for Administering Business Entity Name Availability and Standards Putting a corporate designator in a sole proprietor’s DBA gets your filing rejected.
Some words also need written approval from another agency before the Division will accept them:
- Financial terms like “bank,” “trust,” “credit union,” and “escrow” require approval from the Utah Department of Financial Institutions.6Utah Department of Financial Institutions. Guidelines for Restricted Names
- “Olympic” and “Olympiad” require written consent from the United States Olympic Committee.4Utah Legislature. Utah Code Section 42-2-6.6
- “University,” “college,” and “institute” require approval from the Utah Division of Consumer Protection.7State of Utah. Business Name Conventions and Policies
Names implying your business is a government agency are rejected outright, and as of 2022, assumed names cannot include the number sequence “911.”4Utah Legislature. Utah Code Section 42-2-6.6 If a restricted word appears in your proposed name, secure the written approval first and submit it with your application.
What the Application Asks For
Utah Code ยง 42-2-5 spells out what has to go on the form:1Utah Legislature. Utah Code Section 42-2-5
- The exact business name you want to operate under.
- Full legal names of every person or entity that owns the business.
- A physical street address for the principal place of business. A P.O. box alone will not satisfy this.
- A description of the business activity, or a NAICS code (the standardized industry classification code the state uses).
- A registered agent located in Utah to receive legal documents on the business’s behalf. You can name yourself.
The registered agent requirement surprises many sole proprietors, since it’s usually associated with LLCs and corporations. Utah’s statute requires it for DBAs too. If you hire a commercial registered agent service, expect a separate annual fee on top of the state filing fee.
How to File and What It Costs
The Division runs an online Business Registration System where you can complete the filing. Log in with a UtahID, choose “Doing Business As (DBA)” as the entity type, and work through the prompts for name, address, owner information, and registered agent. Payment is by credit card at the end.8State of Utah. CORP Online Registration Instructions
Prefer paper? You can mail the form to P.O. Box 146705, Salt Lake City, UT 84114-6705, or drop it off at 160 East 300 South, Salt Lake City. Paper filings accept checks or money orders.8State of Utah. CORP Online Registration Instructions
The standard filing fee is $22. Expedited processing is available for an additional $75 per filing, though the fee schedule doesn’t publish a guaranteed turnaround for expedited DBAs.2Utah Department of Commerce. CORP Home Paper submissions run longer because of mail transit and handling.
Once approved, you can buy a Certificate of Existence through the Business Registration System as proof of your filing. Banks typically ask for this certificate or a copy of your registration before opening a business account under the DBA name. For DBAs, the certificate is a separate purchase and is not bundled with approval.8State of Utah. CORP Online Registration Instructions
Renewing the Registration
A Utah DBA is valid for one year from the filing date. The Division sends a renewal notice to your registered address 60 days before the anniversary.10State of Utah. CORP How to Renew a Business Renewal costs $22, the same as the original filing.2Utah Department of Commerce. Fiscal Year 2026 Fee Schedule
Here’s the part that catches people. If you miss the renewal deadline, your DBA cannot be reinstated.11State of Utah. How to Reinstate a Business Entity The name becomes available to anyone else, and you’d have to submit a brand-new application and hope nobody has claimed it. Put the anniversary date on your calendar the day you’re approved. Don’t rely on the mailed notice.
Changing or Canceling Your Registration
If your business address changes, you add or remove an owner, or your registered agent changes, you have 30 days to file an amended certificate.12Utah Legislature. Utah Code Section 42-2-6 Letting the record go stale creates problems if someone tries to serve legal documents at an old address or contact a former owner.
Canceling is free.2Utah Department of Commerce. Fiscal Year 2026 Fee Schedule Send a letter to the Division with the business name, address, owner names, and a request to cancel. Every owner has to sign. You can submit it by mail, fax, or email to corpucc@utah.gov, and the cancellation takes effect the day the Division receives it.13Utah Department of Commerce, Division of Corporations and Commercial Code. Cancellation of a Business Name Registration Guide Sheet If you later form an LLC or corporation using the same name as your DBA, the Division requires you to cancel the DBA first.
What Happens If You Don’t Register
Operating under an assumed name without registering carries two real consequences under Utah law. You lose the ability to file or maintain any lawsuit, counterclaim, or legal proceeding in Utah courts until you get into compliance. The Division can also assess a late filing penalty of up to three times the normal fee.14Utah Legislature. Utah Code Chapter 2 – Section 42-2-10
The court access restriction is the more dangerous one. If a client owes you $15,000 and refuses to pay, an unregistered DBA cannot sue to collect until it registers. That delay alone can cost more than the $22 fee ever would.
What a DBA Does Not Do
A DBA is not a business entity. It doesn’t create an LLC, a corporation, or any structure that separates your personal assets from business debts. As a sole proprietor with a DBA, you are personally liable for everything the business owes.3State of Utah. CORP DBA Liability protection is a separate step through LLC or corporate formation.
A DBA also doesn’t replace a local business license. After you register with the state, you still need a license from the city, town, or county where you operate, and requirements vary by municipality.15State of Utah. Business Licensing
On the federal side, sole proprietors don’t need a new Employer Identification Number just because they registered a DBA. Adding an assumed name doesn’t change your tax identity. You only need a new EIN if you change your business structure, such as by incorporating or forming a partnership.16Internal Revenue Service. When to Get a New EIN
