A Maryland Resident Agent

Every foreign LLC registered in Maryland must name a resident agent to accept legal papers on its behalf. The agent must be one of the following:

  • An adult Maryland citizen
  • A Maryland corporation
  • A Maryland LLC
  • A Maryland limited partnership or LLLP

Your LLC cannot act as its own agent. The address has to be a real Maryland street address. P.O. boxes, UPS stores, mailbox services, and virtual addresses are all out.9Maryland Business Express. Register Your Business If you don’t know anyone in the state who qualifies, commercial registered agent services typically charge somewhere in the range of $50 to $200 a year.

A Current Certificate of Good Standing

You need a Certificate of Good Standing (sometimes called a Certificate of Existence) from the state where your LLC was formed. It proves the entity is active and compliant at home. Maryland requires the certificate to be dated within 60 days of when you submit the registration.2Maryland State Department of Assessments and Taxation. Filing the Registration

The registration goes on SDAT’s Foreign Limited Liability Company Registration form. It asks for your LLC’s legal name, the jurisdiction where it was formed, the address of its principal office, and a description of the business it plans to conduct in Maryland.2Maryland State Department of Assessments and Taxation. Submit the form, the Certificate of Good Standing, and the fee through the Maryland Business Express online portal, or mail everything to SDAT in Baltimore. Once SDAT approves the filing, you’ll get a confirmation — by email for online submissions, or a stamped copy returned by mail. At that point your foreign LLC is qualified to do business in Maryland.

What Happens If You Skip Registration

The sharpest consequence isn’t the fine. An unregistered foreign LLC cannot file or maintain a lawsuit in any Maryland court until it pays the penalty and either registers or stops doing business in the state.11Justia. SDAT also imposes a $200 penalty on any foreign LLC that does business in Maryland without registering, and individual members or agents who transact that business can face misdemeanor charges and fines up to $1,000 each.11Justia. The one piece of good news: operating without registration does not void your contracts or stop you from defending yourself if someone sues you.11Justia. After You’re Registered

Registration is the start, not the finish. Each year your foreign LLC has to file an Annual Report and Personal Property Tax Return with SDAT. For 2026, the deadline is April 15, with a 60-day extension available that moves it to June 15.12Maryland Department of Assessments and Taxation. Departmental Forms and Applications If you begin filing online but don’t finish within 90 days or by year-end, SDAT deletes the incomplete filing and you start over.13Maryland Department of Assessments and Taxation. Annual Report and Personal Property Missing the report long enough can lead to forfeiture of your good standing in Maryland, which defeats the point of registering.

Separately, your LLC may need to register for Maryland tax accounts, especially if it has employees in the state, collects sales tax, or earns income sourced to Maryland. The Comptroller of Maryland handles state tax registrations, not SDAT. Qualifying with SDAT does not cover your tax accounts.
