To register a foreign LLC in Massachusetts, file an application with the Secretary of the Commonwealth’s Corporations Division within ten days of starting business in the state, pay the $500 filing fee, and submit a certificate of legal existence from your home jurisdiction along with information about your managers, offices, and a Massachusetts resident agent.1General Court of Massachusetts. Massachusetts Code Chapter 156C – Section 48 Registration of Foreign Limited Liability Company2Secretary of the Commonwealth of Massachusetts. Corporations Division Filing Fees “Foreign” here means any LLC formed outside Massachusetts, whether in Delaware, California, or another country. Skipping the filing bars your company from bringing lawsuits in Massachusetts courts and can eventually lead to revocation of your right to operate here.
When You Actually Have to Register
Massachusetts pulls its definition of “transacting business” from Chapter 156D, Section 15.01. Three kinds of activity clearly require registration: owning or leasing real estate in the state, doing construction or repair work, and any activity that requires physical labor in Massachusetts.3General Court of Massachusetts. Massachusetts Code Chapter 156D – Section 15.01 Authority to Transact Business Required That list is not exhaustive; any regular, ongoing commercial presence in the state can qualify.
Some activities, by themselves, do not count as transacting business:3General Court of Massachusetts. Massachusetts Code Chapter 156D – Section 15.01 Authority to Transact Business Required
- Defending or settling a lawsuit
- Holding member or manager meetings and handling other internal affairs
- Maintaining a Massachusetts bank account
- Selling through independent contractors rather than employees
- Soliciting orders in Massachusetts that are only finalized outside the state
- A single isolated transaction that isn’t part of a pattern
- Interstate commerce with no local presence
If everything you do falls inside that second list, you can operate without registering. Once your activity becomes regular or physical in the state, the ten-day clock starts.
What Goes in the Application
Before you file, get a federal Employer Identification Number if the LLC doesn’t have one. Domestic applicants can apply online with the IRS. If your responsible party has no Social Security Number, ITIN, or existing EIN, apply by phone at 267-941-1099 (weekdays, 6 a.m. to 11 p.m. ET), by fax, or by mail using Form SS-4. The IRS requires the “responsible party” to be a real person who controls the entity’s funds, not a nominee or formation agent.4Internal Revenue Service. Responsible Parties and Nominees
You will also need a certificate of legal existence (also called a certificate of good standing) from the state or country where the LLC was formed. Massachusetts regulations require that certificate to have been issued within 90 days of your application.5Secretary of the Commonwealth of Massachusetts. 950 CMR 112.00 Limited Liability Companies If it’s not in English, a sworn translation must come with it. Any outstanding annual reports or unpaid fees in your home state need to be cleared up before you can get the certificate.
The application itself requires:1General Court of Massachusetts. Massachusetts Code Chapter 156C – Section 48 Registration of Foreign Limited Liability Company
- The LLC’s federal EIN
- The exact legal name from your home state, plus an alternate name if you’ll operate under something different here
- The jurisdiction where the LLC was organized and its formation date
- A brief description of the business activities you intend to conduct in Massachusetts
- The LLC’s principal office address, wherever it sits
- If manager-managed, the name and business address of each manager; if there are no managers, the application must say so
- The Massachusetts office address, if there is one
- The name, street address, and written consent of the Massachusetts resident agent
- A dissolution date, only if the operating agreement sets one
Professional service LLCs have an extra step. If the LLC provides licensed services such as law, medicine, or engineering, the application must identify each manager who will provide those services in Massachusetts and include a certificate from the relevant licensing board confirming the license is in order.5Secretary of the Commonwealth of Massachusetts. 950 CMR 112.00 Limited Liability Companies
Name Requirements
Your LLC name must include a recognizable designator: “Limited Liability Company,” “Limited Company,” or one of the abbreviations LLC, LC, L.L.C., or L.C.6General Court of Massachusetts. Massachusetts Code Chapter 156C – Section 3 It cannot be the same as, or deceptively similar to, a corporation, limited partnership, or LLC already on file in the state. Check availability through the Secretary of the Commonwealth’s online database before filing. If your home-state name is taken, you can either get written consent from the existing entity or register under an alternate name for Massachusetts use.
Resident Agent
The LLC must continuously maintain a resident agent with a physical street address in Massachusetts. A P.O. box will not work.7Legal Information Institute. Massachusetts Code 950 CMR 112.13 – Resident Agent The agent can be a Massachusetts resident, a domestic Massachusetts corporation, or a foreign corporation or LLC already authorized here.8General Court of Massachusetts. Massachusetts Code Chapter 156C – Section 5 Office and Agent for Service of Process in Commonwealth Many out-of-state owners hire a commercial registered agent service, typically $35 to $300 per year. The agent’s written consent to serve must appear on or be attached to the application.
How to File
The Corporations Division accepts applications online, by mail, and by fax. Online filing is the fastest and usually clears within a few business days. Mailed applications go to the Secretary of the Commonwealth’s office in Boston and can take several weeks depending on volume. Fax filings need a pre-funded expedited account or a payment coversheet.
The filing fee is $500 no matter which method you use.2Secretary of the Commonwealth of Massachusetts. Corporations Division Filing Fees Online filers pay by credit card or electronic check. Mail-in applications should include a check or money order payable to the Commonwealth of Massachusetts. Once approved, the Secretary issues a certificate of registration that authorizes the LLC to operate in the state.
Filings usually get bounced for a handful of reasons: the LLC’s name conflicts with an existing entity, the certificate of legal existence is older than 90 days or missing, the resident agent address is a P.O. box, or manager names are left blank. Verifying name availability and document dates before submitting saves weeks.
After You’re Registered
Every year on or before the anniversary of your original registration date, the LLC must file an annual report with the Corporations Division.1General Court of Massachusetts. Massachusetts Code Chapter 156C – Section 48 Registration of Foreign Limited Liability Company The fee is another $500, separate from any Department of Revenue taxes.2Secretary of the Commonwealth of Massachusetts. Corporations Division Filing Fees The report updates the state on changes to management, addresses, or the resident agent.
Miss the deadline and the LLC lands in “not in good standing” status. Banks and lenders check that status before extending credit, counterparties may refuse to close, and government-backed loan applications can stall. Failing to file for two consecutive years gives the Secretary grounds to begin revocation proceedings.9General Court of Massachusetts. Massachusetts Code Chapter 156C – Section 72
If You Skip Registration or Get Revoked
An unregistered foreign LLC cannot file lawsuits or start any legal proceeding in Massachusetts courts. That includes breach-of-contract claims, collection actions, and lien enforcement. The LLC can still be sued and must defend itself here; it just cannot bring its own claims until it registers. Contracts entered into while unregistered remain valid and enforceable once registration is complete.1General Court of Massachusetts. Massachusetts Code Chapter 156C – Section 48 Registration of Foreign Limited Liability Company
The Secretary can revoke a foreign LLC’s authority for two reasons: failing to file annual reports for two consecutive years, or a determination that revocation is in the public interest.9General Court of Massachusetts. Massachusetts Code Chapter 156C – Section 72 Before revoking, the Secretary must send written notice giving the LLC 90 days to fix the problem or show the grounds don’t exist. Do nothing in that window and the authority is revoked.
A revoked LLC can apply for reinstatement at any time. The application must state the LLC’s name, the revocation date, and that the grounds have been corrected. A fresh certificate of legal existence issued within 90 days is required, and the name must still meet Massachusetts naming rules.10Legal Information Institute. Massachusetts Code 950 CMR 112.25 – Reinstatement of Authority to Transact Business If another entity took your name during the revocation period, file a name amendment at the same time. Outstanding annual report fees and penalties also come due, so waiting gets expensive.
Extra Step for LLCs Formed Outside the United States
Massachusetts calls any out-of-state LLC “foreign,” but federal law draws a sharper line. Under the Corporate Transparency Act as revised by FinCEN’s March 2025 interim final rule, the only entities that must file a beneficial ownership information (BOI) report are those formed under the law of a foreign country that register to do business in a U.S. state. A Delaware or Wyoming LLC registering in Massachusetts is exempt. An LLC formed in Canada, the UK, or any other country is a “reporting company” and must file with FinCEN. Entities that registered before March 26, 2025, faced an April 25, 2025 deadline. Those registering on or after that date have 30 calendar days from the date they receive notice that their Massachusetts registration is effective.11FinCEN.gov. Frequently Asked Questions
