How to Reinstate a Dissolved LLC in NC: Filing, Fees, and Deadline

To reinstate a dissolved LLC in NC, file Form L-08 (Application for Reinstatement Following Administrative Dissolution) with the North Carolina Secretary of State, submit a completed annual report for every year you missed, and pay $100 for the application plus the fee for each overdue report. Once the Secretary of State approves the filing, your LLC’s status is restored retroactively to the date of dissolution, and the company resumes business as if the dissolution never happened.1North Carolina General Assembly. This process applies only to LLCs the state dissolved. If the members voted to wind up the LLC, that’s a voluntary dissolution and a different track.

What You File

The core document is Form L-08, downloadable from the Business Registration section of the Secretary of State’s website.2State of North Carolina Department of the Secretary of State. Application for Reinstatement Following Administrative Dissolution of Limited Liability Company With it, you file a completed annual report for every year missed during the dissolution period.

Form L-08 asks for:

  • The LLC’s SOSID, the identification number assigned when it was formed.
  • The LLC’s current legal name.
  • The physical street address of the registered agent, plus a mailing address if it differs.
  • The names and business addresses of all managers or persons responsible for the LLC.

The application must state that the grounds for dissolution no longer exist or have been eliminated.1North Carolina General Assembly. North Carolina Code 55-14-22 – Reinstatement Following Administrative Dissolution If the LLC was dissolved for not filing annual reports, submitting those reports with your application eliminates the ground. If the problem was a missing registered agent, you need to designate a new one before the Secretary of State will process the filing.

What It Costs

The reinstatement application itself is $100.2State of North Carolina Department of the Secretary of State. Application for Reinstatement Following Administrative Dissolution of Limited Liability Company On top of that, each overdue annual report filed on paper is $200. Electronic filings through the online portal may run at a different rate, so verify the current schedule before you calculate your total.

An LLC dissolved for three years, for instance, would owe the $100 application fee plus three annual report fees. Total up the full amount before you submit. Underpayment stalls the file. If you’re mailing everything, make the check or money order payable to the Secretary of State for the combined amount.

How to Submit

You have two options. The Secretary of State’s online portal lets you upload the forms and pay by credit or debit card, generally processing within a few business days outside high-volume periods. You get immediate confirmation that the documents were received.

The alternative is mail. Send Form L-08, all overdue annual reports, and a check or money order for the full amount to the Secretary of State’s office. Paper filings take longer, and you need to add mail transit time to the processing queue. Once the office accepts the filing, it issues a Certificate of Reinstatement confirming the LLC is active again.

Check the Name First

Before the Secretary of State will issue a certificate of reinstatement, your LLC’s name must be distinguishable from every other entity name on file in the state, including corporations, LLCs, limited partnerships, and registered foreign entities.3North Carolina General Assembly. North Carolina Code 55D-21 – Entity Names on the Records of the Secretary of State; Availability Run your name through the Secretary of State’s business search tool before you file, because a name conflict discovered after submission means redoing the paperwork.

If another business claimed a conflicting name while you were dissolved, you have three options: amend the articles of organization to adopt a new distinguishable name as part of the reinstatement filing; obtain written consent from the other entity, which typically means they agree to change theirs; or get a court judgment establishing your right to the name in North Carolina.3North Carolina General Assembly. Retroactive Effect and Its Limit

North Carolina law says reinstatement “relates back to and takes effect as of the date of the administrative dissolution,” and the LLC “resumes carrying on its business as if the administrative dissolution had never occurred.”1North Carolina General Assembly. North Carolina Code 55-14-22 – Reinstatement Following Administrative Dissolution The LLC statute pulls in this corporate rule by reference.4North Carolina General Assembly. North Carolina Code 57D-6-06 – Administrative Dissolution

That matters for liability. While the LLC is dissolved, its status as a separate legal entity is in limbo, and the shield that normally protects members from personal responsibility for business debts may not hold. Reinstatement closes that gap backward in time.

One carve-out: the retroactive effect is “subject to the rights of any person who reasonably relied to his prejudice upon the certificate of dissolution.”1North Carolina General Assembly. North Carolina Code 55-14-22 – Reinstatement Following Administrative Dissolution If a third party made a business decision specifically because they believed the LLC was gone, they may have a claim that survives reinstatement.

Taxes You May Still Owe

Reinstating with the Secretary of State doesn’t settle tax accounts. Because reinstatement is retroactive, the LLC may have had continuous filing obligations the entire time it was dissolved. If returns stopped during the dissolution period, you may need to file the missing ones with both the IRS and the North Carolina Department of Revenue.5Internal Revenue Service. Closing a Business Contact both agencies to find out what’s outstanding and whether penalties or interest have accrued. Handling this early prevents a surprise after the reinstatement itself is done.

If the Department of Revenue separately suspended the entity for tax reasons, that’s its own process: a $25 fee, plus filing all outstanding returns and paying all taxes, penalties, and interest due.6NCDOR. Is There a Deadline?

No. Neither G.S. 57D-6-06 nor G.S. 55-14-22 sets a time limit for reinstatement. But annual report fees keep accumulating the longer the LLC sits dissolved, and every additional month raises the odds that another business claims a conflicting name. Filing sooner costs less and creates fewer complications.
