To handle an Alameda County fictitious business name renewal, file a new FBN statement with the Clerk-Recorder before your current statement hits its five-year expiration. The fee is $40 for one name and one owner, with $7 for each additional name or owner on the same statement.1Alameda County. When Your Statement Expires
Every California FBN statement runs for five years from the original filing date. Two things can shorten that clock. One is filing a statement of abandonment. The other is a change to the facts on your statement — business name, address, or ownership — which causes the existing statement to expire 40 days after the change, no matter how much of the five years is left.3California Legislative Information. California Code Business and Professions Code 17920
Miss the five-year date and you still have a short window. You can refile within 40 days after expiration and avoid publication, but only if nothing on the statement has changed.2California Legislative Information. California Code Business and Professions Code 17917 Past that 40-day grace period, you refile and publish from scratch.
Renewal vs. New Filing
Alameda County uses the same statement form for both renewals and new filings.4Alameda County. Fictitious Business Name Forms What makes a filing a true renewal is that every detail matches your existing record: the exact business name, the principal place of business, and the full list of owners. Any mismatch pushes you into new-filing territory, which means the publication requirement comes back.
This trips up a lot of owners. Moving your office across town, adding a partner, dropping one, switching from a sole proprietorship to an LLC, or fixing a typo in the original — any of these means you cannot simply renew. Before you file, compare the old statement line by line against your current situation.
How to File in Alameda County
The Clerk-Recorder accepts FBN filings online, by mail, or in person.4Alameda County. Fictitious Business Name Forms Identity verification works differently depending on how you file.
In Person
Bring a government-issued photo ID such as a California driver’s license. The clerk checks your identity at the counter before accepting the statement.5California Legislative Information. California Code Business and Professions Code 17913 You walk out with a certified copy the same day.
By Mail or Through an Agent
Mail and agent filings require extra identity verification. The clerk can require you to complete and sign an affidavit of identity.5California Legislative Information. California Code Business and Professions Code 17913 For mail filings, plan on having that affidavit notarized before you send it in with the completed statement. If you send someone to file on your behalf, that person brings their own government ID. Pay by personal check, cashier’s check, or money order. No cash by mail.
Fees
$40 covers one business name and one owner. Each additional owner or business name on the same statement adds $7.1Alameda County. Fictitious Business Name Filing Fees The same rates apply to renewals and new filings. Once the statement is processed, your certified copy is proof the name is active for another five years.
When You Can Skip Publication
A new FBN statement has to be published in a newspaper of general circulation in Alameda County within 45 days of filing, running once a week for four consecutive weeks.2California Legislative Information. California Code Business and Professions Code 179176California Legislative Information. California Code Government Code 6064 After the run, you file an affidavit of publication with the clerk.
Timely renewal avoids all of that. Refile before expiration, or within 40 days after, with no changes to the information, and you don’t publish at all.2California Legislative Information. California Code Business and Professions Code 17917 That’s the practical reason to put the five-year date on your calendar: a newspaper legal notice adds cost and roughly a month of lead time that an on-time filing skips.
What Happens If You Let It Lapse
A lapsed FBN causes two concrete problems. The legal one is that you cannot maintain a lawsuit on any contract or transaction conducted under the fictitious name while your statement is lapsed.7California Legislative Information. California Code Business and Professions Code 17918 If a customer refuses to pay a large invoice, you have to get the filing current — including publication — before you can bring suit. The claim itself survives, but the delay is leverage for the other side and can run you into limitations problems.
The banking problem is more immediate. Banks typically require a current FBN certificate for business accounts held under a name that doesn’t contain the owner’s legal surname. A lapsed filing can block new accounts under the business name and, in some cases, restrict existing ones until you bring the paperwork current.
Fixing a lapse is the same mechanics as a new filing — refile, publish, submit the affidavit — but it costs more and takes weeks longer than a timely renewal would have. A reminder set a couple of months before the expiration date is the cheapest insurance available here.
If You’re Closing the Business Instead
If you’re done operating under the fictitious name, don’t just let it expire. California requires you to file a statement of abandonment with the Clerk-Recorder when you stop using an FBN that was filed within the previous five years. The abandonment statement includes the business name, the principal place of business, the original filing date and file number, and the names and mailing addresses of all registrants.8California Legislative Information. California Code Business and Professions Code 17922 Abandonment has to be published once a week for four consecutive weeks, followed by a proof-of-publication affidavit.
