To set up an LLC in Colorado, you file Articles of Organization online with the Secretary of State and pay a $50 fee. The filing itself takes minutes once you have a compliant name, a Colorado registered agent, and a decision about how the company will be managed. What follows the filing — getting a federal tax ID, choosing how the IRS will tax the business, writing an operating agreement, and registering for state and local taxes — is where most of the work actually lives.
Pick a Compliant Name
Your name must be distinguishable from every other entity name already on file or reserved with the Colorado Secretary of State. This is stricter than a “similar names” screen; the state will reject the filing if your name is too close to one already on record.1Justia. The name also has to end with an approved designator: “Limited Liability Company,” “Ltd. Liability Company,” “Limited Liability Co.,” “Ltd. Liability Co.,” “Limited,” “L.L.C.,” “LLC,” or “Ltd.”1Justia. Colorado Code 7-90-601 – Entity Name Most filers use “LLC.” Leaving off a designator will get the filing bounced back.
Appoint a Registered Agent
Every Colorado LLC must continuously maintain a registered agent in the state. The agent is the person or company authorized to receive lawsuits, legal notices, and official government correspondence for the LLC.2Justia. Colorado Code 7-90-701 – Registered Agent – Definition
The agent can be an individual at least 18 years old whose primary residence or usual place of business is in Colorado, or a business entity authorized to operate in the state.2Justia. Colorado Code 7-90-701 – Registered Agent – Definition The address on file has to be a physical street location; a P.O. box will not qualify.3Colorado Secretary of State. Statement of Correction Correcting the Registered Agent Information You can name yourself if you have a Colorado address, or you can hire a commercial service, which typically runs $50 to $300 per year. Hiring one makes sense if you don’t want your home address on public filings, or if you travel and can’t guarantee someone will be there to accept service during business hours.
File the Articles of Organization Online
Colorado only accepts Articles of Organization online through the Secretary of State’s business filing portal. There is no paper option. The fee is $50. Once payment clears, the state issues a Business ID you’ll use for every future filing.
Under C.R.S. § 7-80-204, the form asks for:
- Your LLC name with an approved designator.
- The principal office address, plus a mailing address if different.
- The registered agent’s name and Colorado street address.
- The legal name and mailing address of each organizer.
- Whether the LLC is member-managed or manager-managed.

The management choice matters more than it looks. In a member-managed LLC, every owner has authority to bind the company in contracts. In a manager-managed LLC, only designated managers do. If you have passive investors who shouldn’t be signing deals for the company, choose manager-managed.
Get an EIN and Choose How the IRS Taxes the LLC
After the state filing, apply for an Employer Identification Number with the IRS. It’s free, the online application takes about ten minutes, and you’ll need the EIN before you can open a business bank account, hire employees, or file federal returns for the company.5Internal Revenue Service. The IRS taxes an LLC by default based on the number of owners. A single-member LLC is a “disregarded entity,” so income and expenses flow through to your personal return. A multi-member LLC defaults to partnership taxation, where the company files an informational return and each member reports their share on their individual returns.6Internal Revenue Service. You can override the default. Form 8832 elects corporate taxation.6Internal Revenue Service. Entities 3 Form 2553 elects S-corporation status, which some owners use once profits are high enough to justify paying themselves a reasonable salary and taking the rest as distributions. For a new LLC, Form 2553 is due within two months and 15 days of the date the entity first has owners, assets, or begins doing business.7Internal Revenue Service. The S-corp route can cut self-employment tax but adds payroll obligations, so run the numbers with a CPA before switching.
Write an Operating Agreement
Colorado doesn’t require you to file an operating agreement with the state, but you need one. It’s the internal rulebook: who owns what percentage, how profits and losses split, what happens if a member wants out or a new one wants in, and who has authority over which decisions.
Colorado statute gives LLC members broad freedom to structure the agreement however they choose, with the explicit intent of maximizing freedom of contract.8Justia. Colorado Code 7-80-108 – Effect of Operating Agreement That flexibility cuts both ways. Whatever you don’t write down, the default rules under state law will fill in. Common provisions include capital contribution requirements, voting procedures, rules for adding or removing members, and dissolution triggers.
For a single-member LLC, an operating agreement reinforces the separation between owner and business, which is the whole reason for forming the LLC in the first place. For a multi-member LLC, operating without one is asking for a dispute with no roadmap. Keep the signed agreement with your company records.
Register for State Taxes and Local Licenses
If your LLC will sell taxable goods or services in Colorado, you need a Colorado sales tax license from the Department of Revenue. Apply using Form CR 0100 through the department’s online system.9Colorado Department of Revenue. How to Apply for a Colorado Sales Tax License Colorado’s sales tax structure is unusually layered: state, county, and municipal taxes stack, and some cities are “home rule” jurisdictions that collect their own tax independently. Don’t assume the state license covers everything. Confirm with the city and county where you’ll operate.
Many Colorado municipalities also require a general business license before you open. Fees and requirements vary by city, so contact the clerk’s office or revenue department in the jurisdiction where the LLC is based. Some industries need additional state-level permits or professional licenses depending on what you do.
If you plan to hire, register with the Colorado Department of Labor and Employment for unemployment insurance and set up payroll tax withholding. Employers must withhold federal income tax, Social Security, and Medicare from wages, reporting those amounts on Form 941 each quarter.10Internal Revenue Service. Tax Withholding
File the Annual Periodic Report
Every Colorado LLC must file a periodic report with the Secretary of State each year. The report confirms basic information — principal address, registered agent, and management details — and is filed online through the same portal you used for the Articles of Organization.11Justia. Miss the deadline and the LLC’s status changes to “Noncompliant.” If it’s still unfiled two months later, the status becomes “Delinquent.”12Colorado Secretary of State. Business FAQs – Delinquency A delinquent LLC can be administratively dissolved, meaning the state treats the company as no longer existing. You can cure delinquency by filing the overdue report, but it’s easier to calendar the deadline.
