To set up an LLC in Colorado, file Articles of Organization through the Secretary of State’s online portal for $50, name a registered agent with a Colorado street address, get a federal EIN from the IRS, and plan on a $25 periodic report every year to stay in good standing. The filing itself is processed instantly, so if your information is ready, your LLC can legally exist within minutes of submitting the form.
Pick a Name That Meets Colorado’s Rules
Your LLC’s name has to be distinguishable from every other entity name already on file with the Secretary of State, and it must include a designator telling the public what kind of entity it is. Colorado accepts “Limited Liability Company,” “LLC,” “L.L.C.,” “Ltd.,” “Limited,” and several other abbreviations.1Justia. Colorado Revised Statutes Section 7-90-601 – Entity Name Check availability for free in the Secretary of State’s business database before you commit.
If the name you want isn’t going on an immediate filing, you can lock it down by filing a Statement of Reservation for $25. The reservation holds the name for 120 days. Skip the reservation if you’re filing the Articles of Organization the same day, since those secure the name on acceptance.
Appoint a Registered Agent
Every Colorado LLC needs a registered agent to accept legal documents and government notices. The agent must be either an individual at least 18 whose primary residence or usual place of business is in Colorado, or a business entity authorized to operate in the state.2Justia. Colorado Revised Statutes Section 7-90-701 – Registered Agent The agent’s name and street address go on the public record.
You can serve as your own agent at no cost, but your address becomes public and you need to be reachable during business hours. Commercial registered agent services usually run $100 to $300 a year and give you a business address, mail forwarding, and reliable availability for service of process. Self-appointing is common for single-state LLCs run from a fixed location; a commercial service makes sense if privacy or availability is a concern.
File the Articles of Organization Online
Colorado handles all LLC formations through the Secretary of State’s online “File a Business Document” portal. There is no paper option. Select “domestic limited liability company” and complete standardized fields covering:
- Entity name with a qualifying designator.
- Principal office address, which can be inside or outside Colorado.3Colorado Secretary of State. Instructions – Articles of Organization – Limited Liability Company
- Registered agent name and Colorado street address.
- Management structure: member-managed or manager-managed.
- Organizer name and address.
The management choice matters more than it sounds. In a member-managed LLC, every owner can make decisions and bind the company. In a manager-managed LLC, only designated managers hold that authority, which fits situations where some members are passive investors. Your declaration on the form shapes how third parties deal with the company.
After the fields are filled, you sign electronically, attest the information is accurate, and pay the $50 fee by credit card or prepaid account. The system processes the filing immediately, assigns an entity ID, and generates a confirmation you can download. Your LLC legally exists from that moment.
Write an Operating Agreement
Colorado doesn’t require you to file an operating agreement, and the Articles of Organization won’t ask for one. Skipping it anyway is a common early mistake. The operating agreement is a private contract among the members that sets profit distribution, voting rights, management responsibilities, and what happens when a member leaves or the business dissolves.4Justia. Colorado Revised Statutes Section 7-80-101 – Definitions
Without one, Colorado’s default statutory rules fill the gaps, and those defaults may not match your intentions. If you and a partner split startup costs 70/30 but never documented the arrangement, the defaults could treat you as equal owners. Even a single-member LLC benefits from an operating agreement because it reinforces the separation between owner and entity, which supports the liability protection that justified forming the LLC in the first place.
Get an EIN From the IRS
Once your LLC appears on Colorado’s records, apply for an Employer Identification Number on the IRS website. The IRS recommends forming the state entity first, since applying beforehand can cause delays. The online application is free, takes about ten minutes, and issues the nine-digit EIN immediately. Finish in one sitting, because the application times out after 15 minutes of inactivity.5Internal Revenue Service. Get an Employer Identification Number
You’ll use the EIN to open a business bank account, file federal tax returns, and hire employees. Single-member LLCs with no employees often still need one because banks and vendors ask for it. The responsible party listed on the application (usually a member or manager) provides a Social Security number or existing EIN as an identifier.
Pick a Federal Tax Classification
The IRS doesn’t tax LLCs as a separate category. It assigns a default classification based on the number of members, and you can override that default if a different structure saves you money.
- A single-member LLC is treated as a “disregarded entity,” so income and expenses pass through to your personal return on Schedule C.6Internal Revenue Service. LLC Filing as a Corporation or Partnership
- A multi-member LLC is treated as a partnership by default. The LLC files Form 1065 as an informational return, and each member reports their share on their personal return.6Internal Revenue Service. LLC Filing as a Corporation or Partnership
To be taxed as a corporation, file Form 8832. To elect S corporation treatment, file Form 2553 within two months and 15 days of the start of the tax year you want the election to apply. S corporation status can reduce self-employment tax when owners pay themselves a reasonable salary, but it carries payroll and compliance costs that only pay off above a certain income level. A tax advisor can run the numbers for your situation.
Register for Colorado and Local Taxes
Colorado does not impose a separate entity-level income tax on LLCs that use pass-through taxation. Income flows to the members, who report it on their individual Colorado returns. If your LLC sells tangible goods or certain taxable services at retail, you’ll need a Colorado sales tax license from the Department of Revenue.
The standard retail license fee depends on when you apply. In even-numbered years like 2026, it’s $16 for applications between January and June and $12 between July and December. New accounts also owe a $50 deposit with the application.7Colorado Department of Revenue. Standard Retail License Most Colorado sales tax licenses are valid for two years and expire at the end of each odd-numbered year, so a license obtained in 2026 runs through the end of 2027.8Colorado Department of Revenue. How to Apply for a Colorado Sales Tax License
One catch: the state license only covers state-collected tax jurisdictions. If you operate in a home-rule city like Denver, Aurora, or Colorado Springs, you’ll register separately with that city for its local sales tax. Many Colorado municipalities also require a general business license, with fees that typically range from $25 to a few hundred dollars depending on the city and industry.
File the Annual Periodic Report
Colorado requires every LLC to file a periodic report each year. It’s the single most common compliance task you’ll face, and missing it is the fastest way to lose good standing.
Deadline and Fee
The periodic report is tied to your LLC’s formation anniversary. The on-time filing window opens two months before your anniversary month and closes at the end of the month after it. For an LLC formed in January, the report is due by March 31.9Colorado Secretary of State. Delinquency – Business FAQs The filing fee is $25.10Colorado Secretary of State. Periodic Report Filing Fee to Increase July 1 You file it through the Secretary of State’s website by searching your entity name and selecting the periodic report option.
The report itself is short. It confirms the LLC’s current principal office address, registered agent name and address, and other basic information already on file.11Justia. Colorado Revised Statutes Section 7-90-501 – Periodic Reports Think of it as an annual confirmation that your contact details are still accurate.
If You Miss the Deadline
If the report isn’t filed by the due date, your LLC’s status changes to “Noncompliant.” You then get an additional two-month grace period to file a late report. For the January example, the late report would be due by May 31. If you still haven’t filed by the end of that grace period, the Secretary of State changes the status to “Delinquent.”9Colorado Secretary of State. Delinquency – Business FAQs
Delinquent status is more than an administrative label. It can prevent you from enforcing contracts in Colorado courts, make opening bank accounts harder, and tell customers and partners that the business isn’t properly maintained. If delinquency continues, the state can administratively dissolve the LLC. Reinstatement is possible by filing the overdue reports and paying any outstanding fees, but setting a calendar reminder and spending five minutes on the report is far easier.
Beneficial Ownership Reporting
The federal Corporate Transparency Act originally required most new LLCs to file a Beneficial Ownership Information report with FinCEN within 30 days of formation. As of March 2025, FinCEN issued an interim final rule that exempts all domestic companies from BOI reporting requirements.12FinCEN. FinCEN Removes Beneficial Ownership Reporting Requirements for US Companies and US Persons A Colorado LLC formed today has no federal BOI filing obligation. This area of law has changed several times in the past two years through court challenges and rulemaking, so check FinCEN’s website when you file to confirm the exemption is still in place.
