How to Set Up an S Corp in Utah: Filing, Form 2553, and Taxes

To set up an S corp in Utah, you form a standard Utah corporation with the Division of Corporations and Commercial Code for a $59 filing fee, then file IRS Form 2553 to elect S-corporation tax treatment under Subchapter S. The state filing creates the legal entity; the federal election changes how it is taxed. Profits and losses then pass through to shareholders’ personal returns, avoiding the double taxation that applies to a regular C corporation, while you keep the liability protection of the corporate form.1Internal Revenue Service. Confirm Your Business Can Be an S Corporation

The IRS restricts S-corp status in ways that are easy to trip over later if you ignore them at formation. Your corporation must satisfy all of the following, and must keep satisfying them, or the election can be revoked:2Office of the Law Revision Counsel. 26 USC 1361 – S Corporation Defined

  • No more than 100 shareholders. Members of the same family and their estates can be counted as a single shareholder.
  • Shareholders must be U.S. citizens or resident individuals, certain estates, qualifying trusts, or tax-exempt organizations under Section 401(a) or 501(c)(3). Nonresident aliens, partnerships, and other corporations are not eligible shareholders.
  • Only one class of stock. Voting and nonvoting shares are allowed, but distribution and liquidation rights must be identical.
  • The corporation must be domestic.

Issuing stock to a foreign national or to another corporation, for example, would knock you out of S-corp status and leave the business taxed as a C corporation.

Choose and Reserve a Corporate Name

Your corporate name must be distinguishable from every other business entity, trademark, and assumed name on file with the Utah Division of Corporations.3Utah Legislature. Utah Code 16-10a-401 – Corporate Name Different punctuation, capitalization, spacing, singular versus plural forms, or abbreviations alone do not make a name distinguishable. You need different key words or a different arrangement of them.4corporations.utah.gov. Business Name Conventions and Policies

The name also has to include a corporate designator such as Corporation, Incorporated, Company, or an abbreviation like Corp., Inc., or Co.3Utah Legislature. Utah Code 16-10a-401 – Corporate Name Search the Division’s online database before you file. If you want to lock in a name without incorporating yet, you can reserve it for $22.5corporations.utah.gov. Fee Schedule

File the Articles of Incorporation

The Articles of Incorporation create the corporation. You file them through Utah’s online Business Registration System for a $59 fee.6Utah Department of Commerce. • A statement of the corporation’s purpose.
  • A name that meets the Section 16-10a-401 requirements.
  • The total number of shares authorized, with information on each class if there is more than one.
  • The name and Utah street address of the registered agent.
  • The full name, address, and signature of each incorporator.

Par value is optional in Utah. Because an S corporation can have only one class of stock, keep the share structure simple: a single class of common stock avoids problems with the federal election.

Most online filings are approved instantly. Filings routed for manual review take about two to four business days.8State of Utah. CORP Home You will get an electronic confirmation and a stamped copy of the articles when the filing is accepted.

Appoint a Registered Agent

Every Utah corporation needs a registered agent with a physical Utah street address to accept lawsuits and official state notices.9Utah Division of Corporations and Commercial Code. Information on Incorporating a Business Corporation A noncommercial agent is typically an owner or officer who lives or works at a Utah address. A commercial registered agent is a service company registered with the Division for that purpose.10Utah Legislature. Utah Code Title 16 Chapter 17 Part 2 Section 203 – Appointment of Registered Agent A commercial agent makes practical sense if no owner is based in Utah or if you want someone reliably available during business hours.

Adopt Bylaws and Get an EIN

Once the corporation exists, the board of directors (or the incorporators, if directors have not been elected yet) should adopt bylaws.11Utah Legislature. Utah Code 16-10a-206 – Bylaws Bylaws are your internal operating rules: how directors are elected, when shareholder meetings are held, what officers the company has, how votes work. You do not file them with the state. Keep the signed copy at your principal office.

Then apply for an Employer Identification Number from the IRS. You need the EIN to open a business bank account, hire employees, and file tax returns.12Internal Revenue Service. Employer Identification Number Apply online at irs.gov; the EIN is free and issued immediately. The applicant must have a Social Security Number or ITIN.13Internal Revenue Service. File Form 2553 to Elect S-Corp Status

Forming the Utah corporation does not give you S-corp tax treatment on its own. You have to file IRS Form 2553 to make the Subchapter S election. Utah does not require a separate state-level S-corp election; it recognizes the federal one automatically.14Utah State Tax Commission. S Corporation Tax

The deadline is tight. Form 2553 must be filed no more than two months and 15 days after the beginning of the tax year you want the election to cover. You can also file at any point during the preceding tax year. Most new corporations use a calendar year ending December 31, though a different tax year is possible if you can show a business purpose.15Internal Revenue Service. Instructions for Form 2553

Every shareholder from the effective date through the day you file must consent by signing Form 2553 or a separate consent statement. For spouses with a community property interest in the stock, both must sign. A single missing signature invalidates the election.15Internal Revenue Service. Instructions for Form 2553

If You Miss the Deadline

Revenue Procedure 2013-30 offers late-election relief if all of the following are true:16Internal Revenue Service. Late Election Relief

  • The business intended to be an S corporation and would have qualified on time.
  • You can show reasonable cause for the late filing.
  • The entity and all shareholders have reported income consistent with S-corp treatment for every year since the intended effective date.
  • Fewer than three years and 75 days have passed since that effective date.

If you don’t qualify, the remaining path is a private letter ruling from the IRS, which involves a separate application and substantial fees.

Register for Utah Taxes and Local Licenses

Every S corporation doing business in Utah files a TC-20S return with the Utah State Tax Commission. Utah’s corporate income tax rate is 4.5%.14Utah State Tax Commission. S Corporation Tax17Utah State Tax Commission. 2025 TC-20 Instructions

Utah also allows a pass-through entity tax (PTET) election. The S corporation can pay Utah income tax at the entity level on behalf of its shareholders by filing a SALT Report (Form TC-75) and paying on or before the last day of its taxable year.18Utah State Tax Commission. SALT Report and Tax FAQ For shareholders who itemize, this can work around the federal $10,000 cap on state and local tax deductions because the entity, not the individual, pays the tax.

If you’ll have employees, register for state income tax withholding with the Tax Commission through Utah’s Taxpayer Access Point (Form TC-69), open an unemployment insurance account with the Utah Department of Workforce Services, and obtain workers’ compensation coverage through an authorized carrier or by qualifying to self-insure through the Industrial Accidents Division. The state’s Business Registration System can handle several of these registrations at once.6Utah Department of Commerce. Online Registration Instructions

Utah has no statewide general business license. You get a license from the city or county where you operate, and each sets its own fees and renewal schedule. For unincorporated areas, contact the county. Some industries, including food service, construction, and healthcare, need additional state permits on top of the local license.19Utah Department of Commerce, Division of Corporations and Commercial Code. Business Licensing and Registration Guide

One boundary worth flagging: if you practice a licensed profession such as medicine, law, accounting, architecture, engineering, or real estate brokerage, Utah requires a Professional Corporation rather than a standard corporation. A PC can still elect S-corp tax treatment, but it has to follow the Professional Corporation Act, including restrictions on who can hold shares.20Utah Legislature. Utah Code Chapter 11 – Professional Corporation Act

Keep the Corporation in Good Standing

Utah corporations must file an annual report with the Division of Corporations listing the corporate name, registered agent and office, principal office, and principal officers.21Utah Legislature. Utah Code 16-10a-1607 – Annual Report for Division The fee is $18, and the report is due by the end of the second calendar month after the Division mails you the form, which generally tracks your incorporation anniversary.5corporations.utah.gov. Fee Schedule Skip the annual report and the Division can administratively dissolve your corporation, which bars it from legally conducting business until you go through reinstatement.
