To start a business in Iowa, you file one formation document with the Secretary of State — a Certificate of Organization for an LLC or Articles of Incorporation for a corporation — and pay a fee starting at $50. From there, you get a federal tax ID, register for any Iowa taxes that apply to your business, handle employer obligations if you’re hiring, and check local licensing rules for your city or county. The steps below walk through each one in the order most founders will encounter them.
Choose a Business Structure
The structure you pick sets your taxes, your personal liability, and how the business is run day to day. Most Iowa founders choose between an LLC and a corporation.
An LLC is formed by filing a Certificate of Organization with the Secretary of State. That document names the company, lists its principal office, identifies at least one organizer, and designates a registered agent.1Justia. A corporation is formed by filing Articles of Incorporation, which must include the corporate name, the number of authorized shares, the registered agent and office, and each incorporator’s name and address.2Justia. Iowa Code 490.202 – Articles of Incorporation The structure is more rigid, with a board of directors and officers, but it’s easier to bring in investors through stock.
Pick a Name and a Registered Agent
Your name has to be distinguishable from every other entity already on file with the Secretary of State, and it must carry the right designator. An LLC name needs “limited liability company,” “limited company,” or an abbreviation like “LLC” or “L.C.”3Justia. Iowa Code 490.401 – Corporate Name Run the name through the Secretary of State’s business database before you file. If you’re not ready to file but want to hold the name, Iowa lets you reserve one for a limited period.
Every Iowa LLC and corporation also needs a registered agent with a place of business in the state. The agent accepts legal papers and official notices on the company’s behalf and forwards them promptly.5Iowa Legislature. A commercial registered agent typically runs $50 to $300 per year and buys you privacy and reliability.
File Your Formation Documents
Filings go through Iowa’s Fast Track Filing portal. You create an account, enter your entity information, and pay online. Online filings usually process in minutes. Once approved, you’ll get a stamped copy of your formation document. Keep it somewhere safe: banks, landlords, and licensing agencies will ask to see it.
Filings get rejected most often for a name that’s already taken or too similar to an existing one, missing signatures, wrong fees, or illegible documents. Running the name search and reviewing your form before you submit saves a resubmission cycle.
Set Up Internal Governance
Formation gets you recognized by the state. Internal governance documents define how the company actually operates, and they’re private records you keep in your own files rather than send to the state.
Iowa does not require an LLC to have a written operating agreement. Without one, your LLC runs on the defaults in Iowa’s Revised Uniform Limited Liability Company Act, which may not match what you and any co-owners had in mind. A good operating agreement covers profit and loss allocation, voting on major decisions, what happens when a member exits, and how the company can be dissolved. Even a single-member LLC benefits from having one, because it reinforces the separation between owner and business.
Corporations adopt bylaws at the organizational meeting held after the Articles of Incorporation are filed. Bylaws set the mechanics: when meetings happen, how votes are counted, what officers can do, and how committees are formed. They can’t conflict with the articles of incorporation or Iowa law. Keep the signed original with your corporate records and update it whenever governance changes.
Get an EIN
An Employer Identification Number is your business’s federal tax ID. You need one to open a business bank account, hire employees, or file tax returns. LLCs with more than one member, all corporations, and any entity with employees must have one.8Internal Revenue Service. Employer Identification Number Single-member LLCs without employees can use the owner’s Social Security number, but most owners get an EIN anyway to avoid handing their SSN to banks and vendors.
The IRS online application takes about ten minutes, costs nothing, and issues the number immediately. You’ll need the name and taxpayer ID of the responsible party, usually the owner or a principal officer.
One federal filing you can skip if you’re forming a domestic Iowa entity: the Beneficial Ownership Information report. As of March 2025, an interim final rule exempts all U.S.-formed entities from BOI reporting, leaving the requirement in place only for foreign entities registered to do business in a U.S. state.9FinCEN.gov. Register for Iowa Taxes
Iowa’s state sales tax rate is 6%, and many jurisdictions add a 1% local option tax.10Iowa Department of Revenue. Iowa Tax/Fee Descriptions and Rates If you sell tangible goods, specified digital products, or taxable services, get a sales and use tax permit from the Iowa Department of Revenue before making any taxable sales. Services in Iowa are exempt unless specifically listed as taxable in the code, so check whether yours is on the list.
You apply through the GovConnectIowa portal, which also handles other state tax registrations. S-Corporation Election Deadline
If you want your corporation or LLC taxed as an S-corporation, file IRS Form 2553 no later than two months and 15 days after the beginning of the tax year the election covers.12Internal Revenue Service. Publication 509 (2026), Tax Calendars For a calendar-year business, that’s March 15. Miss it and you’re taxed under the default structure for the whole year.
If You’re Hiring Employees
Your first employee triggers obligations from several agencies at once. Handling them out of order is a common source of problems.
State Withholding and Unemployment Insurance
You’ll withhold Iowa income tax from employee wages and remit it to the Iowa Department of Revenue through GovConnectIowa. Separately, register for unemployment insurance through Iowa Workforce Development, which will assign an employer account number and a contribution rate based on your industry and claims history.13Iowa Workforce Development. Federal Payroll Taxes
On the federal side, withhold income tax and the employee share of Social Security and Medicare from each paycheck and pay the employer share on top. You’re also responsible for the Federal Unemployment Tax, which applies to the first $7,000 of wages paid to each employee. The base FUTA rate is 6.0%, but employers who pay into a state unemployment fund on time get a credit of up to 5.4%, dropping the effective rate to 0.6%.14Internal Revenue Service. Workers’ Compensation
Iowa law requires most employers to carry workers’ compensation liability insurance or register as self-insured. Limited exemptions cover certain agricultural employees, casual employment unrelated to the employer’s trade, and workers covered under federal workers’ comp programs, and some exemptions depend on the employee earning less than $1,500 annually from the employer. Sole proprietors, LLC members, and partners can elect out of coverage for themselves, and certain corporate officers can reject coverage individually.15Iowa Department of Inspections, Appeals, & Licensing. New Hire Reporting and Posters
Every new employee has to be reported to the Iowa Centralized Employee Registry within 15 days of hire, with their name, date of birth, Social Security number, address, start date, and information about dependent health coverage. Independent contractors meeting certain payment thresholds get reported on the same timeline. You can report online, by fax, or by mail.
Federal law also requires workplace posters covering the Fair Labor Standards Act, the Family and Medical Leave Act (for employers with 50 or more employees), the Occupational Safety and Health Act, the Employee Polygraph Protection Act, and more. Not every statute applies to every employer, so check by size and industry.
Local and Industry-Specific Licenses
Iowa has no single statewide general business license. Licensing happens at the city and county level and through industry-specific state boards. Contact your local city or county clerk to find out whether you need a general business license, a zoning permit for your location, or permits for signage and other site-specific items. Requirements vary a lot between jurisdictions, and operating without them can bring fines or forced closure.
Some professions need credentials from the Iowa Department of Inspections, Appeals, and Licensing, which oversees fields from construction and barbering to health facilities and food service.17Official State of Iowa Website. File Your Biennial Report
After formation, Iowa requires a biennial report with the Secretary of State. Corporations file in even-numbered years between January 1 and April 1; LLCs file in odd-numbered years during the same window. A corporation biennial report costs $60. The report itself is short: it confirms your current name, registered agent, principal office, and officers or members. Missing it makes your entity inactive, which means you lose the authority to do business in Iowa. You can reinstate by filing the two most recent overdue reports and paying the fees, but any inactive period can complicate contracts, bank accounts, and your ability to enforce legal rights.18Iowa Secretary of State.
