How to Start a Cleaning Business in Missouri: Licenses, LLC, and Insurance

To start a cleaning business in Missouri, you choose a business structure, register the entity with the Secretary of State, get a federal EIN and a Missouri tax ID, and put insurance and a surety bond in place before your first job. The cheapest and most common path is an LLC filed online for $50. Most of the paperwork can be done electronically in a few days.

Pick a Business Structure

Your structure decides who is on the hook when something goes wrong on a job site. For a cleaning operation, the realistic options are:

  • A sole proprietorship requires no state formation filing, but you and the business are the same legal person. If a client sues, your personal assets are exposed.
  • A general partnership works the same way for two or more owners under Missouri’s Uniform Partnership Law, with each partner personally liable for the business’s debts.1Justia. Missouri Revised Statutes Chapter 358 – Uniform Partnership Law
  • A limited liability company is what most cleaning owners choose. It separates your personal assets from the company’s debts, so a lawsuit against the business generally cannot reach your house or savings. You form one by filing Articles of Organization with the Secretary of State.2Missouri Secretary of State. Starting a Business
  • A corporation is a separate legal entity governed by directors under Missouri’s General and Business Corporation Law. It makes sense if you plan to raise outside investment, but the annual reporting burden is heavier.3Justia. Missouri Revised Statutes Chapter 351 – General and Business Corporations

Missouri’s Professional Corporation designation is reserved for licensed professions like physicians, attorneys, and architects. Cleaning services do not qualify, so you can ignore that structure entirely.4Missouri Secretary of State. Missouri Small Business Startup Guide

Name and Register the Business

Search the Secretary of State’s online records first to confirm your proposed name is distinguishable from every other registered entity in Missouri.2Missouri Secretary of State. Operating as a sole proprietor or partnership under anything other than your own legal name triggers a fictitious name filing (a DBA) with the Secretary of State on Form Corp 56. The fee is $7.6Missouri Secretary of State. Corp 56 – Registration of Fictitious Name Fictitious name registration does not give you exclusive rights to the name; another business can legally use it too.7Missouri Secretary of State. Filing an LLC

To form an LLC, file Articles of Organization (Form LLC 1). Under Section 347.039, the articles must include:

  • The LLC’s full legal name.
  • Its purpose, which can be broad language like “any lawful business.”
  • A registered agent with a physical Missouri street address authorized to receive legal documents. A P.O. box does not count.9Missouri Revisor of Statutes. Missouri Revised Statutes Section 347.030
  • Whether the LLC is member-managed or manager-managed.
  • Its duration, which can be perpetual.
  • The name and physical address of each organizer.10Missouri Revisor of Statutes. Missouri Revised Statutes Section 347.039

Filing online through the Missouri Business Portal costs $50. A paper filing is $105 and processes more slowly.11Missouri Secretary of State. Schedule of Fees and Charges The portal takes credit card and ACH payments.2Missouri Secretary of State. Starting a Business

Get Your Federal and State Tax IDs

Once Missouri approves your entity, apply for a Federal Employer Identification Number from the IRS. The online application is free and issues the EIN immediately. The IRS recommends forming your state entity first, because applying before your LLC or corporation exists at the state level can cause delays.12Internal Revenue Service. Then register with the Missouri Department of Revenue using Form 2643, the Missouri Tax Registration Application. One form covers withholding tax, sales tax, and other obligations, and it produces your Missouri Tax Identification Number.13Missouri Department of Revenue. Missouri Tax Registration Application

Here is the piece most new owners miss: cleaning and janitorial services are exempt from Missouri sales tax. That includes residential cleaning, commercial office cleaning, carpet cleaning, window cleaning, pressure washing, and sanitization.14Missouri Department of Revenue. Janitorial Services Tax Matrix You still collect sales tax on any tangible products you sell to customers, so it is worth registering a sales tax account on Form 2643 in case product sales come up later.

Insurance, Bonding, and Workers’ Compensation

Missouri requires workers’ compensation insurance for any employer with five or more employees. With four or fewer, coverage is optional, though you can elect in voluntarily.15Missouri Revisor of Statutes. Missouri Revised Statutes Section 287.030 Operating uncovered when you are required to carry it brings significant penalties, and an injured employee can sue you directly instead of going through the comp system.16Missouri Department of Labor and Industrial Relations. When an Employer Does Not Have Workers Compensation Insurance

General liability insurance is not required by Missouri statute, but you will not land commercial work without it. Property managers and corporate clients routinely demand a certificate of insurance before signing. The policy covers things like a client slipping on a wet floor or an employee knocking over a lamp.

A janitorial bond is a separate product. It is a surety bond that reimburses the client if one of your employees steals from them, which general liability does not cover. Residential clients and after-hours commercial accounts often ask whether you are bonded before handing over a key.

If You Hire Employees

Several obligations start the day you make a hire. Every new employee has to complete Section 1 of Form I-9 no later than their first day of work, and you have three business days after the start date to examine their documents and complete Section 2.17U.S. Citizenship and Immigration Services. Form I-9 Employment Eligibility Verification

Missouri also requires every new hire to be reported to the Family Support Division’s New Hire Directory within 20 calendar days. It is a child support enforcement rule, and it applies to every hire regardless of whether that worker has a child support order.18MO.gov. New Hire Information – Employers

For state unemployment tax, a general business employer becomes liable once it pays $1,500 or more in wages in a calendar quarter, or employs at least one worker for some portion of a day in 20 different weeks in a calendar year. Even below those thresholds, the Division of Employment Security asks you to complete the Unemployment Tax Registration form so they can assess your status.19Missouri Department of Labor and Industrial Relations. Missouri does not require background checks for cleaning employees entering homes or offices. The criminal background check mandates under Section 192.2495 cover healthcare providers and in-home care agencies, not standard janitorial companies. Many owners still run checks because clients ask about it and the screening reduces liability exposure.

Local Business Licenses

Most Missouri cities and counties require a local business license on top of your state registration. The applications, fees, and renewal schedules vary by jurisdiction. Some use a flat annual fee; others base the fee on projected revenue. Call the city clerk or county licensing office where you plan to operate before you take your first job there.

A Note on Pre-1978 Buildings

Standard cleaning does not trigger federal lead-paint rules. If your services include renovation, repair, or painting activities that disturb lead-based paint in pre-1978 housing (sanding, scraping, or demolition-level deep cleaning), the EPA requires firm-level Lead-Safe Certification through its CDX system and at least one individually certified renovator on staff.21U.S. Environmental Protection Agency. What Do You Need to Do to Become a Certified Firm Routine residential and commercial cleaning falls below this line, but know the line is there before you advertise aggressive deep-cleaning services in older buildings.

Keeping the Business in Good Standing

State registration is not one-and-done. LLCs file registration reports with the Secretary of State on a biennial schedule. Corporations file annually, due at the end of the anniversary month of formation, with a $25 online discount and a $15 penalty for each 30-day period a report runs late. Miss these filings and the state can administratively dissolve the business, which revokes its legal status; reinstatement costs $55 on top of any past-due reports.22Missouri Secretary of State. If you filed a fictitious name, mark the five-year expiration on your calendar and renew within the six months before it lapses.8Missouri Revisor of Statutes. Missouri Revised Statutes 417.210 – Registration, When and How

One obligation you can take off the list: federal beneficial ownership reporting. As of March 2025, FinCEN revised its rules so that only foreign companies registered to do business in a U.S. state must file BOI reports. A domestic Missouri LLC or corporation does not need to file.23Financial Crimes Enforcement Network. Beneficial Ownership Information Reporting
