To start a cleaning business in NY, you file formation documents with the Department of State, register for sales tax with the Department of Taxation and Finance, and put insurance in place before your first paying job. An LLC is the common choice for a small cleaning operation: the filing fee is $200, and New York adds a publication requirement that can push your startup cost up by several hundred dollars depending on the county where your office sits.1Department of State. Pick a Business Structure
Your structure decides who gets sued when something goes wrong at a client’s property and how your income is taxed. For most one- or two-person cleaning companies, an LLC is the right balance of liability protection and paperwork.
- A sole proprietorship needs no state formation filing, but you and the business are legally the same person, so a client’s slip-and-fall claim can reach your personal assets. If you operate under anything other than your legal name, you file a county-level assumed name certificate.
- A general partnership forms automatically when two or more people run a business for profit together, with each partner personally liable for the business’s debts.2New York State Senate. New York Partnership Law 10 – Partnership Defined
- An LLC is a separate legal entity that shields your personal assets, with flexible management and pass-through taxation.1Department of State. Articles of Organization for Domestic Limited Liability Company
- A corporation has shareholders and a board, with more formality (bylaws, meetings, minutes). It usually only makes sense if you plan to bring in investors or sell the company later.
The rest of the steps below assume you’re forming an LLC. If you go the sole proprietor or partnership route, you can skip the Department of State filing and the publication requirement, but every tax, insurance, and hiring rule still applies.
File Formation Documents With the Department of State
Clear Your Name First
Search the Department of State’s database before you file anything. An LLC name must include “Limited Liability Company” or an abbreviation like “LLC,” and it has to be distinguishable from every other LLC, corporation, and limited partnership already on record.1Department of State. Articles of Organization for Domestic Limited Liability Company Certain words like “bank,” “insurance,” or “doctor” are restricted and need another agency’s approval first. These rarely come up for cleaning businesses, but a name using “maintenance” or “janitorial” services is fine.
Submit Articles of Organization
LLCs file Articles of Organization under Section 203 of the LLC Law. The Department of State provides Form DOS-1336 for this, though you can draft your own.3New York State Department of State. DOS-1336-f Articles of Organization The filing lists the LLC’s name, the county where its office will sit, and designates the Secretary of State as the agent for receiving legal papers on the LLC’s behalf. You can also name an additional registered agent at a New York address who’s available during business hours.4New York State Senate. Handle the LLC Publication Requirement
This is the step that catches new owners off guard. Within 120 days of forming your LLC, you have to publish a notice of formation in two newspapers in the county where your LLC’s office is located. The county clerk designates which newspapers qualify, and the notice must run once a week for six consecutive weeks.6Department of State. Certificate of Publication for Domestic Limited Liability Company
Once the notices have run, you file a Certificate of Publication with the Department of State and include the printers’ affidavits from each newspaper. Publication costs vary dramatically by county. Manhattan rates are far higher than rural upstate rates, and totals can land anywhere from a few hundred dollars to over a thousand. Skip it and your LLC’s authority to conduct business in New York gets suspended; the entity still exists, but it can’t legally transact business until you comply.6Department of State. Register for Taxes

You’ll need the EIN to open a bank account, file taxes, and run payroll.7Internal Revenue Service. Employer Identification Number
Register for Sales Tax Before You Clean Anything
Cleaning and maintenance services performed on real property are taxable in New York under Tax Law Section 1105(c)(5).8Cornell Law Institute. 20 NYCRR 534.5 – Refund or Credit Based on the Use of Tangible Personal Property in Certain Services That means you need a Certificate of Authority from the Department of Taxation and Finance before you provide a single paid service. File Form DTF-17 at least 20 days before your first taxable sale.9Tax.NY.gov. Instructions for Form DTF-17 Application to Register for a Sales Tax Certificate of Authority
Do not start cleaning for paying clients before the certificate arrives. Operating without one can trigger civil penalties and leaves you unable to legally collect or remit tax.10Department of Taxation and Finance. Register as a Sales Tax Vendor
Plan for Self-Employment Tax
If you own a sole proprietorship or a single-member LLC, you’ll owe federal self-employment tax on your net business income at 15.3%, which covers 12.4% for Social Security and 2.9% for Medicare.11Internal Revenue Service. Self-Employment Tax (Social Security and Medicare Taxes) The Social Security portion applies to the first $184,500 of combined wages and self-employment income for 2026; Medicare has no cap.12Social Security Administration. Buy the Right Insurance
Workers’ Comp, Disability, and Paid Family Leave
Almost every New York employer must carry workers’ compensation insurance, even with just one employee.13Workers’ Compensation Board. Is Workers’ Compensation Coverage Required? The definition reaches part-time workers, temporary staff, and even unpaid family members who perform work for the business.14Workers’ Compensation Board. Violations of Workers’ Compensation Law (Liability and Penalties) Alongside workers’ comp, you must provide disability benefits insurance for off-the-job injuries and illnesses, plus Paid Family Leave coverage for employees who need leave to bond with a new child, care for a seriously ill family member, or handle a military deployment.15Paid Family Leave. Employer Responsibilities and Resources
General Liability and Bonding
New York doesn’t require general liability insurance for cleaning businesses, but operating without it is risky. One broken antique or a slip-and-fall on a freshly mopped floor can produce a claim larger than your annual revenue. Most residential and commercial clients ask for proof of coverage before hiring, and many commercial contracts require a minimum policy. Monthly premiums for a small cleaning operation typically run in the low hundreds.
Property managers and corporate clients often also require an employee dishonesty bond, which reimburses the client if one of your workers steals or damages property. Bonding isn’t a legal requirement, but it’s what larger accounts expect.
Rules Once You Hire
Minimum Wage
As of January 1, 2026, the minimum wage is $17.00 per hour in New York City, Long Island, and Westchester County, and $16.00 per hour for the rest of the state.16NY.Gov. New York State’s Minimum Wage These rates apply whether you pay hourly or per job. If a cleaner based in Westchester works a job in the Bronx, the rate for the work location controls.
Unemployment Insurance
General business employers become liable for unemployment insurance on the first day of any calendar quarter in which they pay $300 or more in wages.17Department of Labor. Register for Unemployment Insurance That $300 threshold is low enough that almost any cleaning business with employees crosses it in the first week. Register with the Department of Labor and start making quarterly contributions once you hit it.
New Hire Reporting and I-9
Every new or rehired employee must be reported to the New York New Hire Reporting Center within 20 calendar days of their start date.18Department of Taxation and Finance. New Hire Reporting Each employee must also complete Section 1 of Form I-9 no later than their first day of work, and you have three business days from that start date to review their identity and work authorization documents.19U.S. Citizenship and Immigration Services. Completing Section 1, Employee Information and Attestation
Chemical Safety
Federal OSHA rules apply no matter how small your crew. Under the Hazard Communication Standard, you must keep a safety data sheet for every hazardous chemical in your workplace and make those sheets accessible to workers during every shift.20eCFR. 29 CFR 1910.1200 – Hazard Communication You also have to train employees on reading labels, handling chemicals safely, and responding to exposures.21Occupational Safety and Health Administration. Hazard Communication – Overview For a cleaning crew, that means every bottle of industrial degreaser, disinfectant, or floor stripper has a corresponding data sheet in a binder or digital system the team can pull up on-site.
Keep the Business in Good Standing
LLCs and corporations file a biennial statement with the Department of State every two years, with a $9 fee. The statement updates your address for service of process. Miss it and the Department of State marks your entity as past due, which shows up on any certificate of status you request and can block leases, contracts, or new bank accounts.22Department of State. Biennial Statements for Business Corporations and Limited Liability Companies
You’ll also file and remit collected sales tax on a schedule the Department of Taxation and Finance sets, usually quarterly for new businesses. Keep clean records of every taxable job, tax collected, and any exempt transactions. Workers’ comp and disability policies require renewals and updated payroll reporting, and the Workers’ Compensation Board can audit coverage at any time. Put these recurring dates on your calendar the week you form the entity.
