How to Start a Nonprofit in Oklahoma: Filing, 501(c)(3), and Compliance

To start a nonprofit in Oklahoma, you file a certificate of incorporation with the Secretary of State for $25, obtain a federal Employer Identification Number, and then apply to the IRS for 501(c)(3) tax-exempt status using either Form 1023-EZ ($275) or the full Form 1023 ($600). The state filing can be done in a day. The IRS application takes months, and it carries a 27-month deadline if you want your exemption to reach back to the day you incorporated.

Here is what each step actually involves, in the order you need to do them.

Pick a Name and a Registered Agent

Your nonprofit’s name has to be distinguishable from every other business entity on file with the Oklahoma Secretary of State, including reserved names, trade names, and fictitious names. It also has to end with a corporate designator: Corporation, Incorporated, Company, Association, Foundation, Institute, Society, Club, Fund, Limited, or an abbreviation. Two names that differ only in their designator count as the same name, so swapping “Inc.” for “Corporation” won’t get you past a conflict.1Oklahoma.gov. Business Hub Name Availability

Check availability through the Secretary of State’s business entity search before you file anything else.

You also need a registered agent with a physical Oklahoma street address. This is the person or company authorized to accept legal documents on your organization’s behalf, and a P.O. box doesn’t qualify.2Justia. Oklahoma Code 18 – Certificate of Incorporation – Contents A board member or officer can serve for free. Commercial agent services typically run $100 to $300 per year if you’d rather keep a personal address out of public records.

Set Up Your Board and Draft Bylaws

Oklahoma law requires at least one director, and directors must be natural persons. The statute sets no minimum age or residency requirement.3Justia. Oklahoma Code 18-1027 – Board of Directors – Powers – Number – Qualifications – Terms and Quorum The IRS, however, looks for boards large enough to represent a broad public interest; very small boards raise flags in the exemption review because they can look like private arrangements.4Internal Revenue Service. Governance and Related Topics – 501(c)(3) Organizations Three unrelated directors is a common minimum.

Before you file with the state, write two internal documents. Your bylaws spell out how the board operates: meeting frequency, officer roles, voting procedures, how directors are elected or removed. Bylaws aren’t filed with Oklahoma, but the IRS will want them. Your conflict of interest policy covers situations where a board member or officer could personally benefit from a decision. Form 1023 asks specifically whether you have one, and skipping it invites extra scrutiny.

File the Certificate of Incorporation

The certificate of incorporation legally creates your nonprofit. File it with the Oklahoma Secretary of State for $25, either online through the business filing portal or by mail using the downloadable PDF.5Oklahoma Secretary of State. Downloadable Business Forms

The certificate has to include:2Justia. Oklahoma Code 18 – Certificate of Incorporation – Contents

  • The exact corporate name you’ve confirmed is available, with its designator.
  • The name and physical street address of your Oklahoma registered agent.
  • Duration (most nonprofits select perpetual).
  • A purpose statement describing your charitable, religious, educational, or scientific activity.
  • Names and mailing addresses of the initial directors.
  • Signatures and addresses of at least three incorporators.

Add a Dissolution Clause

Oklahoma’s standard certificate form doesn’t prompt you for dissolution language, but the IRS requires it before granting 501(c)(3) status. Attach a clause stating that if the nonprofit dissolves, remaining assets will go to another tax-exempt organization or a government entity for a public purpose.6Internal Revenue Service. Does the Organizing Document Contain the Dissolution Provision Required Under Section 501(c)(3) Add it now. Fixing it later means filing an amendment, which is another $25 and more processing time.5Oklahoma Secretary of State. Downloadable Business Forms

Write the Purpose Clause Carefully

The purpose clause has to satisfy both the state and the IRS. Too vague and the IRS bounces it; too narrow and you’ve boxed yourself in on future programs. A workable pattern is to state your specific mission and then add broader exempt-purpose language, for example: “to engage in any lawful activity for which corporations may be organized under the Oklahoma General Corporation Act, provided such activity is exclusively for charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.”

Get an Employer Identification Number

Once the state approves your certificate, apply to the IRS for an EIN using Form SS-4. This nine-digit number is your organization’s tax ID; you need it to open a bank account, file returns, and hire employees.7Internal Revenue Service. About Form SS-4, Application for Employer Identification Number The IRS online EIN application issues the number immediately and costs nothing.

Apply for 501(c)(3) Status

Having an EIN and a state-filed certificate does not make your organization tax-exempt. You still have to apply to the IRS for recognition under Section 501(c)(3), using either Form 1023 or Form 1023-EZ. Both are filed electronically through Pay.gov.8Internal Revenue Service. How to Apply for 501(c)(3) Status

Which Form You File

Form 1023-EZ is the streamlined version. You qualify if your projected annual gross receipts won’t exceed $50,000 in any of the next three years and your total assets don’t exceed $250,000. Schools, hospitals, and organizations planning to operate in foreign countries are among those excluded; the IRS publishes an eligibility worksheet that walks through the disqualifiers.9Internal Revenue Service. Form 1023 and 1023-EZ: Amount of User Fee It requires a detailed narrative of planned activities, three years of financial projections, and copies of your bylaws and conflict of interest policy. Processing takes considerably longer than the EZ.

The 27-Month Deadline

This is where new nonprofits get hurt. File your IRS application within 27 months of the end of the month in which you incorporated and your tax-exempt status is recognized retroactively to the incorporation date. Miss the window and your exemption only starts on the date the IRS receives your application. Donations made before that date are not deductible for the donors.11Internal Revenue Service. Form 1023: Purpose of Questions About Organization Applying More Than 27 Months After Date of Formation Limited exceptions exist. Don’t plan around them.

Public Charity vs. Private Foundation

Every 501(c)(3) is classified as either a public charity or a private foundation, and the private foundation designation brings stricter rules and higher excise taxes. You’re treated as a private foundation by default unless you can show broad public support. The usual route to public charity status is the one-third support test: at least a third of your total support comes from government sources, public contributions, or grants from other public charities. Organizations below that threshold can still qualify by receiving at least 10% from public sources and passing a facts-and-circumstances review.12Internal Revenue Service. Instructions for Form 1023

When the IRS approves your application, it issues a determination letter. Keep it permanently. Donors, grantmakers, and state agencies will ask for it.

Register Before You Solicit Donations

Federal tax-exempt status does not give you permission to fundraise in Oklahoma. Before asking anyone in the state for a contribution, register with the Oklahoma Secretary of State under the Oklahoma Solicitation of Charitable Contributions Act. The fee is $65, and you’ll need to provide financial reports and officer information; registration has to be renewed periodically.13Justia. Oklahoma Code 18-552.3

A few organizations are exempt: religious organizations engaged in bona fide religious programs, accredited educational institutions soliciting primarily from their own communities, and fraternal organizations collecting only from their membership. Everyone else should register before any fundraising begins. Soliciting without registration can bring administrative penalties and can block you from collecting donations until the problem is fixed.

Apply Separately for Oklahoma Sales Tax Exemption

Oklahoma charges sales tax on most purchases, and the IRS determination letter does not automatically exempt you at the state level. To buy supplies and equipment without paying state sales tax, apply for an exemption permit from the Oklahoma Tax Commission using Form 13-16-A. You’ll submit your IRS determination letter, articles of incorporation, and bylaws with the application.14Cornell Law Institute. Oklahoma Administrative Code 710:65-13-346

The exemption covers purchases for mission-related activities only. It does not apply when your nonprofit sells goods or services in competition with for-profit businesses.15Justia. Oklahoma Code 68-1357v4 – Exemptions – General A nonprofit-run thrift store or café generally has to collect sales tax on what it sells, even though the organization itself is exempt.

Stay in Good Standing After You Launch

The IRS requires every 501(c)(3) to file an annual return. Which version depends on your size:16Internal Revenue Service. 2025 Instructions for Form 990 Return of Organization Exempt From Income Tax

  • Form 990-N (the e-Postcard) for organizations with gross receipts of $50,000 or less.
  • Form 990-EZ for gross receipts under $200,000 and total assets under $500,000.
  • Form 990 (full) for gross receipts of $200,000 or more, or total assets of $500,000 or more.

The deadline is the 15th day of the fifth month after the end of your fiscal year, which is May 15 for calendar-year organizations.

Miss three consecutive annual returns and the IRS automatically revokes your tax-exempt status. There is no warning and no hearing. Revocation takes effect on the filing due date of the third missed return and is published on the IRS website.17Internal Revenue Service. Automatic Revocation – How to Have Your Tax-Exempt Status Reinstated Reinstatement means a new application and a new full user fee. A second revocation closes off the streamlined reinstatement route entirely.

On the state side, keep your charitable solicitation registration current and update the Secretary of State whenever your registered agent or principal address changes. Oklahoma eliminated its corporate franchise tax starting with tax year 2024, so nonprofit corporations no longer file franchise tax returns.18Oklahoma.gov. Businesses – Other Taxes
