How to Start a Small Business in Oklahoma: Entity, EIN, and Permits

To start a small business in Oklahoma, you pick an entity structure, register the name and formation documents with the Secretary of State, get your federal and state tax IDs, line up any employer accounts and local permits you need, and then stay on top of the annual filings that keep the business in good standing. Most of this can be done online. An LLC filing costs $100 and takes about fifteen minutes to submit.1Oklahoma.gov. Register Your Business The surprises tend to come later, in the form of county personal property returns, workers’ comp rules, and the annual certificate that nobody mentions at launch.

Pick Your Entity Type First

Entity choice shapes your taxes, your paperwork, and whether your personal assets are exposed if the business is sued. Oklahoma recognizes four common structures.

A sole proprietorship is you and the business as a single legal person. No formation filing is required, and if you operate under your own legal name you do not even register with the Secretary of State. The downside is that your house, car, and bank account sit behind the business for liability purposes. A general partnership works the same way for two or more owners.

A limited liability company creates a separate legal entity that generally shields your personal assets from business debts. It requires Articles of Organization but little ongoing formality. A corporation also provides liability protection but adds stock, bylaws, officers, and annual meetings; it mostly makes sense when you plan to raise outside investment.

Most Oklahoma small business owners form an LLC because it combines the liability shield with light administration. The rest of this guide follows that path, with notes where corporations differ.

Clear and Register Your Name

Your entity name has to be distinguishable from every other name already on file with the Secretary of State, including other corporations, LLCs, trade names, and reserved names.2Justia. Oklahoma Code Title 18 – Corporations 18-1141 Prohibition on Use of Same or Indistinguishable Names Exceptions Run your proposed name through the Secretary of State’s online business search before you file anything.1Oklahoma.gov. An LLC name must include “Limited Liability Company,” “LLC,” or an accepted abbreviation. Corporations need “Inc.,” “Corp.,” or similar. Found a name you like but not ready to file? You can reserve it for 60 days by submitting a name reservation for $10.3Justia. Oklahoma Code Title 18 – Corporations 18-1142 Filing and Other Service Fees

Sole proprietors and general partnerships who want to operate under something other than their own legal names file a trade name registration instead. That is Oklahoma’s version of a “doing business as” filing.1Oklahoma.gov. Register Your Business

File Your Formation Documents

Before you open the online filing, gather a few things. You need a registered agent with a physical Oklahoma street address who can accept legal documents. For an LLC the agent can be the company itself, an Oklahoma resident, or another authorized business entity.4Justia. Oklahoma Code Title 18 – Corporations 18-2010 Registered Office and Agent Corporations have a parallel requirement.5Justia. Oklahoma Code Title 18 – Corporations 18-1021 Registered Office and Agent A P.O. box does not count.

You also need your principal office address, the names and signatures of the organizers, and a choice on duration. Most people choose perpetual existence, but you can set an expiration date if the business is built around a limited project.6Justia. Articles of Organization – Oklahoma Limited Liability Company Corporations additionally state their number of authorized shares and par value.

File through the Secretary of State’s online portal or by mail. Online runs about fifteen minutes and typically processes within a couple of business days. The LLC filing fee is $100, plus a small online service charge.7Justia. Oklahoma Code Title 18 – Corporations 18-2055 Fees Corporations pay one-tenth of one percent of authorized capital stock, with minimums of $50 for for-profit and $25 for nonprofit entities.3Justia. Oklahoma Code Title 18 – Corporations 18-1142 Filing and Other Service Fees Once the state approves your filing, you get a file-stamped copy confirming the entity exists.

Put Your Internal Rules in Writing

Oklahoma does not require LLCs to have a written operating agreement. Under state law the agreement can be oral, written, implied, or any combination. Relying on an oral deal is a bad idea. A written operating agreement records each member’s ownership percentage, how profits and losses are divided, who has authority to make decisions, and what happens when a member leaves or the business winds down. Without one you fall back on the state’s default rules, which may not match what you and your co-owners actually agreed to.

Corporations should adopt bylaws and hold an organizational meeting to appoint officers and issue stock. Even a single-owner corporation should document these steps. Courts are more willing to respect the liability shield of an LLC or corporation when the owners can show they treated the entity as genuinely separate from themselves, and the paperwork is a large part of that showing.

Get Your Tax IDs and Permits

Federal EIN

You need a federal Employer Identification Number if you have employees, operate as a corporation or partnership, or file certain tax returns such as excise taxes.8Internal Revenue Service. Employer Identification Number Single-member LLCs with no employees can technically use the owner’s Social Security number, but an EIN is free, takes about five minutes online, and keeps your SSN off business paperwork. Apply through the IRS website or submit Form SS-4 by fax or mail.9Internal Revenue Service. Get an Employer Identification Number

Oklahoma Tax Commission Registration

With your EIN in hand, register with the Oklahoma Tax Commission through the Oklahoma Taxpayer Access Point (OkTAP).10Oklahoma Tax Commission. OkTAP Help Center You need to register if you will collect sales tax, withhold employee income tax, or owe other state taxes. The state sales tax rate is 4.5%, and cities and counties add their own rates on top.11Oklahoma.gov. County Business Personal Property Return

Oklahoma businesses have to file a Business Personal Property Rendition (Form 901) with the county assessor every year. It covers furniture, equipment, inventory, and other tangible property used in the business. The assessment date is January 1 and the return is due by March 15, with a mandatory 10% penalty if you miss that deadline. File after April 15 and the penalty jumps to 20%.12Oklahoma.gov. 2026 Form 901 Business Personal Property Rendition

No More Franchise Tax

Oklahoma used to require LLCs and corporations to pay an annual franchise tax. That tax was permanently eliminated, with tax year 2023 as the last year returns were required.13Oklahoma.gov. Set Up Employer Accounts If You Will Hire

Three obligations kick in before your first payroll.

Workers’ compensation coverage is required for nearly every Oklahoma employer. The main small-business exception is an employer with five or fewer employees who are all related to the employer by blood or marriage.14Oklahoma Senate. Oklahoma Statutes Title 85A Workers Compensation Everyone else needs a policy in place before an employee starts work. Coverage is available through private insurers, through CompSource Mutual, or through self-insurance for larger employers who qualify.

Unemployment insurance registration goes through the Oklahoma Employment Security Commission. New employers pay 1.5% on the first $25,000 of each employee’s wages in 2026. Established employers pay anywhere from 0.2% to 5.8% based on their claims history.15Oklahoma.gov. Important Numbers for Employers in 2026

New hire reporting is also handled by the Employment Security Commission. Every new employee must be reported within 20 days of their start date, either through the state’s online system or on paper Form OES-112.16Oklahoma.gov. New Hire Reporting

Handle Local Permits and Professional Licenses

Oklahoma does not issue a general state business license. Licensing happens at the city level and, for certain trades, through state boards.17Oklahoma.gov. Licenses and Permits

Most municipalities require some form of business license or permit. Oklahoma City, for example, issues several types depending on what you do and where you operate.18City of Oklahoma City. Business Licensing Call your city clerk’s office before you open. Confirm the zoning for your location too, because commercial activities are often restricted by district.

Running the business from home brings its own layer of city rules. Common home-occupation restrictions include limits on signage, restrictions on customer traffic, prohibitions on exterior storage of business materials, and caps on how much floor space the business can occupy. Check your city’s home occupation ordinance before you assume your house qualifies.

Some industries require state-level professional licensing. Electricians, plumbers, mechanical contractors, and roofers are licensed by the Oklahoma Construction Industries Board. General contractors do not currently need a state license for general contracting work, though they do need trade licenses for any specialized work they perform themselves.19Oklahoma.gov. Construction Industries Board Real estate professionals are licensed exclusively through the Oklahoma Real Estate Commission.20Justia. Oklahoma Code Title 59 – Professions and Occupations 59-858-201 Oklahoma Real Estate Commission Each board sets its own fees, exam requirements, and renewal schedule, so check the specific board that covers your field.

Stay in Good Standing

Oklahoma LLCs file an annual certificate with the Secretary of State and pay a $25 fee to remain in good standing.1Oklahoma.gov. Register Your Business The due date is the anniversary of your original Articles of Organization filing, so every LLC has its own deadline. Miss it and your LLC falls out of good standing, which eventually leads to administrative dissolution.

If your LLC lapses, you can reinstate it by filing the delinquent annual certificates, paying the back fees, and submitting a reinstatement application.21Justia. Oklahoma Code Title 18 – Corporations 18-2055-3 Reinstatement of a Limited Liability Company or Registered Series If another entity grabbed your name while you were dissolved, you have to pick a new one and pay an amendment fee on top. It is cheaper and faster to put the $25 reminder on the calendar.

Domestic for-profit corporations no longer file an annual franchise tax return since that tax ended after 2023. Confirm you have no leftover obligations with the Oklahoma Tax Commission, particularly if the business was formed before the repeal took effect.13Oklahoma.gov. Franchise Tax Ends in Oklahoma
