To start a sole proprietorship in Iowa, you simply begin doing business — there is no formation filing with the Secretary of State, because the law treats you and the business as the same legal person.1Iowa Secretary of State. Who Is Required to Register with the Iowa Secretary of State? What you do need to handle, depending on your situation, is a county trade name filing, federal and state tax registrations, any license your profession requires, and insurance to cover the personal liability that comes with this structure. Iowa does not issue a universal statewide business license.
Pick a Name and Register It With the County
If you operate under your own legal surname — say, “Smith Consulting” when your last name is Smith — Iowa does not require a trade name filing. Any other name triggers Iowa Code Chapter 547, which requires you to file a Verified Statement of Trade Name with the County Recorder in the county where you’ll do business.2Iowa Legislature. Before you commit to a name, run two checks. Search the Iowa Secretary of State’s Business Entity Search to confirm no corporation or LLC already holds it,3Iowa Secretary of State. Get Your Tax IDs and Permits
Federal EIN
A sole proprietor with no employees can legally use a Social Security number for tax purposes. Getting a free federal Employer Identification Number anyway is worth considering, because it keeps your SSN off W-9 forms, invoices, and other paperwork you share with clients.7Internal Revenue Service. Get an Employer Identification Number An EIN becomes mandatory once you hire employees, owe excise taxes, or file certain information returns,8Internal Revenue Service. Sole Proprietorships and some banks ask for one before they’ll open a business account. The IRS EIN Assistant issues the number online in minutes at no cost.

If you sell taxable goods or services, register for an Iowa Business Tax Permit through the Iowa Department of Revenue. Iowa’s state sales tax is 6%, and many jurisdictions add a 1% local option sales tax on top.9Department of Revenue. Plan for Self-Employment Tax and Quarterly Payments
No employer withholds taxes from your earnings, so you pay them yourself. Self-employment tax runs 15.3% on net business earnings of $400 or more — 12.4% for Social Security and 2.9% for Medicare.12Internal Revenue Service. You’re expected to make quarterly estimated payments to both agencies, and the two calendars don’t match. Federal payments for the 2026 tax year are due April 15, June 15, and September 15 of 2026, and January 15, 2027.15Internal Revenue Service. Form 1040-ES Estimated Tax for Individuals Iowa’s installments fall on April 30, June 30, and September 30 of the tax year, with the final one due January 31 of the following year.16Department of Revenue. Line 29 – Estimated and Other Payments Missing a deadline draws a penalty from whichever agency you missed, so mark all eight on your calendar before you need them.
Check for Professional Licenses and Local Rules
Some occupations require a state license before you can take a dollar for your work, regardless of business structure. The Iowa Department of Inspections, Appeals, and Licensing oversees licensing for barbering and cosmetology, electrical work, plumbing, food service, health professions, and building trades, among others.17Department of Inspections, Appeals, & Licensing. Licenses, Permits, and Registrations Construction trades have their own portal through the department’s building and construction division.18Department of Inspections, Appeals, & Licensing. Building, Construction, and Trades
Local rules matter too. Call your city or county planning or zoning office to confirm your location is zoned for the activity you intend. This is especially important for home-based businesses, which may face restrictions on signage, customer traffic, parking, or the type of work allowed in a residential zone. Clearing local permits before you open is cheaper than a fine or a forced closure later.
Understand Your Personal Liability
The defining legal reality of a sole proprietorship is that you and the business are one person in the eyes of the law. If the business can’t pay a supplier, loses a lawsuit, or defaults on a loan, creditors can go after your personal assets — your home, your savings, your other property. There is no shield.
Business liability insurance is the practical answer. A general liability policy covers claims from customer injuries and property damage; a solo operation in a low-risk field can expect to pay roughly $600 to $1,000 per year for standard coverage, and high-risk industries such as construction pay significantly more. If you sell professional advice or services, a professional liability (errors and omissions) policy adds protection against claims of negligence or mistakes in your work. If asset protection is your primary concern, consider whether an LLC fits your situation better before you grow further.
What Changes When You Hire Your First Employee
Hiring even one person triggers a stack of new obligations. You’ll need an EIN if you don’t already have one, because the IRS requires it for payroll tax reporting.8Internal Revenue Service. Sole Proprietorships From there:

None of this applies while you’re the only person working in the business. But each of these obligations attaches the moment you add a payroll, so it’s worth knowing the list before you make the first offer.
