How to Start a Sole Proprietorship in PA: Registration, Taxes, Insurance

To start a sole proprietorship in PA, you don’t file formation papers with the state. The moment you sell a product or service in your own legal name, you’ve created one by default.1PA Business One-Stop Shop. Basic Business Registration Overview The work comes after that: registering a business name if you want one, getting a federal tax ID, opening state tax accounts, checking local permits, and setting money aside for self-employment tax. Each step is straightforward on its own, and most new owners can finish the whole setup in a week or two.

Know What You’re Signing Up For

A sole proprietorship is one person, full control, all the profits, and all the liability.2PA Business One-Stop Shop. Sole Proprietorships There is no legal wall between you and the business. If the business can’t pay a debt, creditors can reach your personal bank accounts, your car, and your home. That unlimited exposure is the tradeoff for a structure with almost no paperwork, and it’s the main reason some owners eventually form an LLC instead. If you’re going ahead as a sole proprietor, insurance (covered at the end) is the practical answer to that risk.

Decide Whether You Need to Register a Business Name

If you plan to operate under your own first and last name, you can skip name registration entirely. The Department of State only requires a filing when you use a name other than your legal name.3Commonwealth of Pennsylvania. Fictitious Names | Department of State So “Jane Smith Consulting” with your real name is fine. “Keystone Web Design” would need to be registered as a fictitious name under 54 Pa. C.S. ยง 311.4Pennsylvania General Assembly. Pennsylvania Code Title 54 – Chapter 3 – Section 311

Before filing, search the Department of State’s business entity database for free to confirm your chosen name is distinguishable from existing registered names. Registering a fictitious name does not give you exclusive rights to it, so if brand protection matters, run a trademark search with the U.S. Patent and Trademark Office as well.

File the Fictitious Name Registration

The form is DSCB:54-311, from the Bureau of Corporations and Charitable Organizations.5Pennsylvania Department of State. Registration of Fictitious Name Form It asks for the exact fictitious name, a brief business description, a Pennsylvania street address for the principal place of business (a P.O. box alone won’t work), and your full legal name and home address. Owner information is public.

You can file through the PENN File online portal at corporations.pa.gov or mail the paper form to Harrisburg. Either way, the filing fee is $70. Online submissions typically process within a few business days; mailed filings can take several weeks.

Publish the Newspaper Notice

This step catches new owners off guard. After filing a fictitious name registration, you must publish notice in two newspapers in the county where the business is located.6Cornell Law School. 19 Pa. Code 17.208 – Official Advertising of Fictitious Names Involving Individual Parties One must be the county’s designated legal newspaper, if one exists. If there isn’t one, both can be newspapers of general circulation.

Pricing varies, so contact the publications in your county directly. Skipping publication has real consequences: Pennsylvania law provides that legal proceedings requiring official notice won’t be binding if the advertising wasn’t properly completed, which can make it harder to enforce contracts in court.

Get a Federal EIN

An Employer Identification Number is a nine-digit number the IRS assigns for tax reporting.7Internal Revenue Service. Employer Identification Number A sole proprietor with no employees can technically use a Social Security number for federal taxes, but an EIN is almost always worth getting. Banks generally require one to open a business checking account, and using an EIN on invoices means you’re not giving your SSN to every client and vendor.

The application is free on the IRS website, takes about ten minutes, and issues the number immediately. You’ll name a “responsible party” (yourself) and provide your SSN, home address, and a short description of what the business does.8Internal Revenue Service. Open Your Pennsylvania Tax Accounts

Pennsylvania’s myPATH portal is the single registration point for state tax accounts.9Commonwealth of Pennsylvania. Register My Business for Taxes Which accounts you need depends on what the business does:

  • If you sell taxable goods or certain services, you must obtain a Sales, Use, and Hotel Occupancy Tax license. The statewide sales tax rate is 6%.10Commonwealth of Pennsylvania. Sales, Use and Hotel Occupancy Tax | Department of Revenue
  • If you hire employees, register for employer withholding to remit state income tax from their paychecks.
  • Hiring also triggers unemployment compensation registration.

During registration, myPATH asks for your business start date and estimated annual revenue. The Department of Revenue uses that information to set your filing frequency, whether quarterly, monthly, or semi-annually. Register before your first sale or first employee to avoid late-registration penalties.

Plan for Self-Employment Tax and Estimated Payments

This is the part that surprises people most. As a sole proprietor you owe both the employee and employer shares of Social Security and Medicare on your net business income. The combined self-employment tax rate is 15.3%: 12.4% for Social Security and 2.9% for Medicare.11Social Security Administration. Contribution and Benefit Base The Social Security portion applies only to the first $184,500 of net earnings for 2026. Medicare has no cap, and net self-employment income above $200,000 for single filers triggers an additional 0.9% Medicare tax.12Internal Revenue Service. Questions and Answers for the Additional Medicare Tax You can deduct half of your self-employment tax when calculating adjusted gross income on your federal return.13Internal Revenue Service. Topic No. 554, Self-Employment Tax

Because no employer withholds taxes from your earnings, the IRS expects quarterly estimated payments. The 2026 federal due dates are:14Internal Revenue Service. When Are Quarterly Estimated Tax Payments Due

  • April 15, 2026, for income earned January through March.
  • June 15, 2026, for April and May.
  • September 15, 2026, for June through August.
  • January 15, 2027, for September through December.

If a due date falls on a weekend or holiday, the deadline shifts to the next business day. Pennsylvania layers its own estimated tax requirement on top. The state’s flat personal income tax rate is 3.07% and applies to your net business income.15Commonwealth of Pennsylvania. Tax Rates | Department of Revenue You generally need to make quarterly state estimated payments if you expect to owe at least $338 in Pennsylvania income tax after withholding and credits, following the same schedule as the federal dates.

Check Local Permits, Zoning, and Professional Licenses

Pennsylvania has no statewide general business license, but your city, township, or borough almost certainly has its own requirements. Contact your local municipal office about:

  • A business privilege or mercantile license. Many Pennsylvania municipalities require one. Some charge a flat annual rate, others base the fee on gross receipts.
  • Zoning clearance confirming your type of business is allowed at your chosen address. This matters most for home-based businesses, where ordinances often restrict customer traffic, outdoor signage, and the number of employees on site.
  • A home occupation permit if you’re working from your residence. Many municipalities require one, limit the share of the home used for business, and prohibit certain commercial activities outright.

Some professions also require a state license through the Bureau of Professional and Occupational Affairs, which oversees boards for fields like accounting, cosmetology, and real estate, among others.16Commonwealth of Pennsylvania. Bureau of Professional and Occupational Affairs | Department of State These licenses typically require specific education or experience and a passing exam. Check whether your field has a licensing board before you take your first client.

Buy the Insurance That Actually Protects You

Because a sole proprietorship offers zero liability protection, business insurance is worth serious consideration. Pennsylvania does not require general liability insurance for sole proprietors with no employees, but a single lawsuit or accident could reach your personal assets. A general liability policy covers claims like customer injuries on your premises or damage caused by your work. Professional liability insurance (sometimes called errors and omissions coverage) is worth looking into if you give advice or provide professional services. If you hire employees, Pennsylvania does require workers’ compensation insurance.

A Quick Note on Beneficial Ownership Reporting

If you’ve read about the Corporate Transparency Act and beneficial ownership information reporting, you can set it aside. As of March 2025, FinCEN exempted all entities formed in the United States from the obligation to report beneficial ownership information; only foreign entities registered to do business in a U.S. state are currently required to file.17Financial Crimes Enforcement Network. Beneficial Ownership Information Reporting A Pennsylvania sole proprietorship does not need to submit a BOI report.
